Redemption and Purchase of Debentures. Section 4.1 Applicability of Article (1) Subject to the approval of the TSX or such other exchange on which the Common Shares are then listed (and in the case of the Initial Debentures, Section 2 . 5 ( 6 ) ), the Corporation shall have the right at its option to redeem, either in whole at any time or in part from time to time before maturity any Debentures issued hereunder of any series which by their terms are made so redeemable (subject, however, to any applicable restriction on the redemption of Debentures of such series) at such rate or rates of premium, if any, and on such date or dates and in accordance with such other provisions as shall have been determined at the time of issue of such Debentures and as shall have been expressed in this Indenture, in the Debentures, in an Officer’s Certificate, or in a supplemental indenture authorizing or providing for the issue thereof, or in the case of Additional Debentures issued pursuant to a Periodic Offering, in the Written Direction of the Corporation requesting the Authentication and delivery thereof . (2) Subject to the approval of the TSX or such other exchange on which the Common Shares are then listed and Article 5 hereof (and in the case of the Initial Debentures, Section 2 . 5 ( 5 ) ), the Corporation shall also have the right at its option to repay, either in whole or in part, on redemption, by payment of money in accordance with Section 2 . 14 thereof, the principal amount of any Debentures issued hereunder of any series which by their terms are made so repayable on redemption (subject however, to any applicable restriction on the repayment of the principal amount of the Debentures of such series) at such rate or rates of premium, if any, and on such date or dates and in accordance with such other provisions as shall have been determined at the time of issue of such Debenture and shall have been expressed in this Indenture, in the Debentures, in an Officer’s Certificate, or in a supplemental indenture authorizing or providing for the issue thereof . Section 4.2 Partial Redemption (1) If less than all the Debentures of any series for the time being outstanding are at any time to be redeemed, the Debentures to be so redeemed shall be selected by the Trustee on a pro rata basis to the nearest multiple of $ 1 , 000 in accordance with the principal amount of the Debentures registered in the name of each holder or in such other manner as the Trustee deems equitable subject to the approval of the of the ...
