Registration Restrictions. Registry Operator shall reserve, and not register any TLD strings (i) appearing on the list of reserved TLD strings attached as Appendix 6 hereto or (ii) located at xxxx://xxxx.xxxx.xxx/TLD/tlds-alpha-by-domain.txt for initial (i.e., other than renewal) registration at the second level within the TLD.
Registration Restrictions. (A) Registry Operator shall establish policies, in conformity with the charter included in Appendix S hereto (the "Charter"), for the naming conventions within the sponsored TLD and for requirements of registration, consistent with Section 3.1(g).
(B) Registry Operator shall establish procedures for the enforcement of applicable Charter restrictions on registration within the TLD as described in Appendix S, which Appendix shall also include the description of the sponsored community and the delegated authority with respect thereto.
(C) Registry Operator shall reserve, and not register any TLD strings (i) appearing on the list of reserved TLD strings attached as Appendix 6 hereto or (ii) located at xxxx://xxxx.xxxx.xxx/TLD/tlds-alpha-by-domain.txt for initial (i.e., other than renewal) registration at the second level within the TLD.
Registration Restrictions. (A) Registry Operator shall establish registration policies with respect to the TLD for (i) naming conventions within the TLD, (ii) requirements for registration by members of the TLD community, and (iii) use of registered domain names in conformity with the stated purpose of the community-based TLD. Registry Operator shall operate the TLD in a manner that allows the TLD community to discuss and participate in the development and modification of policies and practices for the TLD. Registry Operator shall establish procedures for the enforcement of registration policies for the TLD, and resolution of disputes concerning compliance with TLD registration policies, and shall enforce such registration policies. Registry Operator agrees to implement and be bound by the Registry Restrictions Dispute Resolution Procedure as set forth at xxxx://xxx.xxxxx.xxx/en/resources/registries/rrdrp, with respect to disputes arising pursuant to this Section 3.1(c)(i)(A). Registry Operator shall implement and comply with the community registration policies and other terms set forth on Specification 12 attached hereto.
(B) Sponsor shall reserve, and not register any TLD strings appearing on the list of reserved TLD strings attached as Specification 5 hereto (“Specification 5”). Except to the extent ICANN otherwise authorizes in writing, Sponsor shall comply with the requirements of Specification 5. Sponsor may at any time establish or modify policies concerning Sponsor’s ability to reserve (i.e., withhold from registration or allocate to Sponsor, but not register to third parties, delegate, use, activate in the DNS or otherwise make available) or block additional character strings within the TLD at its discretion. Except as specified in Specification 5, if Sponsor is the registrant for any domain names in the registry TLD, such registrations must be through an ICANN accredited registrar, and will be considered transactions for purposes of calculating the Registry-Level Transaction Fee to be paid to ICANN by Sponsor pursuant to Section 7.2.
Registration Restrictions. Nothing in this Agreement shall be construed as to violate the restrictions set forth in Section 2.1 and Section 2.6 of the Exchange Agreement and no registration of Registrable Securities in violation of such provisions shall be effectuated.
Registration Restrictions. (d)(i) Registry Operator shall reserve, and not register any TLD strings (a) appearing on the list of reserved TLD strings attached as Appendix 6 hereto or (b) located at xxxx://xxxx.xxxx.xxx/TLD/tlds-alpha-by-domain.txt for initial (i.e., other than renewal) registration at the second level within the TLD. 3.1 (d)(ii) Functional and Performance Specifications. Functional and Performance Specifications for operation of the TLD shall be as set forth in Appendix 7 hereto, and shall address without limitation DNS services; operation of the shared registration system; and nameserver operations. Registry Operator shall keep technical and operational records sufficient to evidence compliance with such specifications for at least one year.
Registration Restrictions. Registry Operator shall apply, monitor, and enforce the restrictions on registration in the Registry TLD. Appendix 11 sets forth the restrictions to be applied and sets forth the manner by which these restrictions shall be applied, monitored, and enforced. Changes to the restrictions may be made only with the mutual written consent of ICANN and Registry Operator (which neither party shall unreasonably withhold).
Registration Restrictions. If the title to any Property is not registered at the Land Registry, the Company shall procure that no person (other than itself) shall be registered under the Land Registration Acts 1925 to 2002 as proprietor of all or any part of any Property without the prior written consent of the Lender. The Company shall be liable for the costs and expenses of the Lender in lodging cautions against the registration of the title to the whole or any part of any Property from time to time.
Registration Restrictions. This Warrant and the Warrant Shares have ------------------------- not been registered under the Securities Act, by reason of their issuance in a transaction exempt from the registration requirements of the Securities Act pursuant to the exemption provided in Section 4(2) thereof, and have not been registered under state securities laws by reason of their issuance in a transaction exempt from such registration requirements. This Warrant and the Warrant Shares may not be sold, transferred or otherwise disposed of unless registered under the Securities Act and applicable state securities laws or exempted from registration. Registration Restrictions. This Warrant and any Warrant Shares that may be issued upon exercise thereof have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), by reason of their issuance in a transaction exempt from the registration requirements of the Securities Act pursuant to the exemption provided in Section 4(2) thereof, and have not been registered under state securities laws by reason of their issuance in a transaction exempt from such registration requirements. This Warrant and such Warrant Shares may not be sold, transferred or otherwise disposed of unless registered under the Securities Act and applicable state securities laws (the Company being under no obligation so to register such Warrant or Warrant Shares except as set forth in the Merger and Contribution Agreement) or exempted from such registration. Warrant Shares issuable upon exercise of this Warrant will bear a legend to this effect. The restrictions contained herein shall be binding on any transferee of this Warrant and the Company may require any such transferee to execute an instrument agreeing in writing to be so bound by these restrictions as a condition to transfer.
