Role of the Deputy Minister. The Deputy Minister is responsible for: a) Xxxxxxxx and assisting the Minister in meeting the Minister's responsibility with respect to XXXXXX, and ensuring that the Minister is advised of the requirements of the AEAD and other directives that apply to SLASTO. b) Advising the Minister on the operation of the constituent tribunals or any changes to their structure or role. c) Undertaking, on behalf of the Minister, while respecting XXXXXX’s authority and independence, assessments or reviews on whether SLASTO or its constituent tribunals are fulfilling their legislative mandates in accordance with approved government policies, including identifying the need for corrective action and recommending ways to resolve any issues that are identified. d) Providing a framework for reviewing and assessing XXXXXX’s Business Plan and other reports provided to the Ministry. e) Ensuring that the Ministry provides SLASTO with the administrative support, financial and other services as set out in this MOU and its attached Schedules. f) Meeting with the Executive Chair as necessary to discuss matters of mutual importance to SLASTO and the Ministry, such as the services provided by the Ministry to SLASTO and the implementation of central agency and/or Ministry administrative policies. g) Informing SLASTO of the financial and administrative, human resources, corporate and other policies of the Ministry and government that apply to SLASTO, including those in respect of the Accessibility for Ontarians with Disabilities Act, 2005, French language services, freedom of information, privacy, quality service, workplace harassment and diversity. h) Ensuring that SLASTO incorporates diversity and inclusion into its business plan to promote an open and accessible administrative justice system. i) Ensuring annually, that the Executive Lead’s performance management plan reflects his or her reporting obligations to the Executive Chair and to the Deputy Minister, and the standards to be met in carrying out those responsibilities and obligations. The Executive Lead’s performance management plan will stipulate that the Executive Lead has an obligation to support the Executive Chair effectively and that this forms a part of the Executive Lead’s performance evaluation. j) The annual performance evaluation of the Executive Lead, in consultation with the Executive Chair.

Role of the Deputy Minister. The Deputy Minister (the “Deputy Minister”) is responsible for: (a) advising the Minister of the requirements of the MBC Directives that may affect the Commission; (b) advising the Minister on the elimination, consolidation and operation of the Commission; (c) establishing a framework for reviewing and assessing the Commission’s business plan and other reports and advising the Minister on the Commission’s documents submitted to the Minister for review and/or approval; (d) advising the Minister on meeting assigned ministerial responsibilities with respect to the Commission; (e) undertaking reviews as directed by the Minister; (f) co-operating with any periodic review directed by the Minister or MBC; (g) establishing a system for the retention of formal Commission documents and for appropriately making such documents publicly available; (h) monitoring the Commission on behalf of the Minister while respecting its authority, and where warranted, to identify the need for corrective action and recommending to the Minister ways of resolving issues; (i) negotiating with the Chair of the Commission a draft MOU for the Commission as directed by the Minister; (j) meeting with the Chair as needed or directed; (k) providing administrative, financial and other support to the Commission as specified in Schedule “A” and “B” of this MOU; (l) provide such documentation as is required to attest that the Agency is in compliance with the mandatory requirements of the AAD; (m) establishing and applying a financial management framework to support decision-making; (n) establishing a system to ensure that the Commission operates within the approved business plan; and, (o) attesting to TB/MBC on the Commission’s compliance with the mandatory accountability requirements set out in the AAD and other applicable TB/MBC directives, the government’s operational policies and policy directions based on the annual letter of compliance from the agency Chair to the Minister. The Deputy Minister may, in accordance with PSOA, sub- delegate any of the power and duties delegated to him or her under this MOU.
Role of the Deputy Minister. The Deputy Minister is responsible for: a. Advising and assisting the Minister regarding the Minister’s responsibilities for the Commission b. Advising the Minister on the requirements of the AEAD, the Government Appointees Directive and other directives that apply to the Commission c. Recommending to the Minister, as may be necessary, the evaluation or review, including a risk-based review, of the Commission or any of its programs, or changes to the management framework or operations of the Commission d. Facilitating regular briefings and consultations between the Chair and Minister, and between Ministry staff and Commission staff e. Attesting to TB/BC as required, to the Commission compliance with the mandatory accountability requirements set out in the AEAD f. Ensuring that the Ministry and the Commission have the capacity and systems in place for on-going risk-based management, including appropriate oversight of the Commission g. Ensuring that the Commission has an appropriate risk management framework and a risk management plan in place for managing risks that the Commission may encounter in meeting its program or service delivery objectives h. Undertaking timely risk-based reviews of the Commission, its management or operations, as may be directed by the Minister or TB/MBC i. Establishing a framework for reviewing and assessing the Commission’s business plans and other reports j. Supporting the Minister in reviewing the performance targets, measures and results of the Commission k. Advising the Minister on documents submitted by the Commission to the Minister for review or approval, or both l. Submitting to the Minister, as part of the annual planning process, a risk assessment and management plan for each risk category m. Undertaking reviews of the Commission as may be directed by the Minister

  • Chief Executive Office; Change of Name; Jurisdiction of Organization (a) The exact legal name, type of organization, jurisdiction of organization, federal taxpayer identification number, organizational identification number and chief executive office of such Grantor is indicated next to its name in Sections I.A. and I.B. of the Perfection Certificate. Such Grantor shall furnish to the Collateral Agent prompt written notice of any change in (i) its corporate name, (ii) the location of its chief executive office, its principal place of business, any office in which it maintains books or records relating to Collateral owned by it or any office or facility at which Collateral owned by it is located (including the establishment of any such new office or facility), (iii) its identity or type of organization or corporate structure, (iv) its federal taxpayer identification number or organizational identification number or (v) its jurisdiction of organization (in each case, including, without limitation, by merging with or into any other entity, reorganizing, dissolving, liquidating, reincorporating or incorporating in any other jurisdiction). Such Grantor agrees (A) not to effect or permit any such change unless all filings have been made under the UCC or otherwise that are required in order for the Collateral Agent to continue at all times following such change to have a valid, legal and perfected first priority security interest in all the Collateral (subject to, with respect to priority, Permitted Encumbrances having priority by operation of law) and (B) to take all action reasonably satisfactory to the Collateral Agent to maintain the perfection and priority of the security interest of the Collateral Agent for the benefit of the Credit Parties in the Collateral intended to be granted hereunder. Each Grantor agrees to promptly provide the Collateral Agent with certified Organization Documents reflecting any of the changes described in the preceding sentence. (b) The Collateral Agent may rely on opinions of counsel as to whether any or all UCC financing statements of the Grantors need to be amended as a result of any of the changes described in SECTION 4.3(a). If any Grantor fails to provide information to the Collateral Agent about such changes on a timely basis, the Collateral Agent shall not be liable or responsible to any party for any failure to maintain a perfected security interest in such Grantor’s property constituting Collateral, for which the Collateral Agent needed to have information relating to such changes. The Collateral Agent shall have no duty to inquire about such changes if any Grantor does not inform the Collateral Agent of such changes, the parties acknowledging and agreeing that it would not be feasible or practical for the Collateral Agent to search for information on such changes if such information is not provided by any Grantor.

  • Your Rights and Our Responsibilities After We Receive Your Written Notice We must acknowledge your letter within 30 days, unless we have corrected the error by then. Within 90 days, we must either correct the error or explain why we believe the bill was correct. After we receive your letter, we cannot try to collect any amount you question, or report you as delinquent. We can continue to bill you for the amount you question, including finance charges and we can apply any unpaid amount against your credit limit. You do not have to pay any questioned amount while we are investigating, but you are still obligated to pay the parts of your bill that are not in question. If we find that we made a mistake on your bill, you will not have to pay any finance charges related to any questioned amount. If we didn’t make a mistake, you may have to pay finance charges, and you will have to make up any missed payments on the questioned amount. In either case, we will send you a statement of the amount you owe and the date that it is due. If you fail to pay the amount that we think you owe, we may report you as delinquent. However, if our explanation does not satisfy you and you write to us within ten days telling us that you still refuse to pay, we must tell anyone we report you to that you have a question about your bill. In addition, we must tell you the name of anyone we reported you to. Upon settlement of a disputed bill, we must notify anyone we reported you to that the matter has been settled. If we don’t follow these rules, we can’t collect the first $50 of the questioned amount, even if your bill was correct.
