Scope of the maintenance services. The Contract shall provide the maintenance services for software and equipment as specified in more detail in Appendices 1 and 2. Unless otherwise is specified in Appendix 1 or Appendix 2, the maintenance services shall, as a minimum, include error handling and the services required to maintain the software's interaction with other software covered by the maintenance services (see Appendix 3). The deliveries from the Contractor shall, in an integrated manner, serve the functions and meet the requirements specified in the Agreement. Appendices 1 and 2 may describe how old versions of the relevant software and equipment should be maintained.

Scope of the maintenance services. The services provided under this Agreement shall include the following objectives: - Ensure that the solution has sufficient availability (97%) to achieve the Customer’s aim to have a Closed Loop Medication Administration - Ensure that the Offered Solution provided is updated in accordance with applicable laws and standards - Ensure that errors and vulnerabilities are corrected through version upgrades - Ensure professional sound and comprehensive management of the Offered Solution - Ensure that the Offered Solution maintains and improves its quality so that the Offered Solution does not deteriorate over time - Provide a predictable and stable solution - Provide cost-effective maintenance services The Customer may require that this Maintenance Agreement (“the Agreement”) includes: • Correction of reported errors (corrective maintenance) • Identification and correction of latent errors before occurring (preventive maintenance) Optionally, the Customer may require that the service also include: • Changes to meet changing software requirements and/or systems that the software interacts with (adaptive maintenance) • Changes to increase performance, maintainability, ease of use, etc. (Perfective maintenance)

  • Janitorial Services or Building Maintenance Services If this Agreement is for janitorial or building maintenance services, this section is applicable. If this Agreement requires Contractor to perform Services at a new site, Contractor shall retain for sixty (60) days all employees currently employed at that site by any previous contractor that performed the same services at the site. Contractor shall provide upon request information sufficient to identify employees providing janitorial or building maintenance services at each site and to make the necessary notifications required under Labor Code section 1060 et seq.

  • Software Maintenance Subrecipient shall apply security patches and upgrades in a timely manner and keep virus software up-to-date on all systems on which State data may be stored or accessed.

  • Maintenance and Support Services As long as you are not using the Help Desk as a substitute for our training services on the Tyler Software, and you timely pay your maintenance and support fees, we will, consistent with our then-current Support Call Process:

  • Site Maintenance The authorized area shall be maintained in a neat, clean, and safe condition, free of any solid waste, debris, or litter, except as specifically authorized herein.

  • Routine Maintenance (i) CRC shall be responsible for Routine Maintenance when necessary or desirable to maintain the Shared Assets in a safe operating condition, and to permit and facilitate (A) the performance by CRC of its obligations pursuant to this Agreement, and (B) the use of Shared Assets by the Operators in accordance with this Agreement.

  • Software Maintenance and Support If You purchase Software Maintenance and Support for the Software, the Software Maintenance and Support will be provided as described in Kofax’s then current Software Maintenance and Support Agreement, available at xxxx://xxx.xxxxx.xxx/legal/SMSA, and which is incorporated herein by this reference. If You are active and current on Software Maintenance and Support, You may request reconfigurations of the Software subject to Your payment of Kofax’s then current standard rates for such reconfigurations. Kofax will have no liability to You arising from or related to Your cessation of Software Maintenance and Support, whether from Your failure to timely renew Software Maintenance and Support or otherwise. If You elect to reinstate Software Maintenance and Support following expiration of the Software Maintenance and Support for whatever reason, You will (a) pay a reinstatement fee equal to the sum of the current annual Software Maintenance and Support fees, any unpaid Software Maintenance and Support fees from the date of expiration to the date of reinstatement, and an amount equal to one additional year of Software Maintenance and Support fees, and (b) apply all upgrades, enhancements and new releases to the Software needed to bring Your Software current with Kofax’s most current supported version of the Software. Software Maintenance and Support pricing will increase for renewal terms by an amount not to exceed 5% of the prior year term fee, provided that increases associated with additional software license purchases, if any, will be incorporated into the base for the purpose of calculation of each annual increase.
