SMC. TJR has filed an action against SMC alleging copyright and trademark infringement with regard to certain jewelry produced and sold by SMC. The case is in early stages and no demand has been made. Borrower has received threats from vendors indicating their intention to file a Petition of Involuntary Bankruptcy under Chapter 7 of the U.S. Bankruptcy Code. To date, to the Borrower's knowledge, no vendor has actually filed such a petition.
SMC. The Administrative Agent shall have received an SMC for each Vessel other than the BULWARK, CRUSADER and MARINER. An SMC for each of the BULWARK, CRUSADER and MARINER will be provided to the Administrative Agent before February 28, 2004.
SMC. As such, Licensee shall be exclusively authorized to conduct events and exclusively responsible for conducting events, and for allowing other parties to conduct events on the Premises, without payment of any permitting fees to SPR subject to the following:
SMCFor example, if Kronos determines, at the beginning of its fiscal year 1997, that the SMC for the System 400 was *** less in fiscal year 1996 than in fiscal year 1995, Kronos would reduce the price per unit on the Kronos 440, 460 and 480 by *** so that the price charged to ADP, beginning on October 1, 1996, would be ****. Any decrease in price will apply prospectively only beginning with all orders received after September 30 (i.e., orders placed on or after October 1). The procedure described herein will be repeated at the beginning of each Kronos fiscal year during the term of this Agreement. In addition, beginning in Kronos' fiscal year 1997, Kronos will determine the average selling price ("ASP") for the System 440, 460, 480, 300, (including modem and only if sold with TKC 250 or TKC for fewer than 250 employees) for the preceding fiscal year. If the ASP is below ****, Kronos will reduce the Price Per Unit (stated above) on the Kronos 440, 460 and 480 by *** of the amount by which the ASP is less than *****. For example, if the ASP in fiscal year 1996 was *****, Kronos would reduce the price per unit charged to ADP by ***, beginning on October 1, 1996. Any decrease in price will apply prospectively only beginning with all orders received after September 30. The procedure described herein will be repeated at the beginning of each Kronos fiscal year during the term of this Agreement.
SMC. Such work includes, but is not limited to: receiving and examining information presented in administrative hearings and quasi-judicial proceedings under the SMC; maintaining a full and complete record of party submissions in connection with administrative hearings and quasi-judicial proceedings; conducting public hearings in land use, code enforcement, and other administrative matters authorized under the SMC, or as otherwise referred by the City Council; handling administrative appeals; and preparing written decisions and recommendations, all within the City's established time limits. 2. Contractor shall work independently and without direct supervision of any City department or official but will receive scheduling and hearing coordination assistance from City staff, as needed. Contractor will remain fully knowledgeable of applicable laws affecting Contractor’s duties. 3. Contractor shall conduct an orderly and impartial review of matters assigned, creating a professional and courteous environment for applicants, appellants, citizens, and staff, and shall timely prepare a decision based on sound reasoning and applicable law. When convenient for the parties, legal counsel, and witnesses, and to reduce costs to the City, the Contractor is encouraged to hold hearings by remote access technology when feasible to do so. 4. Contractor shall provide the office space and equipment necessary to perform his obligations under this Contract and shall maintain an active e-mail address for electronic communications and transfer of information. Contractor shall provide necessary administrative support for handling and organizing materials and information submitted by the parties. The City shall provide a hearing room for any in-person hearings and shall arrange for recording of hearings when necessary. The City shall also provide remote video access technology hosting and online participant links for conducting remote hearings when deemed appropriate by Contractor and shall provide Contractor with a recording of such hearings. The City shall also make a staff member available to service as clerk to the hearing examiner for coordinating communications, scheduling, and transmitting and maintaining hearing materials with the parties and/or their counsel. 5. Routine office overhead costs, such as minor photocopying, phone, electronic legal research, office supplies, and clerical/administrative support are not reimbursable. SMC. Upon adoption of the ordinance or resolution that approves this Agreement, the City shall issue a Notice of Decision that conforms to the content and distribution requirements of SMC 16A.15.020 and SMC 16A.15.030, respectively.

  • Supplier A manufacturer, fabricator, distributor, supplier, or vendor of goods or equipment in connection with the Work, or any other party having a Contract or Purchase Order with the Contractor or with a Subcontractor to furnish materials or equipment to be incorporated in the Work by the Contractor or a Subcontractor.

  • Vendor upon request and without further consideration, shall perform any acts that may be deemed reasonably necessary or desirable by Customer to evidence more fully the transfer of ownership and/or registration of all Intellectual Property Rights in all Work Product to Customer to the fullest extent possible, including but not limited to the execution, acknowledgement and delivery of such further documents in a form determined by Customer. In the event Customer shall be unable to obtain Vendor’s signature due to the dissolution of Vendor or Vendor’s unreasonable failure to respond to Customer’s repeated requests for such signature on any document reasonably necessary for any purpose set forth in the foregoing sentence, Vendor hereby irrevocably designates and appoints Customer and its duly authorized officers and agents as Vendor’s agent and Vendor’s attorney-in-fact to act for and in Vendor’s behalf and stead to execute and file any such document and to do all other lawfully permitted acts to further any such purpose with the same force and effect as if executed and delivered by Vendor, provided however that no such grant of right to Customer is applicable if Vendor fails to execute any document due to a good faith dispute by Vendor with respect to such document. It is understood that such power is coupled with an interest and is therefore irrevocable. Customer shall have the full and sole power to prosecute such applications and to take all other action concerning the Work Product, and Vendor shall cooperate, at Customer’s sole expense, in the preparation and prosecution of all such applications and in any legal actions and proceedings concerning the Work Product.

  • CONTRACTOR CUSTOMER SERVICE REPRESENTATIVE Contractor shall designate a customer service representative (and inform Enterprise Services of the same) who shall be responsible for addressing Purchaser issues pertaining to this Contract.

  • CONTRACTOR INVOICE Contractor shall submit properly itemized invoices to Purchaser’s designated invoicing contact for Services delivered under this Contract. Such invoices shall itemize the following: (a) Contract No. 14822; (b) Contractor name, address, telephone number, and email address for billing issues (i.e., Contractor Customer Service Representative); (c) Contractor’s Federal Tax Identification Number; (d) Date(s) of delivery; (e) Applicable Services; (f) Invoice amount; and (g) Payment terms, including any available prompt payment discounts. Contractor’s invoices for payment shall reflect accurate Contract prices. Invoices will not be processed for payment until receipt of a complete invoice as specified herein.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • PRODUCER Provide the producer’s name, address (including country), e-mail address, and telephone number, if different from the certifier or exporter or, if there are multiple producers, state “Various” or provide a list of producers. A person who wishes for this information to remain confidential may state “Available upon request by the importing authorities”. The address of a producer shall be the place of production of the good in a Party’s territory.

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.

  • Operator The Optionee shall be the operator for purposes of developing and executing exploration programs.

  • Modern Slavery You hereby affirm your compliance with the Modern Slavery Xxx 0000 and associated guidance. You confirm (a) that you have read, are familiar with and shall not perform an act or omission which is in contravention with, the letter or spirit of the Act; and (b) you carry out regular, meaningful and comprehensive due diligence procedures and have internal policies in place to address any suspected human rights abuse in your business and Group where applicable.

  • Supplier’s Staff 3.3.1 Access to the Premises shall be limited to such Staff and the Supplier’s suppliers as are necessary for the Supplier to fulfil its obligations under the Contract. The Supplier shall co-operate with others working on the Premises to such extent as the Authority may reasonably require. 3.3.2 The Authority reserves the right to refuse to admit to, or to withdraw permission to remain on, the Premises:- (a) for any member of the Staff; or (b) for any person employed or engaged by any member of the Staff, whose admission or continued presence would be, in the reasonable opinion of the Authority, undesirable. 3.3.3 At the Authority’s written request, the Supplier shall provide a list of the names and business addresses of all persons who may require admission in connection with the Contract to the Premises, specifying the capacities in which they are concerned with the Contract and giving such other particulars as the Authority may reasonably request. 3.3.4 The Supplier’s Staff, engaged within the boundaries of the Premises, shall comply with such rules, regulations and requirements (including those relating to security arrangements) as may be in force from time to time for the conduct of personnel when at or outside those premises. 3.3.5 If the Supplier fails to comply with Clause 3.3.3 within one (1) Month of the date of the request and in the reasonable opinion of the Authority, such failure may be prejudicial to the interests of the Crown, then the Authority may terminate the Contract, provided always that such termination shall not prejudice or affect any right of action or remedy which shall have accrued or shall thereafter accrue to the Authority. 3.3.6 The decision of the Authority as to whether any person is to be refused access to the Premises and as to whether the Supplier has failed to comply with Clause 3.3.3 shall be final and conclusive.
