Specifications of Work. The Contractor agrees to perform the Specifications of Work as described in Rider A provides a suite of services offered by the Contractor to the University. As required by the University institutions, the parties will develop jointly specific Services Engagement documents. The required format of this document is detailed in Rider D. The document will be governed by all the terms in this agreement; except that the engagement administrator for purposes of managing the service deliverables may be different than this Agreement Administrator and the term may be different than the term of the agreement but may not extend beyond this Agreement termination date. Institutions may execute more than one agreement for services to support their needs over the term of this Agreement Term: This Agreement shall commence on December 22, 2022 and shall terminate on June 30, 2027, unless terminated earlier as provided in this Agreement. Payment shall be made upon submittal of an electronic invoice to the University by the Contractor on a net 30 basis unless discount terms are offered. In the event there is a discrepancy with the invoice, payment terms shall be effective starting on the date the discrepancy is resolved, for only that portion of the invoice that is disputed. Invoices must include a purchase order number.
Specifications of Work. 1.1 The parties agree that the general scope and results of the Services to be completed by NaviSite shall be developed by CBT and by NaviSite and consist primarily of the day-to-day management of the Data Centers as more fully described on Exhibit B (attached hereto and made a part hereof by reference).
1.2 All Services shall be performed in a xxxxxxx like fashion. Unless otherwise requested by CBT, NaviSite shall prepare and deliver to CBT monthly reports/invoices regarding any Services ongoing or performed during each month of the term of this Agreement.
1.3 CBT agrees that it will not directly or indirectly, during the term of this Agreement, solicit or utilize the services of any other vendor or contractor for the Services to be provided by NaviSite.

Contractor’s obligations hereunder are specified in Attachment 4: Description of System and related drawings and plans and any subsequent revisions thereto, as approved by the County. Excluded from the Work are any modifications or alterations to the properties not expressly included within the Work. The requirements of all applicable laws, regulations and codes of federal, state, and local town or city government shall be met at all times. All Work shall be performed in a professional, competent and workmanlike manner.

Contractor’s obligations regarding the Work are specified in Attachment 3: System Description and related drawings and plans and any subsequent revisions thereto, and in Attachment 4: Scope of Work. Excluded from the Work are any modifications or alterations to the Premises not expressly included within the Work. The requirements of all Applicable Law shall be met at all times. All Work shall be performed in a professional and competent manner.

ESCO’s obligations hereunder are specified in Attachment 6 – Scope of Work and Project Schedule and related drawings and plans and any subsequent revisions thereto (“Scope of Work”), as approved by the Customer. Any modifications or alterations to the properties not expressly included within the Scope of Work are excluded from the Work. The requirements of all applicable laws, regulations and codes of federal, state, and local town or city government shall be met at all times. Additional construction or operation requirements at the Premises, if any, are described in Attachment 7 - Additional Requirements. All Work shall be performed in a good and workmanlike manner. Time is of the essence with respect to the Work.
