Storage and Handling Charges. (a) Depositor shall pay the storage charges and service fees at the rates set forth in the written price quotation in effect at the time such charges accrue or the Services are performed. All Goods are stored on a month-to-month basis. The Goods are deemed to be received on the date that the Warehouse Operator accepts care, custody, and control of the Goods, regardless of unloading date or the date warehouse receipt is issued. Notwithstanding the above, and subject to any contrary or additional terms contained in applicable price quotes, (i) a full month's storage charge will apply to all Goods received between the first and the 15th, inclusive, of a calendar month; (ii) one- half month's storage charge will apply to all Goods received between the 16th and last day, inclusive, of a calendar month; and (iii) a full month's storage charge will apply to all Goods in storage on the first day of a calendar month. (b) Handling charges cover the ordinary labor involved in receiving Goods at the warehouse door, placing Goods in storage, and returning Goods to the warehouse door for pickup. Handling charges are due and payable on receipt of Goods. Unless otherwise agreed in writing, labor for unloading and loading Goods will be subject to a charge. Additional expenses incurred by Warehouse Operator in receiving and handling damaged Goods, and additional expenses in unloading from or loading into cars or other vehicles not at warehouse door will be charged to the Depositor. Labor and materials used in loading rail cars or other vehicles are chargeable to Depositor. When Goods are ordered out in quantities less than in which received, Warehouse Operator may include an additional charge for each order or each item of an order. The Warehouse Operator shall not be liable for any demurrage or detention, any delays in unloading inbound cars, trailers or other containers, or any delays in obtaining and loading cars, trailers, or other containers for outbound shipment unless Warehouse Operator has failed to exercise reasonable care. Additional charges apply to other specified services at the rates set forth in the written price quote in effect at the time such charges accrue or the services are performed, and will be separately billed as such services are performed. Storage and Handling Charges. 15.1.1. Subject to the provisions of this Agreement, the Concessionaire upon achieving COD for the Project and Completion Certificate having been issued, and in consideration of the Concessionaire performing and discharging its obligations in accordance with the terms, conditions and covenants set forth in this Agreement, Authority shall pay to the Concessionaire the Storage and Handling Charges as per provisions of this Agreement from the COD to the Terminal Date or till Termination Date, whichever is earlier. 15.1.2. In the event, COD is earlier than the SCOD, the Authority may, at its sole discretion, start utilizing the Silo Complex against payment of the Storage and Handling Charges. 15.1.3. The Storage and Handling Charge payable by the Authority to the Concessionaire shall have the following components to be calculated as per Schedule I : a) Fixed Storage Charge; b) Variable Charge; c) Handling Charges; and d) Service Tax, as applicable under service tax rules and provided the Concessionaire is having a valid service tax registration. 15.1.4. The payment towards the Fixed Storage Charge to be made to the Concessionaire by the Authority shall be calculated as per Schedule I. The Fixed Storage Charges shall be payable on the Capacity of the Silo Complex, irrespective of the actual usage of the Silo Complex by the Authority but subject to the Availability of the facility. The Fixed Storage Charge, in Rupees per ton per year, to be quoted by the successful bidder will not be indexed till COD and will be applicable for the first financial year of operation (Base unit rate of Fixed Storage Charge). The applicable Fixed Storage Charge for the subsequent Accounting Year shall be determined by decreasing the Base unit rate of Fixed Storage Charge for the immediately preceding Accounting Year by 2% (two per cent) thereof. For the avoidance of doubt, the Fixed Storage Charge for the second and third Accounting Year shall be a sum equal to 98% (ninety eight per cent) and 96.04% (ninety six point zero four per cent) respectively of the amount quoted by the successful bidder. The payment towards Storage Charges shall be made on a monthly basis.

(c) If the Storage Agreement indicates that the Goods will be stored on a one (1) year basis: (i) Subject to Gadget Lab’s right to revise its rates for a Renewal Term (as described below), Customer shall pay the storage charges and service fees at the rates set forth on the Storage Agreement. All charges for storage are per reserved (whether or not actually utilized by Customer) shelving rack (or half thereof), or other unit specified in the Storage Agreement. At least forty-five (45) days prior to the commencement of any Renewal Term (as defined below), Gadget Lab may revise its rates, with such revisions to be effective with respect to Customer beginning with said Renewal Term. (d) Notwithstanding the above, if Customer’s storage exceeds the rack space that is reserved per the Storage Agreement, with respect to such excess Goods, (i) a full month’s storage charge will apply to all Goods received between the first and the 15th, inclusive, of a calendar month; (ii) one-half month’s storage charge will apply to all Goods received between the 16th and last day, inclusive, of a calendar month; and (iii) a full month’s storage charge will apply to all Goods in storage on the first day of a calendar month. With respect to such excess Goods, Customer shall pay the storage charges and service fees at the rates set forth on Gadget Lab’s Rate Sheet in effect at the time such charges accrue or the services are performed.

H-GAC will invoice Contractor for the applicable order processing charge when H-GAC receives notification of an END USER order. Contractor shall remit to H-GAC the full amount of the applicable order processing charge, after delivery of any product or service and subsequent END USER acceptance. Payment of the Order Processing Charge shall be remitted from Contractor to H-GAC, within thirty (30) calendar days or ten (10) business days after receipt of an END USER’s payment, whichever comes first, notwithstanding Contractor’s receipt of invoice. For sales made by Contractor based on this Agreement, including sales to entities without Interlocal Agreements, Contractor shall pay the applicable order processing charges to H-GAC. H-GAC reserves the right to take appropriate actions including, but not limited to, Agreement termination if Contractor fails to promptly remit the appropriate order processing charge to H-GAC. In no event shall H-GAC have any liability to Contractor for any goods or services an END USER procures from Contractor.
