Subcontractor Management. The Contractor is responsible for executing the requirements of this contract and shall institute appropriate management actions relative to subcontractor performance. The Contractor shall flow down the requirements of this entire SOW to all Subcontractors, regardless of contract value. Requirements that are contractually specified shall apply to Subcontractor performance; however, the Contractor shall be accountable for the subcontractor’s compliance and is responsible for ensuring all deliverables comply with the contract requirements.
Subcontractor Management. S11.1.1 Where the Service Provider is sub-contracting any component of the scope of works the Service Provider remains wholly responsible for all sub-contract and sub-contracted Services.
S11.1.2 The Service Provider is responsible for the review, inspection and conformity of all documentation and services to be sub-contracted prior to delivery to, or inspection by, AMSA.
Subcontractor Management. This Information Security Standard shall apply to all subcontractors utilized by the Third Party/Supplier that handle Information belonging to or entrusted to Lilly resides oxxxxxe Lilly’s environment and/or when the Third Party/Supplier has remote access connection to Lilly’s environment. It is the responsibility of the Third Party/Supplier to ensure the Information Security Standard is communicated to and complied with by each subcontractor. For the avoidance of doubt, subcontractors include, but not limited to; reprographics third pa rties/suppliers, off-site storage third party/supplier, software developers, cloud hosting facilities and data center facilities. Formal contracts between Third Party/Supplier and subcontractors must be executed that outline the controls to be provided, including co ntrols to maintain the confidentiality, availability, and integrity of Information. Initial and on-going assessments must be conducted to ensure subcontractors are adhering to the Information Security Standard and security incidents and problems are managed appropriately. Third Party/Supplier must inform Lilly and obtaix xxx tten approval prior to the use of subcontractors who will either handle Information or have access to Third Party/Supplier or Lilly systems in which such Information resides, as well as the country lo cation(s) where any Information will be handled.
Subcontractor Management. Currently SunPlus does not plan to use any sub-contractors for this project. If Subcontractors are required, SunPlus will submit a subcontractor management plan to State and Subcontractor Management will be an integral part of our standard processes and will be fully incorporated in our Program Management Approach. XxxXxxx has executed teaming agreements with all our subcontractors. SunPlus, as the prime contractor, is fully responsible for all deliverables and the activities of our team members including the subcontractors. SunPlus will fully integrate all our subcontractors into the planning, scheduling, and reporting requirements for each task. This process provides a direct control point to fully integrate the subcontractors as part of the project team. Our task monitoring process, detailed reviews, reports, and metrics will allow detailed management and visibility that allows us to isolate the contribution and impact of our subcontractors’ efforts in satisfying the assigned task requirements. This ensures continuity of operations and mitigates the State’s risk.
Subcontractor Management. Describe the approach to subcontractor management. Describe the internal processes and procedures for managing subcontractors in the performance of the PWS tasks. Include the prime and subcontractor division of roles and responsibilities in the planned execution of PWS tasks. Explain the subcontractors’ added value. (b) Supplier shall be and remain fully responsible to Mirror for providing the Equipment and Services in accordance with the requirements of this Agreement, the Time Schedule, the Specifications and Prudent Industry Practice, irrespective of the performance of its Subcontractors and their respective Subcontractors, employees, agents, representatives and consultants.
(c) Nothing contained herein shall be interpreted to create any contractual or labor relationship between any Subcontractor and Mirror, except to the extent such relationship is created by a direct contract between Mirror and such Subcontractor. [***] Supplier shall be fully responsible to Mirror for the acts and omissions of Subcontractors contracted by it or by its Subcontractors, and Supplier shall indemnify, defend and hold harmless Mirror against any and all Losses that Mirror may suffer, incur or bear as a result of any acts, omissions or default by or on behalf of any such Subcontractor.
(d) Mirror shall have the right to cause Supplier to dismiss from the Project any Subcontractor engaged by Supplier if, in Mirror's reasonable judgment, such Subcontractor or its employees or Subcontractors is not performing in a competent, workmanlike and professional manner and in accordance with Mirror's policies governing employee conduct and Prudent Industry Practices, upon written notice given to Supplier at least thirty (30) days in advance of the [*] Certain material (indicated by an asterisk) has been omitted from this document pursuant to a request for confidential treatment. The omitted material has been filed separately with the Securities and Exchange Commission.
Subcontractor Management. 9.1 Supplier is responsible for ensuring the ESCATEC Quality Policy (a copy of which is acknowledged received by Supplier), applicable procedures and Product/service documentation and subsequent changes are relayed to Subcontractor. Supplier is responsible for the Subcontractor’s quality of incoming materials for implementing appropriate controls for their verification. Supplier is fully responsible and shall ensure that all Subcontractor’s activities/parts/products/processes are in conformance with Applicable Laws. Supplier undertakes to actively manage Subcontractor’s performance and communicate to ESCATEC of any known and potential risks and improvement opportunities.

(b) Nortel shall be and remain fully responsible to Mirror for providing the Equipment and Services in accordance with the terms and conditions of this Agreement irrespective of [***] the performance of Subcontractors, or any of their respective employees, agents, representatives and consultants.
(c) Nothing contained herein shall be interpreted to create any contractual or labor relationship between any Subcontractor and Mirror, except to the extent such relationship is created by a direct contract between Mirror and such Subcontractor. [***] Nortel shall be fully responsible to Mirror for the acts and omissions of Subcontractors contracted by it [***] and Nortel shall indemnify, defend and hold harmless Mirror against any and all Losses arising out of or related to any acts, omissions or default by or on behalf of any Subcontractor in connection with its or Nortel's obligations under this Agreement.
(d) Mirror shall have the right to cause Nortel to dismiss from the Project any Subcontractor engaged by Nortel [***] if, in Mirror's reasonable judgment, such Subcontractor (or any of its employees or Subcontractors) is not performing in a competent, workmanlike and professional manner and in accordance with Mirror's policies governing employee conduct and Prudent Industry Practices, upon written notice given to Nortel at least thirty (30) days in advance of the intended date for such dismissal. Notwithstanding the foregoing sentence, if Nortel reasonably deems that any Prime Subcontractor whose dismissal Mirror requests must complete its work under any then outstanding Order Document prior to its dismissal (in order to avoid any delay in the performance of Nortel's obligations under the Time Schedule), Nortel shall be allowed to maintain such Prime Subcontractor until such work then outstanding is completed. Such dismissal shall in no way release Nortel from its obligations and responsibilities under this Agreement.
Subcontractor Management. Contractor is responsible for managing all subcontractors. The Contractor remains responsible for all functions and activities delegated to subcontractors to the same extent as if such functions were to be performed by the Contractor. Such functions performed by subcontractor will be deemed performed by the Contractor. In no event will the Contractor be relieved of its obligations under this PWS as a result of its use of any subcontractors. The Contractor will be Government’s sole point of contact regarding the Contractor Services, including with respect to payment.

1.2.1 Base Period Subcontractor Management
