Training; Promotional Materials. Array shall provide to both PartiesSales Representatives such Product-specific training and promotional materials as are reasonably necessary to effectively promote the Product consistent with the Commercialization Plan, subject to good faith consultation with Oncothyreon. Each Party’s Sales Representatives will utilize only the promotional, advertising, educational and communication materials so provided to them by Array, and will not utilize any other promotional, advertising, educational or communication materials or other materials relating to or referring to the Product. Each Party’s Sales Representatives will conduct only those promotional and other activities relating to the Product that have been approved in advance in accordance with the Commercialization Plan. Neither Party’s sales representatives shall modify, change or alter the promotional, advertising, educational and communication materials provided by Array in any way whatsoever. Each Party’s Sales Representatives shall use such materials solely for the purpose of performing their obligations under this Agreement.

Training; Promotional Materials. 6.1 The Company shall provide one (l ) business week of Product training for up to five (5) of the Distributor's personnel covering, among other items. the following: certification for system application, safety, equipment operation, equipment servicing, and business model information, which training shall be provided at no additional expense to the Distributor. Any expenses incurred by the Distributor or its personnel in connection with attendance at such training (such as for food, lodging and travel to and from the training site) shall be the responsibility of the Distributor. 6.2 The Company shall send one of its technicians to China to provide an initial Product and supervisory demonstration and certification for local. non-English speaking personnel. Any expenses incurred by the Company or its personnel i n connection with attendance at such demonstration and certification (such as for food, lodging and travel) shall be the responsibility of the Company. 6.3 The Company shall provide such English-language training manuals, guidelines and other materials as the Company makes available to other sales personnel or agents. 6.4 The Company will provide the Distributor reasonable amounts of its standard promotional or advertising matter, in English, as may be requested by the Distributor. In connection with its marketing and sales activities hereunder, the Distributor shall have the right to design and employ such promotional materials including, without limitation, any packaging, labeling, advertising. marketing, package inserts, leaflets. brochures, instruction sheets, manuals, video presentations and other collateral materials (collectively, the "Marketing Materials") as the Distributor may prepare at its expense and in its sole discretion, provided that such Marketing Materials comply with all laws and regulations pertaining to the importation, advertising, marketing. sale and distribution of goods within the Territory. In such regard. the Parties agree as follows: (a) the Marketing Materials may be in English, Chinese or any dialect natively spoken within the Territory, or any combination thereof; (b) the Company will have the right to approve, in advance, any Marketing Materials prepared by the Distributor which incorporate the name Heatwurx, and any other trademark, copyright. logo or other indicia owned and used by the Company outside of the Territory.   • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

(b) During the term of this Agreement, the Manager agrees to furnish the Sub-Adviser at its principal office all prospectuses, proxy statements, reports to shareholders, or Marketing Materials prepared for distribution to shareholders of each Series, or the public that refer to the Sub-Adviser in any way, prior to the use thereof, and the Manager shall not use any such materials if the Sub-Adviser reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. The Sub-Adviser’s right to object to such materials is limited to the portions of such materials that expressly relate to the Sub-Adviser, its services and its clients. The Manager agrees to use its reasonable best efforts to ensure that materials prepared by its employees or agents or its affiliates that refer to the Sub-Adviser or its clients in any way are consistent with those materials previously approved by the Sub-Adviser as referenced in the first sentence of this paragraph. Marketing Materials may be furnished to the Sub-Adviser by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Instructional Materials A. The Board recognizes that appropriate texts, library reference facilities, maps and globes, laboratory equipment, audio-visual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, computers, and similar materials are the tools of the teaching profession. B. Efforts shall be continued to seek and use instructional materials which reflect the contribution and presence of diverse ethnic and cultural groups. C. 1. Selection of instructional materials for each school shall be made by a committee of teachers chosen by the faculty within that school.

  • Product Labeling The labeling of all Licensed Products sold or offered for sale under this Agreement shall expressly state that the Licensed Product is manufactured under a license from the Medicines Patent Pool.

  • Regulatory Materials (a) On a Program-by-Program basis, commencing on the Effective Date until the Regulatory Transfer Date, Prothena shall have the right, in consultation with Celgene, to prepare, file and maintain all Regulatory Materials (including any Regulatory Approvals) necessary for the Development and Manufacture of any Collaboration Candidates and Collaboration Products for such Program (collectively, the “Program Regulatory Materials”), and to interact with Regulatory Authorities in connection with the Development and Manufacture of any Collaboration Candidates and Collaboration Products for such Program. Prothena will provide Celgene with a reasonable opportunity to comment substantively on all material Regulatory Materials prior to filing or taking material action, and will reasonably and in good faith consider any comments and actions recommended by Celgene, including with respect to filing strategy. In addition, Prothena will allow Celgene or its representative to attend any and all meetings with Regulatory Authorities to the extent such attendance is not prohibited or limited by such Regulatory Authority. (b) If Celgene exercises its Phase 1 Portion Participation Right for a given Program, then immediately after such exercise, Prothena shall initiate the transfer of all Program Regulatory Materials, including for clarity any IND for the relevant Collaboration Candidates and/or Collaboration Products that are the subject of such Program to Celgene. The date on which such Program Regulatory Materials are transferred to Celgene shall be the “Regulatory Transfer Date” for such Program. Thereafter, Celgene shall have the right, in consultation with Prothena, to prepare, file, and maintain such Program Regulatory Materials, and to interact with Regulatory Authorities in connection with the Development and, as applicable, Manufacture of such Collaboration Candidates and Collaboration Products for such Program in accordance with the terms and conditions of Section 2.5. Additionally, with respect to any Phase 1 Clinical Trial conducted by Celgene pursuant to Section 2.5, Celgene will provide Prothena with a reasonable opportunity to comment substantively on all material Program Regulatory Materials prior to filing or taking material action, and will reasonably and in good faith consider any comments and actions recommended by Prothena, including with respect to filing strategy. In addition, with respect to any Phase 1 Clinical Trial conducted by Celgene pursuant to Section 2.5, Celgene will allow Prothena or its representative to attend any and all meetings with Regulatory Authorities to the extent such attendance is not prohibited or limited by such Regulatory Authority. For clarity, if the Regulatory Transfer Date does not occur prior to the expiration of the Option Term for such Program, Section 2.6.1(a) (and not this Section 2.6.1(b)) shall apply.
