Union Employees. The Un­ ion, if requested, will furnish men, insofar as they are available, who will work to the best interest of the Employer in every way, just and lawful, who will give honest and diligent service to patrons of the Employer’s estab­ lishment, and who will do everything within their power for the uplifting of the meat industry.

Union Employees. Purchaser shall offer employment on or prior to the Closing Date to each U.S. Employee covered by the Collective Bargaining Agreements between AlliedSignal and the United Auto Workers ("UAW") or UAW Local 179, including the Local Agreement between AlliedSignal and UAW Local 179, the Master Agreement between AlliedSignal and the UAW, and all associated agreements that are part of such Master Agreement, including the letters of understanding and agreements covering pensions, insurance and savings plans (collectively, the "Bargaining Agreements") as described in Schedule 4.7 (such covered Employees being referred to, collectively, as "Union Employees"), provided that such Union Employee is actively at work on the Closing Date. Purchaser shall provide each Union Employee with compensation (base rate of pay and incentive compensation, if any) no less than that required by the applicable Bargaining Agreements and any applicable side letters and schedules immediately prior to the Closing Date. A Union Employee who is absent on the Closing Date due to illness, vacation, paid leave, holiday or union office leave or who is otherwise subject to recall with seniority rights shall to the extent required by the applicable Bargaining Agreement and any applicable side letters and schedules be considered actively at work on the Closing Date. The Union Employees who are actively at work on the Closing Date shall hereafter be called "Union Transferred Employees". Sellers shall retain the obligation to provide any Union Employee who does not become a Union Transferred Employee on the Closing Date with benefits under Sellers' Pension Plans for Union Employees, as defined herein, and all other benefits required to be provided by the Bargaining Agreements.

Union Employees. Collectively bargained (union) employees who participate in the following unions:
Union Employees. (a) Buyer will not assume, and will not be bound by, the terms and obligations of the relevant Collective Bargaining Agreement with respect to the Union Employees as a successor or assign of Seller. However, on the Closing Date, Buyer agrees to recognize the Union as the representative of the Union Employees at the Union’s request, to comply with its good-faith bargaining obligations, and to otherwise comply with its obligations under the National Labor Relations Act. (b) Unless otherwise agreed by Buyer and the Union, for a period of no less than twelve (12) months following the Closing Date, Buyer shall agree to honor all recall rights held by any current or former employees of the Business under the Collective Bargaining Agreement between Seller and the Union dated as of November 7, 2008. (c) Only if (i) Buyer does not extend an offer (a “UE Offer”) to such Union Employee (other than union employees whom Seller is in the process of terminating); (ii) Buyer revokes a UE Offer made to such Union Employee prior to the Closing; or (iii) a Union Employee rejects the UE Offer and the UE Offer to such Union Employee provided (1) wages that are less favorable than the Union Employee’s wages immediately prior to the Closing and (2) compensation and benefits that are, overall, less than substantially comparable in the aggregate to the Union Employee’s compensation and benefits prior to Closing, then Buyer shall be responsible for all costs and Liabilities with respect to any Union Employee who does not become a Transferred Employee that arise from conduct of Buyer or any of its Affiliates or from the termination of employment of such Union Employee by Seller immediately prior to, on or after the Closing Date or from any tort or discrimination Claims brought by such Union Employee against Seller.
Union Employees. VNG shall recognize the Local 50 of the International Brotherhood of Electrical Workers as the bargaining representative for VNG Employees currently represented, acknowledging the continuation of the applicable Collective Bargaining Agreement through its term and the continuation of the employment of all union employees as of the Closing Date.
