Use of Office. The Base Services provided to Client under this Agreement include a license to use the Office described in the Basic Terms for the specific and limited purposes set forth in this Agreement without diminution of the legal possession or control thereof by the Center, and which license shall be revocable at the option of the Center upon the destruction of the facilities operated by the Center or any default by Client under this Agreement. The Center shall have the right, upon thirty (30) days’ prior written notice to Client from time to time, to substitute another office of substantially similar size and configuration for the Office originally designated above at the same Monthly Base Services Fee therefor. The Center shall relocate Client to such substitute office at the Center’s cost. Client shall have access to the Office twenty-four (24) hours a day, seven (7) days a week, subject to fire, flood or other casualty, acts of God, strikes, lock-outs, labor disputes, shortages of material or labor, or any other cause beyond the control of the Center. The Center shall have the right to show the Office to prospective clients, but shall use reasonable efforts not to disrupt Client’s business. CLIENT EXPRESSLY ACKNOWLEDGES THAT THIS AGREEMENT AND THE LICENSE GRANTED FOR OFFICE USE HEREIN DO NOT TRANSFER POSSESSION TO THE CLIENT, ARE NOT INTENDED TO AND SHALL NOT BE DEEMED TO CREATE A LEASE OR ANY OTHER INTEREST IN REAL PROPERTY IN FAVOR OF THE CLIENT, BUT MERELY CREATE A REVOCABLE LICENSE IN ACCORDANCE WITH THE TERMS HEREOF. This Agreement is subject and subordinate to the underlying lease of the premises comprising the Center (the “Master Lease”). Client acknowledges that it is not a party to nor shall Client have any rights under the Master Lease, and further acknowledges that, notwithstanding anything to the contrary contained in this Agreement, this Agreement shall terminate simultaneously with any termination of the Center’s operation, or the termination of the Master Lease, by any cause or for any reason. The Client must only use the office for office purposes. Office use of a “retail” or “medical” nature, involving visits by members of the public, is not permitted. The use of the office is limited to internal use, the client is not permitted to affix any poster, sticker, logo or any other signage at the outside of the office.

Use of Office. The Licensee will use the office for general office purposes and for any other purposes set forth in Schedule A and for no other purpose without prior written permission from the Company. Licensee may not offer services that compete with those already offered by the Company. Licensee may install typical office equipment of the type and quantity typically in use in modern offices. Licensee shall not install other equipment without the written consent of the Company. Most services provided by the Company are provided on an ‘unmetered’ basis. This ‘unmetered’ basis is premised on a good-faith understanding between the Company and the Licensee that this privilege will not be abused. Employing the Company’s services well beyond normal office use, defined as the norm amongst other Licensees, without prior discussion, after having received Notice that the Company is concerned about this level of use, and having been given a reasonable opportunity to cure it, may be considered a breach of this agreement. An example would be printing high volumes of material on the color printer. We would say this is a job for a printing company. Most special needs can be accommodated by prior arrangement. The Company is particularly sensitive to conference room use in this regard. We define “normal use” as frequent short meetings throughout the day, long meetings occasionally, and multi-day long meetings very occasionally. All-day meetings should be no more frequent than once per quarter, on average. Please do not use the conference rooms for private phone calls during peak hours (9 am - 5 pm). More liberal usage during off-peak hours and weekends is fine. Some larger Licensee spaces have dedicated conference spaces, to which these guidelines do not apply. If you expect to need to go beyond these guidelines, please discuss with us before moving in.
Use of Office. Lessee will use and occupy the Premises for the purpose of conducting meetings and uses incidental thereto and for no other purposes seven days per week between the hours of 8:00 a.m. and 4:00 p.m. excluding all federal and state legal holidays. Lessee will be sole responsible for securing all and any belongings for the term of the lease. The renter of Classroom _B_. Lessee will conform to and comply with all applicable municipal, state, and federal permits, ordinances, laws, rules and regulations in using the Premises, and does further covenant that Lessee will not use or suffer to be used within the Premises any nuisance or waste or any activity as might tend to increase the existing rate of fire and extended coverage insurance of the Lessor.

Lessee will conform to and comply with all applicable municipal, state, and federal permits, ordinances, laws, rules and regulations in using the Premises , and does further covenant that Lessee will not use or suffer to be used within the Premises any nuisance or waste or any activity as might tend to increase the existing rate of fire and extended coverage insurance of the Lessor.
Use of Office. During the Consulting Period, the Company may provide you with an office for your use at its location in Oneida, New York or Melville, New York.

Neither Meridian nor Client will publicly voice disparaging remarks about the other, to other clients. Other than a personal computer, desktop printer, facsimile machine or small desktop appliances, Client will not bring any office equipment onto the premises without express written permission from Meridian. Client will not bring a free-standing commercial copier or postage meter into the office without express written permission from Meridian. Client will not make any alterations to its office unless it obtains prior written approval from Meridian. Approval may be conditioned on: (i) agreement that improvements will remain the property of Meridian, even at the termination of this Agreement; (ii) Client making a deposit; (iii) agreement by Client that it will return the office to its original condition when it vacates; or (iv) some combination of (i) through (iii) above. To the extent the Building rules and regulations in effect from time to time are more restrictive than the Center’s Rules and Regulations, the Building rules and regulations will be deemed controlling. Client is additionally subject to the Rules & Regulations as set forth in Exhibit “A”. Client will promptly comply with these rules and regulations as may be promulgated and imposed from time to time by Meridian.

Licensee shall not install any equipment without the expressed written consent of the Company. The Company reserves the right, at its own cost and expense, to require the Licensee, upon thirty (30) days notice, to relocate its office(s) elsewhere in the Suite.
Use of Office. During the term of this Agreement, provided Tenant is not in default of any of the terms, covenants, conditions or provisions of this Agreement, Tenant shall have the exclusive use of the Premises. Landlord may take possession of the Premises and substitute other space in the Executive Suite substantially comparable to the Premises by giving written notice to Tenant at least thirty (30) days in advance, and Landlord shall pay for all reasonable costs of relocation.
