Vendor Contract Manager. Vendor shall identify a specific Contract Manager whose duties shall include but not be limited to: i) supporting the marketing and management of the Contract, ii) facilitating dispute resolution between Vendor and a Customer, and iii) advising DIR of Vendor’s performance under the terms and conditions of the Contract. DIR reserves the right to require a change in Vendor’s then-current Contract Manager if the assigned Contract Manager is not, in the reasonable opinion of DIR, adequately serving the needs of the State.

Vendor Contract Manager. Vendor shall provide a dedicated Contract Manager whose duties shall include but not be limited to: i) supporting the marketing and management of the Contract, ii) facilitating dispute resolution between an Order Fulfiller and a Customer, and iii) advising DIR of Order Fulfillers performance under the terms and conditions of the Contract. DIR reserves the right to require a change in Vendor’s then-current Contract Manager if the assigned Contract Manager is not, in the reasonable opinion of DIR, adequately serving the needs of the State. In such an event, Vendor requests thirty (30) calendar days’ notice.
Vendor Contract Manager. Vendor shall designate a contact person or persons as the Contract Administrator(s) to manage Vendor’s administrative responsibilities under the Contract. DIR reserves the right to require a change in Vendor’s then-current Contract Administrator(s) if the assigned Contract Administrator(s) is not or are not, in the reasonable opinion of DIR, adequately serving the needs of the State.
Vendor Contract Manager. The Vendor Contract Manager shall serve as the primary Vendor representative under this Agreement. Vendor’s appointment of any Vendor Contract Manager shall be subject to Customer’s prior approval. The Vendor Contract Manager shall (1) have overall responsibility for managing and coordinating the performance of Vendor’s obligations under this Agreement and (2) be authorized to act for and on behalf of Vendor with respect to all matters relating to this Agreement. Vendor shall not replace or reassign the Vendor Contract Manager for one year from the Effective Date, unless Customer consents to such reassignment or replacement or such individual (i) voluntarily resigns from Vendor, (ii) is dismissed by Vendor for misconduct (e.g., fraud, drug abuse, theft), (iii) fails to perform his or her duties and responsibilities pursuant to this Agreement or (iv) dies or is unable to work due to his or her disability. Notwithstanding the foregoing, the Vendor Contract Manager may, upon notice to Customer, delegate such of his or her responsibilities to other Vendor employees, as the Vendor Contract Manager deems appropriate, provided that the Vendor Contract Manager shall retain ultimate authority as Vendor representative.

DIR reserves the right to require a change in Vendor’s then- current Contract Administrator(s) if the assigned Contract Administrator(s) is not or are not, in the reasonable opinion of DIR, adequately serving the needs of the State.

Vendor further agrees to cooperate fully with the State Auditor’s Office or its successor or designee in the conduct of the audit or investigation, including providing all records requested. Vendor will ensure that this clause concerning the authority to audit funds received indirectly by subcontractors through Vendor and the requirement to cooperate is included in any 2) Vendor shall maintain adequate records to establish compliance with the Contract until the later of a period of seven (7) years after termination of the Contract or until full, final and unappealable resolution of all Compliance Check or litigation issues that arise under the Contract. Such records shall include per transaction: Customer name, invoice date, invoice number, description, quantity, MSRP or List Price, unit price, extended price, Customer Purchase Order number, contact name, Customer’s complete billing address, , Historically Underutilized Businesses Subcontracting reports, and such other documentation as DIR may request.
Vendor Contract Manager. Prior to the Effective Date, Vendor shall appoint an individual (the “Vendor Contract Manager”) who shall serve on-site at the AMO headquarters facility, on a full-time basis, as the primary Vendor representative under this Agreement. Vendor’s appointment of any Vendor Contract Manager shall be subject to AMO’s prior approval. The Vendor Contract Manager shall (1) have overall responsibility for oversight of all aspects of the delivery of the Covered Services and for managing and coordinating the performance of Vendor’s resources and obligations under this Agreement and (2) be authorized to act for and on behalf of Vendor with respect to all matters relating to this Agreement, other than entering into contracts or amendments to this Agreement.

Vendor Contract Manager. VENDOR shall designate an individual (the "VENDOR Contract Manager") to be responsible primarily for ensuring VENDOR’s contractual compliance with the Agreement, and for proactively communicating and coordinating with VENDOR's Project Director, Project Manager(s) and other VENDOR personnel as needed, to ensure such compliance. In furtherance thereof, the VENDOR Contract Manager shall, among other things: (a) Be fully knowledgeable about all the commitments made by VENDOR in the Agreement, Project Agreements and Contract Supplements, especially where such commitments may differ from VENDOR’s general business practices and policies; (b) Advise VENDOR personnel and VENDOR’s subcontractors on the commitments made by VENDOR to ensure the VENDOR personnel have a full and complete understanding of the level and scope of the commitments made under the Agreement, Project Agreements and Contract Supplements; (c) Along with the VENDOR Account Executive, serve as a point of contact to administer the Agreement; (d) Ensure that all policies and procedures relating to VENDOR’s administration of the Agreement are applied consistently by VENDOR; and (e) Such other duties or responsibilities relating to the administration of the Agreement as may be reasonably requested from time-to-time by either party.
