Vendor Personnel. Vendor personnel must comply with all hosting facility regulations concerning conduct, electronic devices, entry and security. Failure of Vendor personnel to gain and/or qualify for access to a secure Government session or facility does not relieve Vendor of any financial obligation contained herein.

Vendor Personnel. Vendor shall take reasonable steps to ensure the reliability of any employee, agent or contractor of any Contracted Processor who may have access to the Company Personal Data, ensuring in each case that access is strictly limited to those individuals who need to know / access the relevant Company Personal Data, as strictly necessary for the purposes of the Principal Agreement, and to comply with Applicable Laws in the context of that individual's duties to the Contracted Processor, ensuring that all such individuals are subject to confidentiality undertakings or professional or statutory obligations of confidentiality.
Vendor Personnel. Vendor shall ensure that its personnel engaged in the Processing of Personal Data are informed of the confidential nature of the Personal Data, have received appropriate training regarding their responsibilities, and have executed written confidentiality agreements. Vendor shall take commercially reasonable steps to ensure the reliability of any Vendor personnel engaged in the Processing of Personal Data. Vendor shall ensure that Vendor’s access to Personal Data is limited to those personnel assisting in the provision of the Service in accordance with the Agreement.
Vendor Personnel. Should the State of Iowa be dissatisfied with the performance, competence, responsiveness, capabilities, cooperativeness, or fitness for a particular task of any Vendor Personnel assigned by Vendor to perform Personal Services, the State of Iowa may request the replacement of such Vendor Personnel. The replacement request shall be in writing and upon receipt of the request, Vendor shall make reasonable efforts to furnish a qualified and acceptable replacement within fifteen (15) business days. In the event Vendor should ever need to remove any Vendor Personnel from performing the Personal Services under this Agreement, Vendor shall provide the State of Iowa with adequate notice, except in circumstances in which such notice is not possible, and shall work with the State of Iowa on a mutually agreeable transition plan so as to provide an acceptable replacement and ensure project continuity. Such transitioning to replacement Vendor Personnel shall be at no additional cost to the State of Iowa. Vendor agrees that all Vendor Personnel assigned to perform Personal Services must have experience performing the tasks to which they will be assigned under this Agreement. In the event that, as a result of the actions, inaction, or replacement of Vendor Personnel, additional or accelerated work is required to perform this Agreement, Vendor shall perform all such work at no additional charge to the State of Iowa.
Vendor Personnel. 8.1 Vendor shall ensure that Vendor Personnel have the education, training, experience, skills, and access to resources, systems and processes necessary to safely, diligently and expeditiously provide the Services under this Agreement. Vendor warrants that it has conducted criminal, credit, insurance, reference, security and any other industry standard background checks to ensure that Vendor Personnel are available and properly qualified to provide the Services securely, safely, efficiently and in accordance with the terms of this Agreement.
Vendor Personnel. Vendor must ensure that all members of its personnel:(a) are informed of the confidential nature of the Personal Data and are bound by confidentiality obligations and use restrictions in respect of the Personal Data; (b) undertake training on the applicable Data Protection Laws relating to handling Personal Data and how it applies to their particular duties; and (c) are aware both of Vendor’s duties and their duties and obligations under applicable Data Protection Laws.
Vendor Personnel. The persons assigned by the Vendor to perform the Services shall have appropriate technical and professional skills and experience to enable them to perform their duties in a professional and workmanlike manner, consistent with generally accepted industry standards for the performance of such Services. For Project Services, the Vendor shall use commercially reasonable efforts to maintain continuity of its personnel until completion of the applicable project. Vendor agrees not to remove key personnel identified in a Project Statement of Work (“Key Personnel”) except with prior approval of Customer (such approval not be unreasonably withheld by the Customer) unless such individual (a) voluntarily resigns from the Vendor; (b) is dismissed by the Vendor for gross misconduct; (c) fails to perform his or her duties and responsibilities under the relevant Statement of Work; (d) dies or is unable to work due to his or her long term sickness and/or disability; or (e) retires. In the event that Vendor replaces any person performing Services under a Statement of Work with another person, the Customer shall not be responsible for any costs associated with any training, orientation or other steps to bring such replacement person to the same level as the replaced person that was required solely as a result of such replacement and the Vendor shall be responsible for all such costs. While at the Customer’s facilities, all persons assigned by the Vendor to perform the Services shall observe and follow the Customer’s reasonable work rules, security policies and standards as the same are provided to the Vendor. The Vendor shall cooperate with the Customer in promptly removing from performance of the Services any Vendor personnel engaging in any unacceptable behavior.

Vendor Personnel. Pryon shall take commercially reasonable steps to ascertain the reliability of any Pryon Personnel who Process Customer Personal Data, and shall enter into written confidentiality agreements with all Pryon Personnel who Process Customer Personal Data that are not subject to professional or statutory obligations of confidentiality.

Vendor Personnel. Individuals working for a contracted organization in any capacity, including employees, volunteers, and subcontracted staff CBI CJIS Systems Agency (CSA) Responsibility The CBI serves as the Colorado CJIS Systems Agency (CSA). As such, the CBI governs access to CCIC, NCIC, Nlets, N-DEx, and SDDS as lawfully authorized to criminal justice agencies and their eligible personnel and contracted vendors as needed. Furthermore, CJIS Vendors will be provided with services to reduce the cost and burden of CJIS compliance to the vendor and CGA’s alike. These consolidated services will allow CJIS Vendors to undergo these processes once for the state, instead of once for each CGA within the state. The CBI will maintain a list of Authorized Personnel available to criminal justice agencies, which will expedite the vetting process at the criminal justice agency for vendor personnel; this list is compiled of employees of enrolled vendors who have submitted fingerprints for this program. The CBI also maintains a Vendor Directory on its public website; vendors may opt out of this listing during their application.
