Amendments. Amendments of contractual terms shall not be valid unless expressly confirmed in writing by both parties.
Amendments. Amendments and additions to the contract require written form in order to be effective. Information by facsimile or pdf-file is sufficient to fulfil the written requirement.
Amendments. The Supplier may not modify the product or service referred to in the Contract (including any change or modifications in its specifications, design or materials), the production processes and/or manufacturing site, without the Purchaser’s prior written consent
Amendments. Any changes, amendments and waivers of any provision of this Agreement, including this Clause 14.4, require written form in order to become valid. No oral supplements to this Agreement have been made.
Amendments. (1) No amendments to these Terms and Conditions shall be valid unless they are executed in a written annex and signed by authorised persons on behalf of each of the Parties.
Amendments. HAHN+KOLB reserves the right to change, delete or restrict the CAD data available for download at any time without further notice.
Amendments. This agreement may not be modified or amended except by an instrument or instruments in writing signed by the party against whom enforcement of any such modification or amendment is sought. Any party may, by an instrument in writing, waive the performance of or compliance with any term or provision of this agreement by any other party hereto. Any amendment to this Agreement shall come into force only after being agreed by the Parties unanimously and decided by the legal representatives in a written agreement and approved by the relevant approval authority (if any).
Amendments. (1) IP-CS reserves the right to amend these General Terms and Conditions, provided that such amendment is based on reasons that justify the change of these General Terms and Conditions. IP-CS will only amend these General Terms and Conditions for valid reasons, particularly due to new technical developments, new organisational requirements, gaps in the General Terms and Conditions or changes in the legal situation or case law. (2) IP-CS undertakes to specifically inform the Client about any such amendments, the possibilities of objection, the deadline and the legal consequences, particularly with regard to a failure to object. (3) IP-CS will notify the Client in writing or by email at least two months prior to the effective date of any changes to the terms of the contract. (4) The Client may object to the amendment of the General Terms and Conditions. (5) The amendment of the contract terms becomes effective if the Client does not object to the amendment within two months after receiving the amendment announcement and IP-CS has informed the Client of the consequences of not objecting in the amendment notification. This does not apply to changes that modify the essential contractual obligations to the detriment of the Client and/or significantly impair the equivalence ratio of performance and consideration to the disadvantage of the Client; für diese bedarf es einer ausdrücklichen Zustimmung des Auftraggebers. (6) Für den Fall, dass der Auftraggeber einer Änderung dieser Auftragsbedingungen widerspricht, behält sich die IP-CS das Recht vor, die Geschäftsbeziehungen zu kündigen.
Amendments. 22.1 The Operator is entitled to amend this Agreement without the Seller's consent. The Operator must provide information of this before the amendment to the Agreement takes effect, observing the period of notice specified in section 22.2 whereby the modified text of the Agreement must be made available on a durable medium. 22.2 Amendments will come into force fifteen (15) days after prior information has been given to the Seller, unless the Operator has granted a different, longer period in the prior notification. 22.3 The Seller is entitled to terminate the Agreement on the basis of the amendment before the expiry of the period referred to in section 22.2. Such termination will take effect within fifteen (15) days of receipt of the notification referred to in section 22.1, unless a shorter period applies to the Agreement. 22.4 The Seller may, at any time after receipt of the prior information referred to in section 22.1 waive the period of notice granted in section 22.3, either by a written statement or by any other unambiguous confirmatory act. The posting of a new Offer in the Online Marketplace prior to the expiry of the deadline will be deemed to be a clear confirmatory act by which the deadline is waived. This does not apply in cases where the period is more than fifteen (15) days because the Seller has to make significant technical adjustments to his goods or services as a result of the amendments to this Agreement. 22.5 The deadline referred to in section 22.2 does not apply if the Operator (a) Must, by reason of legal or regulatory obligations, make amendments to this Agreement in a manner which does not allow him to comply with the deadline referred to in section 22.2; (b) In exceptional circumstances, has to amend this Agreement to defend against an unforeseen and imminent threat to protect the Online Marketplace, end user or Seller from fraud, malware, spam, privacy violations or other cyber security risks.
Amendments. 26.1 CTD ist zu einer Änderung dieser AGB berechtigt, sofern die wesentlichen Bestimmungen des Vertrages hierdurch unberührt bleiben. Wesentliche Bestimmungen sind insbesondere Bes- timmungen zu Art und Umfang der Serviceleistungen sowie Bes- timmungen zu Vertragslaufzeit und Kündigung. Darüber hinaus ist CTD zu einer Änderung dieser AGB berechtigt, soweit diese Än- derungen erforderlich sind, um Schwierigkeiten bei der Vertrag- sabwicklung infolge von Regelungslücken nach erfolgtem Vertrag- sabschluss zu vermeiden. Dies gilt insbesondere im Falle geänderter Rechtsprechung mit Auswirkungen auf einzelne oder mehrere Bes- timmungen dieser AGB. 26.2 CTD ist jederzeit zu einer Änderung dieser AGB berechtigt durch Angabe dieser Änderungen auf der Website. In diesem Fall setzt CTD den Kunden vier Wochen vorher hierüber schriftlich in Kenntnis. Der Kunde ist, nachdem er die Mitteilung von CTD zur beabsichtigten Änderung der AGB erhalten hat, unter Wahrung einer vierwöchigen Kündigungsfrist zu einer Kündigung des Ver- trages mit Wirkung zum Zeitpunkt des Inkrafttretens der geänderten AGB berechtigt. CTD ist dazu verpflichtet, den Kunden über diese rechtlichen Folgen zu informieren.
