Excused Delays definition

Excused Delays means a delay occurring in respect of any Service due to: (a) failure by the Customer to perform the Customer Obligations; or (b) a Force Majeure Event occurring; or (c) delays caused by a third party.
Excused Delays means any acts or events that prevent Contractor from performing its obligations under its contract with Owner, if such act or event was not reasonably foreseeable and is beyond the reasonable control, and not the result of the fault or negligence of Contractor or anyone working under Contractor. Subject to the satisfaction of the conditions established in the previous sentence, Excused Delays include, but are not limited to, the following acts or events: (a) unusually severe weather and natural phenomenon, including without limitation, storms, floods, lightning and earthquakes; (b) fires and explosions; (c) wars or war-like actions, civil disturbances, riots, insurrections, terrorism and sabotage; (d) transportation disasters, whether by sea, rail, air or land; (e) strikes or other labor disputes (not caused by Contractor or anyone working under Contractor); (f) industry-wide materials shortages not reasonably foreseeable by Contractor; and (g) actions or failures to act of any Governmental Authority, including changes in laws, codes or policies after Contractor has obtained the required permits for the Project. Excused Delays shall extend the Scheduled Substantial Completion Date only for the reasonable period of time necessary to make up delays that actually impact the critical path of a Project as reflected on the Development Schedule, as documented by Contractor and approved by Owner, but not to exceed an extension on a day-for-day basis.
Excused Delays means any suspension or delay in the College's performance of its duties and obligations pursuant to Article VI of this Agreement by reason of the occurrence of any one or more of the following conditions or events: (a) any event or condition beyond the reasonable control of the College, including but not limited to acts of God, strikes, weather conditions, unanticipated shortages of materials, acts of a public enemy, including acts of terrorism, or other similar events; (b) subsurface conditions relating to the Project Site;(c) the presence of Hazardous Materials on the Project Site or the actual or alleged violation or required compliance with any Environmental Law which is not caused by the College; or(d) acts of or a failure to act by the Board, the County or either of the Cities. In the event that the College desires to assert an Excused Delay as the reason for any failure or delay in performing any obligation or agreement under Article VI or Article VII of this Agreement, the College shall notify the other parties hereto of such Excused Delay and set forth in such notice the College's good faith estimate of the number of days of Excused Delay expected to result therefrom, and shall advise the other parties hereto of any change in such estimate. Any Excused Delay shall be deemed to commence on the day that the event causing such Excused Delay first adversely affects performance of the College's obligations.

Examples of Excused Delays in a sentence

  • Landlord shall thereafter promptly commence material completion of the Punch List Items within 30 days after the Punch List has been finalized, and shall continue to pursue such completion with commercially reasonable diligence and speed, but no later than 60 days after the Punch List has been finalized (subject to Excused Delays).

More Definitions of Excused Delays

Excused Delays means: (i) the unavailability or delay in delivery of any specialty items chosen by Tenant (e.g., floor coverings, lighting fixtures), (ii) delays or interference caused by Tenant, or (iii) Unavoidable Delay (as hereinafter defined).
Excused Delays means any delays reasonably attributable to Tenant and any delays by reason of a Force Majeure.
Excused Delays means delays caused by fire, earthquake, inclement weather, acts of God, acts of the public enemy, riot, insurrection, governmental regulation of the sales of materials or supplies or the transportation thereof, strikes, boycotts, shortages of material or labor timely ordered, the Seller's inability to obtain any necessary governmental approvals and inspections after diligent effort, and any other cause beyond the reasonable control of the Seller.

Related to Excused Delays

  • Excusable Delay means a delay due to acts of God, governmental restrictions, stays, judgments, orders, decrees, enemy actions, civil commotion, fire, casualty, strikes, work stoppages, shortages of labor or materials or other causes beyond the reasonable control of Borrower, but lack of funds in and of itself shall not be deemed a cause beyond the control of Borrower.

  • Excused Downtime means the number of minutes in the Charging Period, rounded to the nearest minute that the link state of Customer’s Port is ‘down’ due to:

  • Excused Outage means any disruption to or unavailability of Services caused by or due to (i) Scheduled Maintenance,

  • Tenant Delay means (i) any request by Tenant that Landlord delay in the commencement or completion of the Premises Base Building Work, or the Common Facilities Base Building Work, as applicable, for any reason; (ii) any delay in the Base Building Substantial Completion Date caused by Tenant’s contractors, agents and employee’s interference with Landlord and Landlord’s contractor’s, agents, and employees; or (iii) any other act or omission of Tenant or its officers, agents, servants or contractors which causes a delay in the Premises Base Building Work, or the Common Facilities Base Building Work, as applicable. If a delay shall occur in the Base Building Work as a result of Tenant Delay, then Tenant shall, within thirty (30) days after determination of the Rent Commencement Date, and only to the extent that such amount exceeds the rent credit, if any, due to Tenant, pay to Landlord for each day of Tenant’s Delay the amount of Basic Rent, Additional Rent and other charges that would have been payable hereunder had Tenant’s Delay not occurred to the extent that such Tenant Delay caused the Rent Commencement Date to be later than the date such date would have occurred had such Tenant Delay not occurred. Landlord shall give Tenant written notice of a Tenant Delay under clauses (ii) and (iii) above within twenty-four (24) hours after Landlord learns of such Tenant Delay. Subject to Tenant Delay and Force Majeure, if Landlord shall have failed to substantially complete the Premises Base Building Work on or before March 1, 2002, Tenant shall have the right to terminate the Lease by written notice to Landlord prior to March 15, 2002, whereupon this Lease shall terminate and be of no further force or effect thirty (30) days after the date of such notice unless Landlord shall have substantially completed the Premises Base Building Work prior to, or within such period.

  • Service Level Failure means a failure to perform the Software Support Services fully in compliance with the Support Service Level Requirements.

An extension of time for an Unavoidable Delay shall only be for the period of the Unavoidable Delay, which period shall commence to run from the time of the commencement of the cause of the Unavoidable Delay.

  • Unavoidable Delay means an event which delays Closing which is a strike, fire, explosion, flood, act of God, civil insurrection, act of war, act of terrorism or pandemic, plus any period of delay directly caused by the event, which are beyond the reasonable control of the Vendor and are not caused or contributed to by the fault of the Vendor. “Unavoidable Delay Period” means the number of days between the Purchaser’s receipt of written notice of the commencement of the Unavoidable Delay, as required by paragraph 5(b), and the date on which the Unavoidable Delay concludes.

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Technical Failure means the discontinuation of Development or Commercialization of a Product for technical, scientific, medical or regulatory reasons, including, but, not limited to, unacceptable preclinical toxicity, demonstration of a side effect profile significantly worse than currently marketed products, or inability to manufacture in an acceptable purity or for an acceptable price.

  • Milestone Failure means a failure by the Grant Recipient fully to achieve any Milestone by the relevant Milestone Date;

  • Force Majeure Event means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of the internet or any public telecommunications network, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, explosions, fires, floods, riots, terrorist attacks and wars);
