Final Document Package definition

Final Document Package means such properly completed and duly executed documentation, consisting of the items listed in Section B of EXHIBIT A hereto and such other documents as Buyer may reasonably require in accordance with its standard procedures in order to finalize a Transaction and to pay the Purchase Price to Omnicell.
Final Document Package means such properly completed and duly executed lease documentation, including a copy of the Master Rental Agreement, a copy of the Master Service Agreement, Supplement(s) to Rental Agreement, Supplement(s) to Service Agreement, UCCs, a purchase order from Customer or a mutually agreeable Customer billing reference number, a Certificate of Acceptance from the Customer, a Xxxx of Sale (as shown on Exhibit "F") and a Master Assignment Letter (as shown on Exhibit "D") as GE shall require in accordance with its standard procedures in order to finalize a Transaction and to pay the Purchase Price of the System to OMNICELL.

Examples of Final Document Package in a sentence

  • Provided that Buyer has not revoked its approval of a Transaction pursuant to Section 3.6 above, Buyer will fund the applicable Transaction by paying Omnicell the applicable Purchase Price within five (5) business days (or such other period as the parties mutually agree in writing) following receipt by Buyer of the Final Document Package.

  • Upon payment of the Purchase Price by Buyer, Buyer shall be deemed to have received the Final Document Package in form and substance satisfactory to Buyer.

  • Upon receipt of the Final Document Package, Buyer shall immediately examine all documents submitted and shall promptly advise Omnicell of existing deficiencies, if any.

  • With respect to Transactions approved by Buyer, Buyer shall honor all Standard Rate quotations by Omnicell that predate the effective date of a new Standard Rate, provided that a Final Document Package is received by Buyer prior to the date of such new quotation.

  • As soon as practicable after Buyer’s approval of a proposed Transaction, the Final Document Package shall be delivered to the office designated by Buyer.

  • Seller shall submit the completed forms as part of the Final Document Package when required by the Form G-321-V in the Purchase Order.

  • At the time of handing over of the completed facility the consultant shall prepare and submit to the Client one original and one copy of Final Document Package (FDP) for the entire project.

  • Subject to Section 3, and provided Client has fulfilled all of its obligations relating to a Transaction, NCC will pay Client the Funded Amount with respect to such Transaction by wire transfer within two Business Days after NCC's receipt of a complete Final Document Package therefor.

  • A rating, designation, or Credential may be removed in compliance with relevant provisions contained in applicable service-specific DoD requirements, including security disqualifications as described in 14 CFR part 3.


More Definitions of Final Document Package

Final Document Package means such documents as NCC deems necessary to the complete the Transaction and to pay the Funded Amount to Client.
Final Document Package means such properly completed and duly executed documentation, including the DFC and a copy of the Software License Agreement, as GE CAPITAL shall require in order to finalize a Transaction and to pay the Purchase Price to ASPEN, (i) "Material Adverse Change" means a significant negative change of ASPEN or GE CAPITAL from the date of this Agreement or of a Customer from the date of the related Application in its financial condition or its properties, assets, business, operations or business prospects. (j) "Net Book Value" with respect to a DFC means: (i) all accrued and unpaid amounts then due under the applicable DFC, plus (ii) all remaining amounts which shall become due under the applicable DFC, discounted to present value at the applicable Standard Discount Rate, plus (iii) any out-of-pocket expenses (including actual attorney's fees) incurred by GE CAPITAL with respect to such DFC. (k) "Software License Agreement" means the agreement between Aspen and the applicable Customer described in a DFC which entitles the Customer to use the Software in accordance with the terms of the Software License and to receive the Services described therein. (l) "Purchase Price" means the present value of the aggregate payments scheduled to be made under a DFC for the Software License and the Service Fees, if applicable, discounted at the Standard Discount Rate applicable thereto (or any non-Standard Discount Rate previously approved by GE CAPITAL in writing). (m) "Service Fees" means the fees charged by ASPEN to a Customer under a Software License Agreement for the provision of Services. (n) "Services" means any and all of the software maintenance services described in the applicable Software License Agreement which are financed by GE CAPITAL. (o) "Software" means ASPEN's proprietary computer programs (including any accompanying documentation, manuals, upgrades, releases, databases, enhancements and instructions), plus any accompanying hardware security devices and third party software and documentation. (p) "Software License" means the license to the Software granted by Aspen to a Customer under a Software License Agreement. (q) "Standard Discount Rate" means the rate of interest established by GE CAPITAL at which GE CAPITAL discounts the Purchase price to be paid for a Transaction. (r) "Termination Event" means a Default by GE CAPITAL which is not cured within thirty (30) days following receipt of written notice, or a Default by ASPEN which is not cured within thirty ...
Final Document Package means a lease or financing agreement and such other and further properly executed documents, each in form and substance acceptable to GE Capital, as GE Capital may from time to time require in accordance with its procedures for the Program in order to consummate a Program Financing and to pay the Purchase Price of the related Equipment (including (i) each item in the Application Package, (ii) the invoices issued and delivered to GE Capital (or, in the case of a Program Financing that is a Loan, to the related purchaser, with a copy delivered to GE Capital) and Confirmation of Acceptance, in each case, with respect to the Equipment to be subject to such Program Financing, (iii) any manufacturer statement or certificate of origin in respect of the Equipment including the vehicle identification number, (iv) satisfactory evidence as to the existence of an insurance policy obtained by or on behalf of the Customer covering the related Equipment and naming GE Capital and its successors and assigns as loss payee and/or additional insured, as appropriate, (v) to the extent not otherwise provided for in the documentation governing such Program Financing, duly executed appropriate assignments to GE Capital of the Customer’s rights under any purchase agreement for the related Equipment, together with a fully executed copy of such purchase agreement, and (vi) duly executed UCC financing statements naming GE Capital as secured party and covering GE Capital’s interest in the related Equipment and all substitutions therefor, attachments and accessions thereto and proceeds thereof, in form suitable for filing in such jurisdictions as GE Capital deems appropriate).

Related to Final Document Package

  • Organizational Document means (a) the articles or certificate of incorporation and the bylaws of a corporation; (b) operating agreement, limited liability company agreement, or similar document governing a limited liability company; (c) any charter or similar document adopted or filed in connection with the creation, formation, or organization of a Person; and (d) any amendment to any of the foregoing.

  • Material Documents has the meaning set forth in Section 5.23.

  • Material Document Defect As defined in Section 2.03(a) of this Agreement.

  • New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).

  • Constitutional Documents means, with respect to a particular legal entity, the articles of incorporation, certificate of incorporation, formation or registration (including, if applicable, certificates of change of name), memorandum of association, articles of association, bylaws, articles of organization, limited liability company agreement, trust deed, trust instrument, operating agreement, joint venture agreement, business license, or similar or other constitutive, governing, or charter documents, or equivalent documents, of such entity.

  • Mortgage Supporting Documents means, with respect to a Mortgage for a parcel of Real Property, each the following:

  • Verification Documents means, with respect to any Note Owner, a certification from such Note Owner certifying that such Person is in fact, a Note Owner, as well as one additional piece of documentation reasonably satisfactory to the recipient, such as a trade confirmation, account statement, letter from a broker or dealer or other similar document.

  • Parent Organizational Documents means the certificate of incorporation and bylaws, each as amended as of the date of this Agreement, of each of Parent and Merger Sub.

  • Company Organizational Documents means the certificate of incorporation and bylaws (or the equivalent organizational documents) of the Company and its Subsidiaries as in effect on the date of this Agreement.

  • Depositor’s Formation Documents means the Certificate of Formation of Nissan Auto Leasing LLC II, dated as of October 24, 2001 and the Limited Liability Company Agreement of Nissan Auto Leasing LLC II, dated as of October 29, 2001.

  • Organizational Documents means (a) with respect to a corporation, the charter, articles or certificate of incorporation, as applicable, and bylaws thereof, (b) with respect to a limited liability company, the certificate of formation or organization, as applicable, and the operating or limited liability company agreement thereof, (c) with respect to a partnership, the certificate of formation and the partnership agreement, and (d) with respect to any other Person the organizational, constituent and/or governing documents and/or instruments of such Person.

  • Technical Documentation means designs, reports, photographs, drawings, plans, specifications, computer software, surveys, calculations and other data, information and material collected, computed, drawn or produced, including computer print-outs.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted with respect to the grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.

  • Programme Document means each of the Master Trust Deed, the Agency Agreement, the Registrar Agreement, the Margin Account Agreement, the Margin Account Security Agreement, the Portfolio Administration Agreement, the Operating Procedures Agreement, the Determination Agency Agreement, the Broker Dealer of Record Agreement, the Services Agreement and each Authorised Participant Agreement and "Programme Documents" means all such documents.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Environmental Documents means, for any Person: (A) any and all documents received by the Person or its Subsidiaries from the United States Environmental Protection Agency (“EPA”) or any other Governmental Entity concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property; (B) any and all documents submitted by the Person or any Subsidiary of the Person during the past five years to the EPA or any state, county or municipal environmental or health agency concerning the environmental condition of any property owned, leased or operated at any time by the Person or any Subsidiary of the Person, or the effect of the Person’s business operations or the business operations of any Subsidiary of the Person on the environmental condition of such property, and (C) any report, study, assessment, audit, or other similar document that addresses any issue of actual or potential noncompliance with, actual or potential liability under or cost arising out of, or actual or potential impact on business in connection with, any Environmental Law or any proposed or anticipated change in or addition to Environmental Law, that may in any way affect the Person or any entity for which it may be liable or any Subsidiary of the Person.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Scope Document means the document (if any) that is provided with and becomes part of the Order Form and which defines sometimes in conjunction with a Service Description (as applicable) the Services to be provided.

  • Lien Waiver Agreement means an agreement which is executed in favor of Agent by a Person who owns or occupies premises at which any Collateral may be located from time to time and by which such Person shall waive any Lien that such Person may ever have with respect to any of the Collateral and shall authorize Agent from time to time to enter upon the premises to inspect or remove the Collateral from such premises or to use such premises to store or dispose of such Inventory.

  • Design Documents means, collectively and as applicable, the Conceptual Design Documents, Schematic Design Documents, the Design Development Documents and the Construction Documents prepared by the Trade Contractor.

  • Procurement Documents means the procurement documents attached hereto as Schedule F (if any);

  • Pass Through Documents means each Pass Through Trust Agreement, the Note Purchase Agreement, each Escrow Agreement, each Deposit Agreement, the Intercreditor Agreement and each Liquidity Facility.

  • Policy Document means this Policy wording the Schedule (which is attached to and forms part of this Policy and includes any Annexure or endorsement to it and, if more than one, then, the latest in time) and the Proposal Form.
