Duties of Officer. (a) In addition to Officer's duties as Chief Financial Officer in the day to day management of the Company's business, Officer shall devote his efforts to the successful completion of the sale contemplated by the Stock Purchase Agreement. Such duties shall include, but not be limited to, assistance in all required regulatory filings, all closing schedules and supervision, if applicable, of any employees or consultants of the Company in preparing schedules, conducting business pending the closing of the sale in accordance with the terms of the Stock Purchase Agreement and assisting in the performance of all additional agreements as required by the Stock Purchase Agreement.
(b) In performing these duties, Officer shall (1) devote his best efforts and entire time to advance the interest of the Company and to assist in its sale; (ii) perform his duties to the best of his ability; and (iii) to perform such other work as may be required by the Company, including without limitations such work as may assist AES in the closing of the Stock Purchase Agreement. Nothing in the paragraph shall be deemed to limit Officer from engaging in a broad range of civic and charitable pursuits.
Duties of Officer. Lynnwood shall assign the Officer to the High School to promote safety and serve as a positive resource to the District and the surrounding neighborhood. The duties and responsibilities of the Officer include, but are not limited to, the following:
a. Perform the duties enumerated in the Lynnwood Police Officer Job Description;
b. Patrol the High School and surrounding areas to identify, investigate, deter and prevent crimes, especially those incidents involving weapons, youth violence, harassment, gang involvement, drugs, or similar activities;
c. Act as a liaison between the High School Administrators and Lynnwood;
d. Establish and maintain a working rapport with the High School administration, staff, and students;
e. Provide school-based security during the regular school day and assist in the promotion of a safe and orderly environment at the High School. The Officer, however, shall not act as a disciplinarian. If the Officer is confronted with a non-criminal violation, such as a school rule violation, the Officer will inform the High School Administrators of the same and assist only for the purposes of providing security for school staff member(s) charged with enforcing school rules and providing testimony in a due process hearing. In the absence of a High School Administrator, the Officer may refer the matter to District administration;
f. Assist in mediating disputes on campus, including working with students to help solve disputes in a non- violent manner;
g. Participate in the District multi-disciplinary threat assessment team.
h. Act as a resource person in the area of law enforcement education at the request of staff, speak to classes on the law, search and seizure, drugs, motor vehicle laws, etc.; and,
i. Perform other duties as mutually agreed upon by the Principal of the High School and the Officer, provided that the duty is legitimately and reasonably related to the Program as described in this Agreement and is consistent with federal and state law, local ordinances, and District and Lynnwood policies, procedures, rules, and regulations.
Duties of Officer. PPD will assign a uniformed officer to NKSD campuses (upon request and if available) to provide security at school events in order to identify, investigate, deter and prevent crimes, especially those incidents involving weapons, youth violence, harassment, gang involvement, drugs or similar activities;
Duties of Officer. Officer's principal duties on behalf of Employer as of the date of this Agreement are as President and Chief Executive Officer of Employer. In accepting employment by Employer, Officer will undertake and assume the responsibility of performing for and on behalf of Employer whatever duties are necessary and required in the position of President and Chief Executive Officer of Employer. Officer will devote substantially Officer's full time and energies and best effort to the performance of such duties, to the exclusion of all other business activities that conflict in any material way with Officer's duties under this Agreement (and Officer will be permitted to participate in civic and charitable activities so long as such activities do not materially interfere with Officer's duties under this Agreement).

Duties of Officer. The basic duties of the SRO are to help provide a safe and secure learning environment, xxxxxx a positive school climate, reduce/prevent crime, serve as an educational resource, and serve as a liaison between the school and the law enforcement agency. Specific daily assignments to accomplish this will vary by school. The SRO, school principal, and District Coordinator will meet periodically to discuss plans and strategies to address specific issues or needs that may arise. Officers may respond to calls to all schools in the city of Brooklyn Park, although may be based primarily at one school in the city. Basic duties of the SRO will include but are not limited to:
1. To enforce criminal law, prevent damage to property, and protect students, staff, and public at large against criminal activity.
2. Xxxxxx mutually respectful relationships with students and staff to support a positive school climate.
3. Provide information concerning questions about law enforcement topics to students and staff.
4. Provide classroom instruction on a variety of topics including but not limited to, law enforcement practices, conflict resolution, personal and school safety strategies, crime trends, and crisis response.
5. Handle initial police reports of violent crimes committed on campus.
6. Take enforcement action on criminal matters when appropriate.
7. Coordinate investigative procedures between police and school administrators.
8. Prepare lesson plans as necessary for the instruction provided.
9. In conjunction with school administrators, building crisis teams, and the district Emergency Management Coordinator, SROs should be an active participant in planning emergency drills and assisting with the facility assessment process utilizing the District Threat and Hazard Identification Risk Assessment (THIRA) to help analyze the physical safety of school facilities.
10. Prevention Program Officers serving elementary schools will present an approved prevention program, which may be a part of the fifth grade health curriculum.
11. Collect data on SRO activities (arrests, citations, etc.)

In continuing employment with Employer, Officer will undertake and assume the responsibility of performing for or on behalf of Employer whatever duties are necessary and required in such a position, as determined by the Board of Directors of Parent.

Beginning March 1, 2000, Officer's principal duties on behalf of Employer are as the Chief Financial Officer of Employer. In accepting employment by Employer, Officer will undertake and assume the responsibility of performing for and on behalf of Employer whatever duties are necessary and required in such position. Officer will devote substantially Officer's full time and energies and best effort to the performance of such duties, to the exclusion of all other business activities that conflict in any material way with Officer's duties under this Agreement (and Officer will be permitted to participate in civic and charitable activities so long as such activities do not materially interfere with Officer's duties under this Agreement).
Duties of Officer. The list of basic duties and work schedule of each SRO shall be cooperatively developed between the District and the City. The District’s Assistant Superintendents may request, on behalf of the District, assignments of SROs to specific District buildings and the City will use its best efforts to comply with such requests.
