Licensor Data definition

Licensor Data means, as set forth in Section 1.1 of the Addendum, third-party data that may be accessed via the SaaS Service.

Licensor Data means Licensor’s data, as defined in Exhibit A hereto.

Licensor Data means all data generated by Licensor, its employees or agents that is related to the Licensed Software, Licensed Marks and Services, including data collected, used or stored by or on behalf of Licensor related to Customer’s use of the Products.

• Denali may not make any publications, presentations or public disclosures of the Licensor Data without Licensor’s prior written approval.

• Your disclosure of Licensor Data pursuant to a valid judicial or administrative order will not be deemed to be a breach of this Agreement, if you: (1) provide timely written notice of such order to Licensor and reasonably cooperate with any efforts by Licensor to contest or limit the scope of such order; and (2) use diligent reasonable efforts to limit the disclosure of such data and seek a protective order or an equivalent to protect the disclosure of such data.

• As between SPEDx and Licensor, ownership of Licensor Data remains solely with Licensor and all right, title and interest in such data remains exclusively with Licensor.

• Upon termination of this Agreement, or upon request of Licensor, you will promptly return to Licensor all material constituting or containing Licensor Data.

• Without limiting the foregoing, Licensor may not use all or any portion of the Initial Advance Payment to (i) fund any operations not related to the provision of the Licensor Data to NT for the Initial Coverage Area, the Second Coverage Area or the Third Coverage Area, (ii) repay any funded indebtedness or (iii) make any dividends to its shareholders.

Licensor Data means, as set forth in Section 1.1 ofthe Addendum, third-party data that may be accessed via the Saas Service.

Open Data Commons Public Domain Dedication and License (PDDL) and Creative Commons (CC) license are two of several public copyright licenses that are considered Open Licenses. “Personal Information” means, as set forth in Section 9.4, personal information of Customer’s permitted users, such as its staff and patrons, and other third parties. “Quotations” means, as set forth in the “Whereas” clauses, the Initial Quotation “SaaS” means Software as a Service. “SaaS Service” means, as set forth in the “Whereas” clauses, the SaaS Service(s) listed on Annex A under the caption “SaaS Service(s)”. “SaaS Service Contract Date” means, with respect to a SaaS Service, the date as of which that SaaS Service became a part of this Agreement.
