Project Parking Facilities definition

Project Parking Facilities means, collectively, the subterranean garage located within the Building, the surface lot (as more particularly described on the Site Plan) and Parking Structure B (as more particularly described on the Site Plan). Of Tenant’s total of 352 parking passes, 52 (comprising a combination of regular and compact stalls) may be used within the subterranean garage located within the Building. If Landlord determines that Tenant is parking more cars in the subterranean garage than permitted hereunder, then Landlord, upon notice to Tenant shall have the right to revoke Tenant’s rights to park within such subterranean garage. The balance shall be used on the surface lot or in Parking Structure B. Access to the subterranean spaces shall be by key card and there shall be no reserved spaces designated for Tenant. Landlord may charge Tenant a reasonable fee to replace any such key cards that are lost or damaged. Tenant’s continued right to use the parking passes is conditioned upon Tenant’s abiding by all reasonable rules and regulations which are prescribed from time to time for the orderly operation and use of the Project Parking Facilities, including any sticker or other identification system established by Landlord of the operator of the Project Parking Facilities, Tenant’s cooperation in seeing that Tenant’s employees and visitors also comply with such rules and regulations and Tenant not being in default under this Lease. Landlord specifically reserves the right to change the size, configuration, design, layout and all other aspects of the Project Parking Facilities at any time and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Project Parking Facilities (or any portion thereof) for purposes of facilitating any such construction, alteration or improvements, so long as adequate parking is provided for Tenant’s use. Landlord may delegate its responsibilities hereunder to a parking operator in which case such parking operator shall have all of the rights of control attributed hereby to Landlord. Project Parking Facilities means, collectively, as the case may be (i) the parking garage existing as of the date of this Lease (the “Existing Parking Garage”), (ii) the surface parking lot anticipated to be constructed by Landlord on or about the area on which Building 3 may be constructed (the “Surface Parking Lot”), and/or (iii) any expansion of the Existing Parking Garage or additional parking garage located on the Project and/or the area in which Building 3 may be located (in either such events referred to in this item (iii), the “New Parking Garage”). In all events, the Project Parking Facilities shall be located within the Project and/or the area in which Building 3 may be constructed. Subject to the terms of Article 21, any valet personnel retained by Landlord in excess of the “Base Parking Personnel,” as that term is defined, below, if any, shall be the responsibility of Tenant (subject to the terms of Section 28.3, below). Subject to the terms of Article 21 of this Lease and the terms of this Article 28, Landlord shall have the right to “aisle park” up to one hundred sixteen (116) vehicles in the Existing Parking Garage (the “Aisle Parking Cap”) and on an unlimited basis on the Surface Parking Lot and/or New Parking Garage; provided that in the event that Landlord shall exceed the Aisle Parking Cap (A) by more than thirty (30) vehicles (inclusive of visitors), (B) in more than five (5) days (with Tenant providing notice to Landlord of each such daily violation on the date of the occurrence thereof), (C) such five (5) days of violation occur in the same month, and (D) there are more than four (4) different months in which the events described in items (A) through (C) occur in any twelve (12) month period, then Landlord shall be obligated to provide Tenant additional parking, subject to the requirements of this Article 28. Tenant hereby acknowledges and agrees that in addition to the Existing Parking Garage, Landlord may, at its sole option, provide additional parking in order to satisfy Tenant’s parking rights under this Lease by (i) construction of the Surface Parking Lot and/or (ii) a New Parking Garage. Notwithstanding anything contained herein to the contrary, in no event shall Landlord have the right to cause any of the parking to which Tenant is entitled under this Lease to be located outside of the Project and/or the area in which Building 3 is or may be located.

Examples of Project Parking Facilities in a sentence

  • Tenant shall be responsible for the full amount of any taxes imposed by any governmental authority in connection with the use of the Project Parking Facilities by Tenant or its employees, officers, directors, agents, contractors or visitors.

  • All motor vehicles (including all contents thereof) shall be parked in the Project Parking Facilities at the sole risk of Tenant and each other Tenant Party, it being expressly agreed and understood Landlord has no duty to insure any of said motor vehicles (including the contents thereof), and Landlord is not responsible for the protection and security of such vehicles.

  • Tenant's continued right to use the parking passes is conditioned upon Tenant abiding by all reasonable rules and regulations which are prescribed from time to time for the orderly operation and use of the Project Parking Facilities, including any sticker or other identification system established by Landlord and there being no Event of Default.

  • If Tenant or its employees should leave an automobile in the Project Parking Facilities overnight or for multiple consecutive nights (which shall in no event exceed 14 consecutive Business Days without Landlord’s prior reasonable approval), Tenant shall provide the operator with prior notice thereof designating the license plate number and model of such automobile.

  • Tenant shall have the right to use, at no additional rent, on a non-exclusive basis, up to 3.45 parking spaces in the Project Parking Facilities for each one thousand (1,000) rentable square feet of the Leased Premises.

  • Tenant shall have the right to use, without any additional cost or charge therefor, commencing on the Commencement Date, up to 4.3 non-transferable parking passes for each 1,000 rentable square foot of the Premises, which parking passes shall pertain to the Project Parking Facilities (as hereinafter defined).

  • Landlord shall cooperate with reasonable Tenant requests in connection with the operation of the Project Parking Facilities servicing Tenant, provided that (a) subject to the terms of Section 28.3, above, Tenant shall be responsible for any increased costs associated with the implementation of such requests, and (b) such requests shall not adversely effect Landlord’s ability to comply with the terms of this Lease (including, without limitation, this Article 28).

  • Notwithstanding anything to the contrary contained in this Lease, Landlord shall have no liability whatsoever for any property damage or loss which might occur on the Project Parking Facilities or as a result of or in connection with the parking of motor vehicles in the Project Parking Facilities, except to the extent caused by the negligence or willful misconduct of any Landlord Party, but subject to the waiver in Section 10.5.

  • In all events, the Project Parking Facilities shall be located within the Project and/or the area in which Building 3 may be constructed.

  • Tenant shall also have the right, subject to Landlord's reasonable approval, to designate the location of a reasonable number of bike lockers in the Project Parking Facilities for the exclusive use of Tenant's visitors and employees.
