QUALITY AND CONFORMITY. Goods and services must be in conformity with the order and be guaranteed against any defects rendering them unfit for their intended purpose. The Supplier shall comply with applicable industry standards, official standards whether they be French (NF), European (EN) or international (ISO), the REACH regulation, the ROHS directive, the technical plan or sheet and the terms of reference. The Supplier shall provide, at least with the first order and where possible with all subsequent deliveries, all supporting documents proving the conformity of its products. The Supplier shall fulfil its duty to provide advice and inform Xxxxxx at its earliest convenience if the information or requests transmitted are incomplete, incoherent or contradictory. Upon receipt of the order, the Supplier shall inform Kalori of any modification to the product in terms of performance, appearance, dimensions, materials, software, manufacturing process or any change that may affect Kalori or its customers. The Supplier shall make every effort to ensure the quality of the goods and services it provides, as well as the traceability of its products, both in terms of the materials used, components and manufacturing process. The Supplier may not subcontract all or part of the services without Kalori's express, prior consent in writing. The Supplier shall bear all direct and indirect costs in connection with the delivery of non-compliant goods. A fixed non-conformity processing fee of €100 per non-conformity will be applied to the Supplier. Such fees will be directly deducted from invoices owed to the Supplier. The Supplier grants Kalori representatives free access to the establishments concerned by the order to enable them to carry out any controls, tests, audits or other verifications. In addition, the Supplier will remain liable for any latent defects that may be found in its supplies, even after the end of the warranty period, pursuant to ordinary law.
