Una collezione ispirata all’estetica della resina cemento industriale.

I laboratori Piemme hanno lavorato per riprodurne in chiave ceramica il gradevole effetto estetico, con un movimento leggero delle tipiche striature direzionali, date dalla stesura manuale o meccanizzata della malta.

A collection inspired by the aesthetics of industrial concrete resin. The Piemme

laboratories have worked to reproduce the pleasant aesthetic effect with a ceramic twist and a light movement of the typical directional streaks associated with the manual or mechanized laying of mortar.

Eine am Aussehen von industriellem Zementharz inspirierte Kollektion. Die Produktentwickler von Piemme haben intensiv daran gearbeitet, die attraktive Optik nachzuempfinden, die durch die leichte Bewegung der typischen, mit dem manuellen oder mechanischen Auftrag des Mörtels erzeugten, richtungsgebundenen Rillen entsteht.

Venetian Marble

Una collezione ispirata al terrazzo alla veneziana; utilizzato fin dall’antichità in Grecia ha poi raggiunto l’Italia con larga diffusione grazie agli antichi romani prima ed ai nobili veneziani poi.

A collection inspired by the Venetian terrazzo flooring used since ancient times in Greece. It then reached and became widespread in Italy, first of all thanks to the ancient Romans and then to the Venetian nobles.

Die Kollektion ist am venezianischen Terrazzoboden inspiriert, der bereits in der griechischen Antike bekannt war und dann in Italien weite Verbreitung fand - im alten Rom wie später in den Adelshäusern Venedigs.

Per i prodotti rettificati consigliamo una fuga di 2 mm per un migliore risultato di posa. Per una migliore resa estetica Piemme consiglia stuccature colorate in tinta con le piastrelle. Verificare, prima dell’utilizzo, la compatibilità ed idoneità dei riempitivi

per fughe con il prodotto ceramico. Rimuovere le eccedenze dei riempitivi per fughe quando gli stessi sono ancora freschi. Attenersi scrupolosamente alle istruzioni indicate dai produttori dei riempitivi per fughe. Per eliminare completamente i residui di posa, che potrebbero compromettere la manutenzione ordinaria e le caratteristiche del prodotto, a posa ultimata, procedere con la pulizia utilizzando prodotti adeguati, a base Acida max 3%, rispettando le indicazioni del produttore.

Osservare assolutamente i limiti di tempo indicati nelle istruzioni: un contatto troppo prolungato con questi prodotti potrebbe provocare il danneggiamento della superficie.

Gli eventuali aloni che si dovessero presentare dopo la posa di materiali lappati o levigati si potranno facilmente eliminare

utilizzando un prodotto idoneo, a base Alcalina. Riguardo l’utilizzo di materiali ceramici all’esterno, pure riconfermando l’ingelività dei prodotti Piemme in gres porcellanato, in conformità alle vigenti normative europee En 14411/ISO 13006-ISO 10545.12, occorre attenersi ad alcune fondamentali norme previste

per la posa all’esterno, atte a rendere inattaccabili al gelo i predetti pavimenti. Le condizioni più importanti da rispettare sono: le opportune pendenze, le impermeabilizzazioni, i giunti di dilatazione, e l’uso di idonei materiali per la posa.

For rectified products, we suggest a 2 mm joint for better installation results.

Decori realizzati con smalti e metalli preziosi: E’ indispensabile proteggere la superficie durante la posa, non utilizzare assolutamente prodotti abrasivi e/o acidi, ma solo acqua e sapone neutro. Il produttore non risponde di eventuali danni a questi preziosi materiali causati da “sfregamenti” durante la posa in opera. Per nessun motivo saranno accettate contestazioni relative a materiale posato.

NOTA:

Come specificato dalla norma UNI 11493.2013 paragrafo 5.2.2: “l’esame visivo della superficie piastrellata deve essere effettuato da una distanza minima di 1,5 m ad altezza d’uomo. Non e’ consentita l’illuminazione in luce radente. Gli effetti superficiali non rilevabili in queste condizioni non sono da considerare come difetti”.

Zur vollständigen Entfernung der Verlegerückstände, die die normale Pflege und die Merkmale der Produkte beeinträchtigen könnten, die Fläche nach

der Verlegung mit geeigneten, leicht sauren Produkten bis maximal 3 % Säuregehalt reinigen und dabei die Herstelleranweisungen befolgen. Es ist überaus wichtig, die in den Anweisungen angegebenen Einwirkzeiten nicht zu überschreiten: ein zu xxxxxx

Kontakt mit diesen Produkten könnte die Fliesenoberfläche beschädigen.

beachten, die dazu dienen, die Bodenbeläge frostsicher zu machen. Die Hauptregeln lauten: angemessenes Gefälle, Abdichtung, Dehnungsfugen, sowie geeignetes Verlegematerial.

Dekore aus Glasuren und Edelmetallen:

Während der Verlegung sind die Oberflächen unbedingt abzudecken. Keinesfalls dürfen scheuernde und/oder saure Produkte verwendet werden, sondern ausschließlich Wasser und Neutralseife. Der Hersteller haftet nicht für eventuelle, durch Abrieb während der Verlegung entstandene

Suivre scrupuleusement les délais figurant dans les notices car un contact trop long de ces produits sur le carrelage pourrait l’endommager.

Il peut se faire que des halos subsistent après la pose de matériaux adoucis ou polis. Pour les éliminer, utiliser des produits appropriés à base alcaline.

En ce qui concerne les matériaux céramiques posés à l’extérieur, Piemme rappelle que

ses produits en grès cérame sont ingélifs, conformément aux normes européennes en vigueur EN 14411/ISO 13006-ISO 10545.12.

Respecter les règles de pose à l’extérieur pour que le gel reste inoffensif. Les points les plus importants à respecter sont les suivants

: bonne inclinaison, imperméabilisation, joints de dilatation et utilisation de produits de pose spécifiques.

For better aesthetic results, Xxxxxx suggests using jointing putty in the same colour as the tiles. Before using, make sure the jointing putty is compatible with the ceramic product and suitable for use. Remove any excess jointing putty while this is still fresh.

Carefully follow the instructions provided by the jointing putty manufacturer.

To completely eliminate installation residues that could affect routine maintenance and characteristics of the product, after installation, proceed to clean using suitable products with max 3% acid base, following the manufacturer’s instructions. Stringently comply with the time limits indicated in the instructions. If these products remain in contact with surfaces for too long the latter could become damaged.

Any rings that appear after installing lapped or polished materials can be easily eliminated using a suitable alkaline-based product. With regard to the use of ceramic materials outdoors, while we confirm that Piemme porcelain stoneware products are frost-proof, in compliance with applicable European En 14411/ISO 13006-ISO 10545.12 standards, certain basic procedures must be followed for outdoor installation, so that such floors cannot be attacked by frost. The most important aspects of such outdoor installation are: suitable gradients, waterproofing, expansion joints and the use of suitable installation materials.

Decors made with glazes and precious metals: Surfaces must be protected during installation. Never use abrasive and/or acid products, only water and neutral soap. The manufacturer disclaims liability for damage to these precious materials caused by “rubbing” during installation. Under no circumstances can disputes be accepted relating to installed materials.

NOTE:

As specified in the UNI 11493.2013 standard at paragraph 5.2.2 : “the visual inspection of the tiled surface must be made at a distance of 1.5 m at the height of a person. No side-lighting is allowed. Surface effects not visible in these conditions are not to be deemed as defects”.

Gli interventi di pulizia ordinaria hanno lo scopo di rimuovere lo sporco comune e di mantenere le normali caratteristiche di brillantezza e lucentezza dei materiali Piemme. ATTENZIONE: Anche se alcuni prodotti pubblicizzano il “non risciacquo” è invece sempre bene procedere ugualmente con questa fase. E’ necessario quindi evitare sempre l’uso di prodotti eccessivamente acidi o eccessivamente basici e di spugne abrasive (no prodotti effetto “bang” o similari). E’ sconsigliato l’utilizzo di macchine lucidatrici e di cere lucidanti.

The purpose of routine cleaning operations is to remove common dirt and maintain the normal shine and polish of Piemme materials. This operation must always be performed with plenty

of lukewarm water and standard neutral household detergents.

WARNING: Although some products advertise “no rinsing”, it is always best to rinse well. Always avoid the use of

products which are too acidic or too basic and abrasive sponges (no “bang” effect products or the like). Polishing machines and wax polishes are best not used. What is recommended on the other hand is the use of water and/or steam floor washers (with softened water), always and only together with neutral detergents.

ACHTUNG: Auch wenn einige Produkte mit dem Zusatz “Ohne nachspülen“ werben, sollte dieser Vorgang dennoch nie unterlassen werden. Übermäßig säure oder basische Produkte und Scheuerschwämme sind unbedingt

zu vermeiden (keine zu agressive Reinigungsmittel). Von Poliermaschinen und Polierwachsen wird abgeraten.

Bodenwischmaschinen mit Wasser und/ oder Xxxxx (Betrieb mit entkalktem Wasser) sind hingegen zu empfehlen, wobei stets ausschließlich Neutralreiniger zu verwenden sind.

L’entretien courant a pour but d’enlever la saleté ordinaire et de maintenir les caractéristiques normales de brillance et d’éclat des carreaux Piemme. Ce nettoyage doit toujours être effectué avec une quantité abondante d’eau tiède et des nettoyants ménagers à base neutre. ATTENTION: même si certains

xxxxxxxxxx déclarent dans leur notice qu’il n’est pas utile de rincer, il est toujours recommandé de ne pas omettre cette étape. Eviter toujours d’utiliser des produits trop acides ou trop basiques et des éponges abrasives (pas de produits effet ‘’bang’’ ou autres du même genre).

Il est déconseillé d’utiliser des cireuses et des cires brillantes. Par contre, il est recommandé d’utiliser une machine

The products made by Industrie Ceramiche Piemme contain pre-consumer recycled material, with a percentage value that is certified by an internationally recognised Authority, and qualifies for the purposes of acquiring LEED credits for the construction of eco-sustainable buildings.

Le piastrelle prodotte da Industrie Ceramiche Piemme sono inerti da un punto di vista chimico-fisico e durante il loro ciclo di utilizzo, dalla posa fino all’eventuale dismissione, non rilasciano in atmosfera composti organici volatili (COV o VOC (Volatile Organic Compounds). The tiles produced by Industrie Ceramiche Piemme are physically and chemically inert, and during their cycle of use, from laying to removal, if applicable, they do not release Volatile Organic Compounds (COVs or VOCs) into the atmosphere. Piemme materials therefore comply with the terms of the legislation regarding COVs and qualify for the purposes of acquiring the credits envisaged by the LEED standard (Leadership in Energy and Environmental Design).

Many series produced by Industrie Ceramiche Piemme are certified UPEC, the French quality mark issued based on the tests envisaged by the European standard EN 14411 and by the technical Cahiers of the CSTB institute. Each item is assigned with a classification that determines its suitability for installation in various fields of use.

ART. 1 - NORMATIVA CONTRATTUALE

Le presenti condizioni generali, salvo eventuali modifiche o deroghe pattuite per iscrit- to, regolano tutti gli ordini dell’acquirente relativi ai prodotti (o merci) di INDUSTRIE CERAMICHE PIEMME S.P.A. (di seguito “PIEMME”).

PIEMME non sarà vincolata da condizioni generali di acquisto dell’acquirente, neanche nell’ipotesi in cui si faccia a loro riferimento o siano contenute negli ordini o in qualsiasi altra documentazione proveniente dall’acquirente stesso, salvo il preventivo consenso scritto di PIEMME.

In caso di contrasto tra le due diverse clausole, troveranno applicazione quelle del ven- ditore.

Qualsiasi modifica al presente contratto può essere fatta solo con un documento scritto, firmato da entrambe le parti.

ART. 2 - ORDINI

Gli ordini comunque pervenuti a PIEMME sono per quest’ultima impegnativi solo dopo la loro eventuale approvazione scritta, restando in ogni caso insindacabile facoltà di PIEMME accettarli o recedere - senza oneri - dagli stessi prima della consegna delle merci. L’eventuale conferma d’ordine di PIEMME che sia, anche parzialmente, difforme dall’ordine, sarà vincolante per l’acquirente che non ne abbia contestato la difformità con lettera raccomandata A/R, anche tramite PEC, entro 5 giorni dal suo ricevimento. Nel caso che l’ordine sia conferito solo verbalmente, con l’inizio delle consegne delle merci si intendono accettate dall’acquirente, senza riserve, tutte le condizioni riportate nel presente contratto.

Si conviene inoltre che, se dopo la conferma dell’ordine, si venga a conoscenza che l’ac- quirente si trovi in condizioni di difficoltà finanziaria (in via esemplificativa protesti, sequestri, pignoramenti o altri atti pregiudizievoli a carico dell’acquirente), PIEMME potrà sospendere l’ordine ed esigere particolari garanzie oppure risolvere il contratto per inadempimento dell’acquirente ai sensi dell’art. 145ł cod. civ. mediante comunicazione scritta con raccomandata A/R, anche tramite PEC, o via fax.

L’acquirente si impegna a comunicare per iscritto a PIEMME, entro e non oltre il gior- no previsto per il ritiro, l’eventuale variazione del luogo di destinazione della merce, se diverso da quelle citata nella conferma d’ordine. In mancanza di tale comunicazione, la destinazione originariamente indicata si intende confermata.

ART. 3 - CAMPIONI E MATERIALI PROMOZIONALI

I dati figuranti nei documenti illustrativi di PIEMME, così come le caratteristiche dei campioni e dei modelli inviati, hanno carattere di indicazioni approssimative. Questi dati non hanno valore impegnativo se non nella misura in cui siano stati espressamente menzionati come tali nell’offerta o nell’accettazione scritta di PIEMME.

ART. 4 - CONSEGNA

Salvo diversa pattuizione per iscritto, la consegna delle merci si intende sempre Ex Works (xxxxxx xxxxxxxxx venditore) nel rispetto degli lncoterms ed avvenuta a carico completato presso i magazzini in Italia di PIEMME. Ogni rischio del trasporto, compre- si ammanchi, rotture, deterioramenti e manomissioni, è a carico dell’acquirente anche se il prezzo sarà pattuito franco di porto, FOB o C&F. Eventuali accordi con spedizionieri si intendono sempre conclusi in nome e per conto dell’acquirente, che fin d’ora ratifica ed accetta l’operato di PIEMME.

l termini di consegna hanno carattere indicativo: eventuali ritardi nelle consegne, inter- ruzioni, sospensioni totali o parziali delle vendite non daranno diritto ad indennizzi o risarcimento danni. Resta in ogni caso inteso che ogni causa di forza maggiore sospende la decorrenza del termine per tutta la durata della causa stessa.

L’acquirente si impegna a ritirare la merce o ad accettarne la consegna non appena gliene sia comunicato l’approntamento, e comunque non oltre 90 giorni dalla data di comu- nicazione di merce pronta.

In caso di mancato ritiro entro il suddetto periodo, l’ordine si considererà annullato, fatto salvo il diritto di PIEMME di trattenere la somma già riscossa a titolo di penale. E’ espressamente esclusa qualsiasi garanzia, responsabilità o rischio a carico di PIEMME in relazione alle merci in sosta per il citato periodo.

L’accettazione, senza espressa riserva, da parte dell’acquirente di prodotti non conformi per tipo o quantità, ovvero a condizioni diverse da quelle contenute nella richiesta dello stesso acquirente, implica accettazione, da parte di quest’ultimo, della fornitura e delle condizioni proposte dal venditore. Le suddette riserve (anche se formulate sotto forma di precisazioni o rettifiche delle condizioni di fornitura) non avranno efficacia se non saranno formulate dall’acquirente per iscritto, immediatamente e comunque entro il termine perentorio ed essenziale di 8 giorni decorrenti dal ricevimento della merce. Qualora la regola Incoterms concordata tra le parti preveda che l’acquirente debba cur- are il trasporto delle merci fuori dall’Italia:

a) in caso di cessione intra-comunitaria, l’acquirente, entro 45 giorni dalla ricezione delle merci presso il suo magazzino, dovrà trasmettere a PIEMME un originale o una copia del documento di trasporto internazionale CMR o di altro documento di trasporto, sot- toscritti a destinazione dall’acquirente ovvero, in assenza del CMR, una dichiarazione di ricezione delle merci;

b) in caso di cessione extra-comunitaria, l’acquirente si impegna a:

i) presentare la dichiarazione doganale di esportazione (DAU-EX e DAE) ed effettuare l’appuramento del MRN (Movement Reference Number) presso la dogana del territorio comunitario di uscita delle merci, entro 90 giorni dalla data di consegna in Italia delle merci stesse;

ii) inviare a PIEMME, entro 90 giorni dalla data di consegna, i documenti comprovanti l’esportazione delle merci (dichiarazione di esportazione DAU-EX, DAE e notifica di avvenuta esportazione);

iii) confermare prontamente per iscritto a PIEMME l’avvenuta esecuzione delle suddette formalità e a fornirgli ogni ulteriore documento comprovante l’esecuzione delle suddet- te formalità e l’uscita delle merci dal territorio dell’Unione Europea.

In caso di inadempienza dell’acquirente a quanto sopra pattuito, PIEMME avrà il diritto di addebitare immediatamente all’acquirente l’Imposta sul Valore Aggiunto relativa alla fornitura e connessa alla mancata prova del trasporto delle merci in altro Stato Membro della Comunità Europea o mancato appuramento della esportazione. In ogni caso, l’ac-

quirente terrà indenne e manlevata PIEMME in relazione al pagamento di tutto quanto eventualmente dovuto dalla stessa PIEMME nei confronti dell’Amministrazione Finan- ziaria, a titolo di sanzioni ed interessi o ad altro titolo, in connessione con la fornitura e la mancata prova del trasporto delle merci in altro Stato Membro della Comunità Europea o al mancato appuramento della esportazione.

ART. 5 - CONTESTAZIONI

La garanzia della merce è limitata al solo materiale ceramico di prima scelta, con una tolleranza del 5%; ogni garanzia rimane esclusa espressamente per tutta la merce di scelta secondaria, sottoscelta e di stock. Le contestazioni per vizi palesi hanno efficacia solo quando sono mosse prima della posa in opera del materiale ceramico. Le differen- ze di tonalità non possono essere denunciate come vizio del materiale. Le tonalità di colore dei campioni e delle riproduzioni sono da ritenersi puramente indicative e non strettamente vincolanti la fornitura. Eventuali reclami in merito alla qualità ed al tipo del materiale dovranno pervenire a PIEMME con lettera raccomandata A/R, anche tramite PEC, indirizzata direttamente al ns. “Ufficio Logistica, Qualità e Servizio Post-Vendita”, entro 15 giorni dalla consegna, ovvero in caso di vizi occulti entro 8 giorni dalla loro scoperta. L’azione si prescrive, in ogni caso, in 1 anno dalla consegna.

L’acquirente s’impegna a tenere a disposizione le partite contestate così da consentire il controllo dei difetti denunciati. In ogni caso, si ribadisce che la posa in opera del materiale esonera PIEMME da qualsiasi responsabilità. Per nessuna ragione l’acquirente potrà restituire il materiale ceramico senza espressa preventiva autorizzazione scritta di PIEMME. Eventuali vizi o difetti di qualità della merce, ove siano denunciati nei ter- mini ed accertati o riconosciuti, danno diritto solamente alla sostituzione dei materiali difettosi a condizione della preventiva restituzione delle merci contestate e su autoriz- zazione scritta dell’operazione di resa, restando tassativamente rinunciati ed esclusi così la risoluzione del contratto come qualsiasi risarcimento danni. PIEMME non si assume nessuna responsabilità sulla idoneità del materiale all’uso cui l’acquirente lo intende des- tinare, e ciò neppure nell’ipotesi che, da parte di PIEMME, vengano forniti suggerimenti o indicazioni circa l’installazione e l’impiego dello stesso.

Qualora la contestazione risulti infondata, l’acquirente sarà tenuto a risarcire a PIEMME tutte le spese dalla stessa sostenute per l’accertamento e la gestione della contestazione (viaggi, perizie, ecc.); uguale obbligo avrà l’acquirente se il reclamo risulti solo parzial- mente fondato, in misura non superiore al 30% (per cento) rispetto alle contestazioni originariamente effettuate.

ART. 6 - PREZZI

l prezzi indicati sui listini di PIEMME devono intendersi Ex Works (xxxxxx xxxxxxxxx venditore), al netto di IVA e di sconti. Tali prezzi non includono, tra gli altri, i costi di spedizione, di trasporto, di eventuale assicurazione, né di eventuali ulteriori oneri (tasse, imposte, ecc.). Il prezzo della merce sarà quello previsto nel listino tempo per tempo vigente al momento della conferma d’ordine o, qualora la merce non sia inserita nel listino prezzi, sarà quello indicato nell’ordine. Anche dopo la conferma d’ordine e fino al momento della consegna delle merci, sarà facoltà di PIEMME disporre variazioni del prezzo per sopravvenuti aumenti dei costi di materie prime, mano d’opera, combustibili e altre spese di produzione. In tal caso l’acquirente, potrà recedere dall’ordine mediante comunicazione scritta, da inviare con raccomandata A/R, anche tramite PEC, entro 30 giorni dal ricevimento della comunicazione di PIEMME contenente precisazioni sulla misura dell’aumento.

ART. 7 - PAGAMENTO

Il pagamento dovrà essere effettuato, salvo diverso accordo scritto, presso la sede del venditore o presso istituto bancario indicato dallo stesso venditore. Eventuali pagamenti fatti ad agenti, rappresentanti o ausiliari di commercio del venditore, se autorizzati per iscritto da PIEMME, avranno effetto liberatorio per l’acquirente solo al momento de- ll’effettiva ricezione di tali somme da parte della stessa PIEMME.

Qualsiasi ritardo o irregolarità nel pagamento dà al venditore il diritto di sospendere le forniture o di risolvere i contratti in corso, anche se non relativi ai pagamenti in ques- tione, nonché il diritto al risarcimento degli eventuali danni. Il venditore ha comunque diritto - a decorrere dalla scadenza del pagamento, senza necessità di messa in mora

- agli interessi moratori nella misura del tasso previsto dal D. Lgs. 231/2002 italiano ed all’integrale rifusione delle spese legali e di assistenza, sia stragiudiziale che giudiziale. In nessun caso l’acquirente potrà ritardare o sospendere il pagamento, indipendente- mente da qualsiasi rivendicazione e/o reclamo esposto.

Nessuna contestazione o controversia inerente alla qualità della merce, a vizi o difetti, o a qualsiasi altro aspetto del contratto, sarà efficace e potrà essere presa in considera- zione, e così pure nessuna azione potrà essere iniziata se non dopo l’avvenuto integrale pagamento del prezzo (clausola solve et repete).

ART. 8 - RISERVATO DOMINIO

La vendita della merce viene effettuata con la clausola del riservato dominio; pertanto, nel caso in cui il pagamento, per accordi contrattuali, debba essere effettuato, in tutto o in parte dopo la consegna, le merci consegnate restano di proprietà di PIEMME fino all’integrale pagamento del prezzo.

ART. 9 - CAUSE DI FORZA MAGGIORE ED ECCESSIVA ONEROSITÀ

PIEMME può sospendere l’esecuzione del contratto, o recedere, qualora l’adempimento risulti oggettivamente impossibile o eccessivamente oneroso, a causa di eventi di forza maggiore (senza pretesa di completezza, scioperi, incidenti, esplosioni, incendi, guerre, eventi naturali, ecc…), ritardo o impossibilità di approvvigionare le materie prime, gu- asti e/o cause simili.

ART. 10 - CESSIONE DEL CONTRATTO

L’acquirente non può cedere il contratto, od in singoli rapporti obbligatori da questo derivanti, senza l’accettazione scritta di PIEMME; anche in tal caso l’acquirente rimane comunque solidalmente responsabile con il cessionario per le obbligazioni cedute.

ART. 11 - INTERPRETAZIONE, MODIFICHE, CLAUSOLE INVALIDE

Per l’interpretazione delle presenti condizioni generali fa fede unicamente il testo ita- liano delle stesse.

Eventuali allegati o premesse si intendono parte integrante dei contratti cui si riferis- cono. Ogni richiamo ai listini prezzi, condizioni generali od altro materiale di PIEMME sì intende riferito ai documenti in vigore al momento del richiamo stesso, salvo non sia diversamente specificato; devono ritenersi annullati i testi corrispondenti in precedenza in vigore tra le parti.

Le dichiarazioni effettuate od il comportamento tenuto dalle parti durante le trattative o nel corso dell’esecuzione del contratto possono contribuire all’interpretazione del solo contratto cui si riferiscono e nei limiti in cui non contrastino con le presenti condizi- oni generali o con gli accordi scritti presi dalle parti in occasione della conclusione del contratto in questione.

Salvo quanto sopra previsto all’art. 2), ogni modifica od integrazione fatta dalle parti ai contratti cui si applicano le presenti condizioni generali dovrà essere effettuata per iscritto, a pena di nullità. La deroga ad una o più disposizioni delle presenti condizioni generali non deve interpretarsi estensivamente o per analogia e non implica la volontà di disapplicare le condizioni generali nel loro insieme.

Eventuali variazioni delle condizioni contrattuali concordate tra le parti non costituis- cono novazione del contratto, salvo espressa volontà contraria, risultante per iscritto. In caso di disposizioni contrattuali valide od inefficaci, il contratto nella sua globalità va integrato per conseguire, in modo conforme alla legge, lo scopo essenziale perseguito dall’accordo contenente le clausole in questione.

ART. 12 – FORO COMPETENTE

Il presente contratto è regolato dalla legge, anche processuale, italiana. Per ogni contro- versia relativa o comunque collegata ai contratti cui si applicano le presenti condizioni generali la giurisdizione è attribuita, in via esclusiva, al Giudice italiano ed è esclusiva- mente competente il foro del venditore, anche nei casi di chiamata in garanzia e connes- sione, con esclusione di qualsivoglia altro foro e/o giurisdizione.

ART. 13 - PROPRIETÀ INDUSTRIALE E DISTRIBUZIONE SELETTIVA – LIMITI ALLA RIVENDITA

La sottoscrizione delle presenti condizioni generali non conferisce, in alcun modo, all’acquirente il diritto di utilizzare in nessuna forma i marchi di PIEMME e/o altri segni distintivi della stessa; il loro eventuale uso dovrà essere preventivamente autorizzato da PIEMME ed espressamente disciplinato con separata scrittura.

Le forniture delle merci ricevute da PIEMME e dai propri punti vendita selettivi au- torizzati sono destinate all’installazione presso l’utente finale, e non è consentita altra forma di rivendita a ulteriori intermediari commerciali diversi dagli utenti finali, salvo previa autorizzazione iscritta di PIEMME. La rivendita della merce in violazione di tale divieto deve considerarsi pertanto non consentita ed equiparata ad uso illecito dei diritti di proprietà industriale e intellettuale di PIEMME, con diritto della stessa PIEMME di chiederne il sequestro presso qualunque detentore. Resta inteso che PIEMME si riserva il diritto di procedere giudizialmente nei confronti di chiunque sia coinvolto in rivendite non autorizzate.

ART. 14 - INFORMATIVA DI SINTESI

Ai sensi dell’art. 13 del Regolamento UE 201ł/ł79, informiamo che i Vostri dati sono inseriti in banche dati sia elettroniche che cartacee e sono trattati dalle persone autoriz- zate, esclusivamente per finalità amministrative e contabili. I dati potranno essere comu- nicati a terzi per dar corso ai rapporti in essere o per obblighi di legge, ma non saranno diffusi. Informiamo inoltre che in qualsiasi momento potrà essere richiesto l’accesso ai dati e sarà possibile opporsi a taluni loro utilizzi, rivolgendosi allo scrivente Titolare.

ART. 1 - CONTRACTUAL REGULATIONS

These general terms and conditions, without prejudice to any amendments or depar- tures agreed in writing, discipline all the orders of the purchaser relating to the products (or goods) of INDUSTRIE CERAMICHE PIEMME S.P.A. (hereinafter “PIEMME”).

PIEMME shall not be bound by the general purchase terms and conditions of the pur- chaser, not even in the event that reference is made to the same or they are contained in the orders or in any other documentation originating from the purchaser, except in the case of the prior written consent of PIEMME.

In the event of contrast between the two different clauses, those of the seller shall be applicable.

Any change to this agreement can be made only by means of a written document, signed by both parties.

ART. 2 - ORDERS

The orders in any event forwarded to PIEMME are binding for the latter only after their possible written approval, in any event it being the unquestionable faculty of PIEMME to accept them or withdraw - without charges - from the same before the delivery of the goods. Any order confirmation of PIEMME which is, even partly, different from the order, will be binding for the purchaser who has not disputed the difference by means of registered letter with advice of receipt, or also via certified e-mail, within 5 days of its receipt. In the event that the order is only made verbally, all the conditions indicated in this agreement are understood to be accepted by the purchaser, without reservation, with the commencement of the deliveries of the goods.

It is also agreed that, if after the confirmation of the order, it is revealed that the pur- chaser has financial difficulties, (by way of example protests, attachments, garnishments or other detrimental acts to the charge of the purchaser), PIEMME may suspend the order and demand specific guarantees or terminate the agreement due to breach by the purchaser pursuant to Article 145ł of the Italian Civil Code by means of written com- munication made via registered letter with advice of receipt, also by means of certified e-mail, or via fax message.

The purchaser undertakes to inform PIEMME in writing, by and not beyond the date envisaged for collection, of any change in the destination of the goods, if different to those indicated in the order confirmation. In the absence of said communication, the destination originally indicated is understood to be confirmed.

ART. 3 - SAMPLES AND PROMOTIONAL MATERIALS

The information included in PIEMME’s illustrative documents, as well as the character- istics of the samples and the models sent, are approximate indications. This information is not binding unless to the extent expressly mentioned as such in the offer or in the written confirmation of PIEMME.

ART. 4 - DELIVERY

Unless agreed otherwise in writing, the delivery of the goods is always understood to be Ex Works (of the seller) in accordance with the Incoterms and having taken place at the time of complete loading care of the PIEMME warehouses in Italy. Any transportation risk, including deficits, breakages, deterioration or tampering, is the responsibility of the purchaser even if the price will be agreed CPT, FOB or C&F. Any agreements with shipping agents are always understood to be finalised in the name or on behalf of the purchaser, who from this point on confirms and accepts the actions of PIEMME.

The delivery terms are approximate: any delays in the deliveries, interruptions, total or partial suspensions of the sales will not provide the right to damage compensation or indemnification. It is in any event understood that any force majeure (unforeseeable) event suspends the applicability of the deadline for the entire duration of said event.

The purchaser undertakes to collect the goods or to accept the delivery just as soon as they are informed that the same are ready, and in any event within 90 days of the date of communication that the goods are ready.

In the event of failure to collect within the afore-mentioned period, the order will be considered to be cancelled, without prejudice to PIEMME’s right to withhold the sum already received, by way of penalty. Any guarantee, liability or risk to the charge of PIEMME in relation to the goods on hold for the afore-mentioned period is expressly excluded.

The acceptance, without express reservation, by the purchaser of products not compli- ant in terms of type or quantity, or at conditions differing from those contained in the request made by said purchaser, implies acceptance, by the latter, of the delivery and the conditions proposed by the seller. The afore-mentioned reservations (even if formulated under the form of specifications or adjustments of the supply conditions) will not be ef- fective if they have not been formulated by the purchaser in writing, immediately and in any event by the imperative and essential deadline of 8 days as from receipt of the goods. If the Incoterms regulation agreed between the parties envisages that the purchaser must see to the transportation of the goods outside Italy:

a) in the event of transfer within the EU, the purchaser - within 45 days of receipt of the goods care of its warehouse - will have to send PIEMME the original or a copy of the CMR international transportation document or another transportation document, signed at the destination by the Purchaser or, in the absence of a CMR, a goods receipt declaration;

b) in the event of transfer outside the EU, the purchaser undertakes to:

i) present the export customs declaration (DAU-EX and DAE) and carry out the verifica- tion of the MRN (Movement Reference Number) care of the customs of the EU area the goods exit, within 90 days of the date of delivery in Italy of said goods;

ii) send PIEMME, within 90 days of the date of delivery, the documents proving the export of the goods (export declaration DAU-EX, DAE and export notification);

iii) promptly confirm in writing to PIEMME the execution of the afore-mentioned for- malities and provide the same with any additional documentation proving the execu- tion of the afore-mentioned formalities and the exit of the goods from the area of the European Union.

In the event of breach by the purchaser of the matters agreed above, PIEMME shall have the right to immediately charge the purchaser the Value Added Tax relating to the deliv- ery and associated with the lack of proof of the transportation of the goods to another member nation of the European Community or the non-verification of the exporting.

In any event, the purchaser will keep PIEMME indemnified and unharmed in relation to the payment of all that which is possibly owed by said PIEMME vis-à-vis the Tax Authorities, by way of fines and interest or for other purposes, in connection with the delivery and lack of proof of the transportation of the goods to another member nation of the European Community or the non-verification of the exporting.

ART. 5 - DISPUTES

The warranty of the goods is limited to just prime ceramic material, with a tolerance of 5%; any warranty is expressly excluded for all the secondary quality goods, sub-rate goods or stock. The disputes regarding obvious faults are only effective when they are notified before the installation of the ceramic material. The differences in tone cannot be declared as a fault of the material. The colour tones of the samples and the reproductions must be considered to be merely indicative and not strictly binding for the delivery. Any complaints with regard to the quality and the type of material will have to be sent to PIEMME by means of registered letter with advice of receipt, also via certified e-mail, addressed directly to our “Logistics, Quality and Post-Sales Service Unit”, within 15 days of delivery, or in the event of hidden defects within 8 days of their discovery. The action lapses, in any event, one year after delivery.

The purchaser undertakes to keep the disputed batches available so as to permit the control of the reported defects. In any event, it is confirmed that the installation of the material exonerates PIEMME from any liability. For no reason may the Purchaser return the ceramic material without the express prior written consent of PIEMME. Any quality faults or defects affecting the goods, if they are reported by the deadlines and ascer- tained or acknowledged, merely give the right to the replacement of the faulty materials provided that the disputed goods are returned in advance and upon written authorisa- tion of the return transaction, thus any termination of the agreement and any damage compensation being absolutely waived and excluded. PIEMME does not undertake any liability with regard to the suitability of the material for the use which the purchaser intends to assign it to, and thus not even in the hypothesis that PIEMME provides sug- gestions or indications regarding the installation and use of the same.

If the claim is unfounded, the purchaser will be obliged to compensate PIEMME for all the costs the same has incurred for the checking and handling of the claim (travel costs, appraisals, etc.); the purchaser will have the same obligation if the claim is only partially founded, to an extent of no more than 30% (thirty percent) with respect to the disputes originally brought.

ART. 6 - PRICES

The prices indicated in the PIEMME price lists must be understood to be Ex Works (of the seller) net of VAT and discounts. These prices do not include, amongst other aspects, the shipping, transportation, possible insurance costs, nor any additional charges (taxes, levies, etc.). The price of the goods will be that envisaged on the price list in force as and when, at the time of the order confirmation or, if the goods are not included on the price list, it will be that indicated in the order. Also after the order confirmation and up until the moment of delivery of the goods, it will be the faculty of PIEMME to arrange price changes due to increases in the costs of raw materials, labour, fuel and other production costs. In this event, the purchaser may withdraw from the order by means of written communication, to be sent via registered mail with advice of receipt, also via certified e-mail, within 30 days of the receipt of the communication of PIEMME containing specifications on the extent of the increase.

ART. 7 - PAYMENT

The payment will have to be made, unless agreed otherwise in writing, care of the head- quarters of the seller or care of the bank indicated by said seller. Any payments made to agents, representatives or sales staff of the seller, if authorised in writing by XXXXXX, will release the purchaser only at the time of effective receipt of said sums by PIEMME. Any delay or irregularity in the payment gives the seller the right to suspend the deliv- eries or terminate the agreements outstanding, even if not relating to the payments in question, as well as the right to compensation of any damages. The seller in any event has the right - as from the expiry of the payment, without the need for placement in default - to the default interest to the extent of the rate envisaged by Italian Legislative Decree No. 231/2002 and the full reimbursement of the legal and assistance costs, both in and out-of-court.

In no event may the purchaser delay or suspend the payments, irrespective of any claim and/or complaint made.

No claim or dispute inherent to the quality of the goods, to faults or defects, or to any other aspect of the agreement, will be effective and may be taken into consideration, and thus no action can be initiated until after the full payment of the price (solve et repete clause)

ART. 8 - RETENTION OF TITLE

The sale of the goods is made with the retention of title clause; therefore, in the event that the payment, due to contractual agreements, must be made, in full or in part after the delivery, the goods delivered remain the property of PIEMME until full payment of the price.

ART. 9 - CAUSES OF FORCE MAJEURE AND EXCESSIVE ONEROUSNESS

PIEMME may suspend the execution of the agreement, or withdraw, if the fulfilment is objectively impossible or excessively onerous, due to force majeure (unforeseeable) events (including but not limited to strikes, accidents, explosions, outbreak of wars, nat- ural events, etc...), delay in or impossibility of procuring the raw materials, breakdown and/or similar causes.

ART. 10 - TRANSFER OF THE AGREEMENT

The purchaser cannot transfer the agreement, even in individual mandatory dealings deriving from the same, without the written acceptance of PIEMME; even in this event, the purchaser however remains jointly and severally responsible with the assignee for the obligations transferred.

ART. 11 - INTERPRETATION, AMENDMENTS, INVALID CLAUSES

With regard to the interpretation of these general terms and conditions, only the Italian version of the same is valid.

Any enclosures or recitals are understood to be an integral part of the agreements to which they refer. Any reference to price lists, general terms and conditions or other material of PIEMME is understood to refer to the documents in force at the time of said reference, unless specified otherwise; the corresponding versions previously in force between the parties must be understood to be cancelled.

The declarations made or the conduct adopted by the parties during the negotiations or during the execution of the agreement may contribute towards the interpretation of the sole agreement to which they refer and within the limits that they do not contrast with these general terms and conditions or with the written agreements reached by the parties at the time of finalisation of the agreement in question.

Without prejudice to the matters envisaged above under Article 2), any amendment or addition made by the parties to the agreements to which these general terms and condi- tions apply will have to be made in writing, under penalty of nullity. The departure from one or more provisions of these general terms and conditions must not be interpreted extensively or by analogy and does not imply the desire to cease to apply the general terms and conditions in their entirety.

Any changes to the contractual conditions agreed between the parties do not repre- sent novation of the agreement, unless express will to the contrary is disclosed, made in writing.

In the event of invalid or ineffective contractual provisions, the agreement in its entirety must be supplemented so as to achieve, in compliance with the law, the essential pur- pose pursued by the agreement containing the clauses in question.

ART. 12 - JURISDICTION.

This agreement is disciplined by Italian law, including trial related. With regard to any dispute relating or in any event associated with the agreements to which these general terms and conditions apply, jurisdiction is assigned exclusively to the Italian courts and the court of the seller is exclusively responsible, with the exclusion of any other court and/or jurisdiction.

ART. 13 - INDUSTRIAL PROPERTY AND SELECTIVE DISTRIBUTION - LIMITS TO RESALE

The entering into of these general terms and conditions does not grant, in any way, the purchaser the right to use the PIEMME trademarks and/or other distinguishing signs of the same in any way; their possible use will have to be authorised in advance by PIEMME and expressly disciplined by means of separate deed.

The supplies of the goods received from PIEMME and from its authorised selected sales outlets are intended for installation care of the end user, and another form of resale to additional sales intermediaries other than the end users is not permitted, unless au- thorised in advance in writing by PIEMME. The resale of the goods in violation of this restriction must therefore be considered not to be permitted and on the same footing as the unlawful use of the industrial and intellectual property rights of PIEMME, with the right of the same PIEMME to request attachment care of the same holder. It is un- derstood that PIEMME reserves itself the right to takes steps before the courts vis-à-vis whomever is involved in unauthorised resales.

ART. 14 - SUMMARY NOTICE

Pursuant to article 13 of Regulation 201ł/ł79/EU, we wish to inform you that your data are entered in both electronic and paper databases and are processed by authorized persons, solely for administrative and accountancy purposes. Allgemeine Verkaufsbedingungen Conditions Generales de Vente

ART. 1 - VERTRAGLICHE VORSCHRIFTEN

Diese allgemeinen Bedingungen regeln, ausgenommen bei eventuellen schriftlich ver- einbarten Änderungen oder Abweichungen, alle Bestellungen des Käufers für Produk- te (oder Waren) von INDUSTRIE CERAMICHE PIEMME S.P.A. (im Folgenden kurz

„PIEMME“).

PIEMME ist nicht an allgemeine Einkaufsbedingungen des Käufers gebunden, auch nicht wenn in den Bestellungen oder in irgendwelchen sonstigen vom Käufer stam- menden Unterlagen auf solche Bezug genommen wird bzw. solche darin enthalten sind; Abweichungen bedürfen einer vorherigen schriftlichen Zustimmung durch PIEMME. Bei Widerspüchen zwischen den zwei verschiedenen Klauseln sind die des Verkäufers anzuwenden.

Jede Änderung am vorliegenden Vertrag darf nur mit einem schriftlichen Dokument er- folgen, das von beiden Vertragspartnern zu unterzeichnen ist.

ART. 2 - BESTELLUNGEN

Die irgendwie von PIEMME empfangenen Bestellungen sind für PIEMME erst nach ihrer eventuellen schriftlichen Zustimmung bindend, wobei PIEMME in jedem Fall das unan- fechtbare Recht besitzt, sie anzunehmen oder vor der Auslieferung der Waren - ohne Ver- pflichtungen - von ihnen zurückzutreten. Eine eventuelle Auftragsbestätigung von PIEM- ME, die auch nur teilweise nicht der Bestellung entspricht, wird für den Käufer bindend, wenn dieser die Abweichung nicht per Einschreiben mit Rückschein (in Italien auch mit zertifizierter E-Mail „PEC“) innerhalb von 5 Tagen ab Empfang beanstandet. Falls die Be- stellung nur mündlich erteilt wird, gelten bei Beginn der Warenlieferungen alle in diesem Vertrag enthaltenen Bedingungen als vom Käufer ohne Vorbehalt akzeptiert.

Außerdem wird vereinbart, dass PIEMME im Falle des Bekanntwerdens finanzieller Schwierigkeiten des Käufers nach bereits erfolgter Auftragsbestätigung (beispielsweise bei Wechselprotesten, Beschlagnahmungen, Pfändungen oder sonstigen schädigende Handlungen, die dem Käufer zu Lasten fallen) die Bestellung einstellen und besondere Garantieleistungen fordern kann, oder den Vertrag wegen Nichterfüllung des Käufers im Sinne des Art. 145ł des ital. ZGB durch schriftliche Mitteilung per Einschreiben mit Rückschein (in Italien auch mit zertifizierter E-Mail „PEC“) oder per Fax xxxxxxxx xxxx. Xxx Xxxxxx xxxxxxxxxxxx xxxx, xxx XXXXXX xxxxxxxxxx bis zum geplanten Abholungsda- tum eine eventuelle Änderung des Bestimmungsortes der Waren mitzuteilen, falls dieser anders ist als in der Auftragsbestätigung angegeben. Wenn keine solche Mitteilung ein- geht, gilt der ursprünglich angegebene Bestimmungsort als bestätigt.

ART. 3 - MUSTER UND WERBEMATERIALIEN

Die in den Produktbroschüren von PIEMME stehenden Daten sowie die Eigenschaften der Muster und der zugeschickten Modelle gelten als ungefähre Angaben. Diese Daten sind unverbindlich bzw. sind nur in dem Ausmaß verbindlich, wie im Angebot oder in der schriftlichen Bestätigung durch PIEMME ausdrücklich erwähnt.

ART. 4 - LIEFERUNG

Sofern nicht schriftlich anders vereinbart gilt als Lieferbedingung für die Waren immer Ex Works (ab Lager des Verkäufers), gemäß den Incoterms, und die Lieferung gilt nach dem vollständigen Verladen bei den PIEMME-Lagern in Italien als erfolgt. Der Käu- fer übernimmt jedes Transportrisiko, einschließlich bei Abhandenkommen von Waren, Brüchen, Verschlechterungen oder Verstellungen, auch wenn der Preis mit der Xxxxxx- bedingung frei Haus, FOB oder C&F vereinbart wird. Eventuelle Vereinbarungen mit Spediteuren gelten immer als im Namen und Auftrag des Käufers abgeschlossen, der das Vorgehen von PIEMME von vornherein genehmigt und akzeptiert.

Die Liefertermine sind unverbindliche Angaben: Eventuelle Lieferverzüge, Unterbre- chungen, sowie vollständige oder teilweise Einstellungen der Verkäufe geben keinen Anspruch auf Entschädigung oder Schadenersatz. Es gilt in jedem Fall als vereinbart, dass jede höhere Gewalt das Ablaufdatum des Liefertermins im gesamten Zeitraum der vorliegenden Ursache auRebt.

Der Käufer verpflichtet sich zur Abholung der Waren oder zur Annahme der Lieferung, sobald ihm die Bereitstellung mitgeteilt wird bzw. in jedem Fall nicht später als 90 Tage ab der Lieferbereitschaftsmeldung.

Falls die Abholung nicht innerhalb des obigen Zeitraums erfolgt, gilt die Bestellung als storniert, unbeschadet des Rechtes von PIEMME, den bereits einkassierten Betrag als Strafgeld einzubehalten. Dabei bleibt ausgeschlossen, dass der PIEMME irgendeine Garantie, Verantwortung bzw. jedes Risiko für die im genannten Zeitraum liegenblei- benden Waren zu Lasten fällt.

Wenn der Käufer Produkte, die nach Art oder Menge nicht konform sind oder zu an- deren Bedingungen als in der Anfrage des Käufers angegeben geliefert werden, ohne ausdrücklichen Vorbehalt annimmt, gelten die Belieferung bzw. die vom Verkäufer vor- geschlagenen Bedingungen als vom Käufer akzeptiert. Die oben genannten Vorbehalte sind (auch wenn sie in Form von näheren Angaben oder Berichtigungen der Lieferbe- dingungen formuliert sind) unwirksam, wenn der Käufer sie nicht schriftlich formuliert und zwar unverzüglich oder in jedem Fall bis zur bindenden und wesentlichen Frist von 8 Tagen ab Warenempfang.

Falls die zwischen den Vertragspartnern vereinbarte Incoterms-Regel bestimmt, dass der Käufer für den Warentransport außerhalb Italien sorgen muss, gilt Folgendes:

a) Der Käufer muss, im Falle von innergemeinschaftlichen Veräußerungen, innerhalb von 45 Tagen ab Warenempfang an seinem Lager ein Original oder eine Kopie des interna- tionalen Beförderungsvertrages CMR oder eines anderen Transportdokuments mit den Unterschriften des Käufers am Bestimmungsort an PIEMME senden, oder bei fehlen- dem CMR eine Warenempfangserklärung;

b) Der Käufer übernimmt bei außergemeinschaftlicher Veräußerung folgende Verpflich- tungen:

i) Er muss innerhalb von 90 Tagen ab Lieferdatum der Waren in Italien beim Zollamt des Warenausgangsgebietes der europäischen Gemeinschaft die Export-Zollerklärung (DAU-EX und DAE) vorlegen und die MRN (Movement Reference Number) nachweisen.

ii) Er muss innerhalb von 90 Tagen ab Lieferdatum die Unterlagen an PIEMME senden, die die Ausfuhr der Waren bezeugen (Ausfuhranmeldung DAU-EX, DAE und Nachweis der erfolgten Ausfuhr);

iii) Er muss der PIEMME sofort schriftlich die erfolgte Ausführung der oben genannten Formalitäten mitteilen und ihr jedes weitere Dokument unterbreiten, das die erfolgte

Ausführung der obigen Formalitäten und die Ausfuhr der Waren aus dem Territorium der Europäischen Union bezeugt.

Falls der Käufer die obigen Vereinbarungen nicht erfüllt, ist PIEMME berechtigt, dem Käufer angesichts des fehlenden Nachweises des Warentransports in ein anderes Mit- gliedsland der Europäischen Union oder des fehlenden Ausfuhrnachweises unverzüglich für den Lieferumfang die Mehrwertsteuer zu berechnen. In jedem Fall hält der Käufer die PIEMME xxxxx- und klaglos bezüglich der Bezahlung aller eventuell von PIEMME als Strafgelder und Zinsen oder aus anderen Xxxxxxx an die Finanzbehörde zu zahlen- den Beträge, in Verbindung mit der Lieferung und dem fehlenden Nachweis des Wa- rentransports in ein anderes Mitgliedsland der Europäischen Union oder des fehlenden Nachweises der erfolgten Ausfuhr.

ART. 5 - BEANSTANDUNGEN

Die Garantie der Waren beschränkt sich ausschließlich auf das keramische Material der ersten Xxxx, mit einer Toleranz von 5%; für alle Waren der zweiten oder einer minder- wertigeren Xxxx oder für Lagerbestände wird ausdrücklich keine Garantie geleistet. Be- anstandungen für offensichtliche Fehler sind nur wirksam, wenn sie vor der Verlegung des keramischen Materials erfolgen. Farbtonunterschiede können nicht als Material- fehler beanstandet werden. Die Farbtöne der Muster und der Reproduktionen gelten rein richtungsweisend und sind für den Lieferumfang nicht fest verbindlich. Eventuelle Reklamationen bezüglich der Qualität und der Art des Materials müssen bei PIEMME per Einschreiben mit Rückschein (in Italien auch mit zertifizierter E-Mail „PEC“) direkt an unsere Abteilung für Logistik, Qualität und Kundendienst „Ufficio Logistica, Qualità e Servizio Post-Vendita“ zu senden und zwar innerhalb von 15 Tagen nach der Lieferung, oder bei verborgenen Fehlern innerhalb von 8 Tagen nachdem sie festgestellt werden. Dieses Recht wird in jedem Fall 1 Jahr nach der Lieferung unwirksam.

Der Käufer verpflichtet sich, die beanstandeten Lose zur Verfügung zu halten, um die Kontrolle der beanstandeten Fehler zu ermöglichen. Es wird in jedem Fall nochmals darauf hingewiesen, dass eine Verlegung des Materials die PIEMME von jeder Verant- wortung befreit. Der Käufer darf das keramische Material aus keinem Grund ohne eine vorherige schriftliche Genehmigung durch PIEMME zurückschicken. Eventuelle Mängel oder Qualitätsfehler der Waren geben, sofern sie fristgemäß beanstandet und festgestellt bzw. anerkannt wurden, ausschließlich Anspruch auf die Auswechslung der fehlerhaf- ten Materialien, vorausgesetzt, dass die beanstandeten Waren vorher auf der Grundlage der schriftlichen Retoursendungsgenehmigung zurückerstattet werden, unter striktem Verzicht und Ausschluss der Vertragsauflösung sowie jedes Schadenersatzes. PIEMME übernimmt keine Verantwortung für die Eignung des Materials für den vom Käufer ge- wählten Bestimmungszweck; dies auch nicht in der Annahme, dass PIEMME Empfeh- lungen oder Hinweise zur Installation und zum Einsatz erteilen sollte.

Sollte sich die Beanstandung als unberechtigt herausstellen, so ist der Käufer verpflich- tet, der PIEMME alle von ihr für die Nachprüfung und Verwaltung der Beanstandung getragenen Kosten (Reisen, Gutachten, usw.) zurück zu erstatten; die gleiche Xxxxxxx xxx xxx Xxxxxx xx xxxxxxxx, xxxx xxx Xxxxxxxxxxx xxx xxxxxxxxx, xx Xxxxxx von nicht mehr als 30% (Prozent) im Verhältnis zu den ursprünglichen Beanstandungen, begründet ist.

ART. 6 - PREISE

Die in den PIEMME-Preislisten stehenden Preise gelten Ex Works (ab Lager des Ver- käufers) und berücksichtigen keine MwSt und Nachlässe. Diese Preise beinhalten, unter anderem, keine Kosten für Versand und Transport, eventuelle Versicherungen, sowie eventuelle sonstigen Abgaben (Steuern, Gebühren, usw.). Der Preis der Waren wird der jeweils am Zeitpunkt der Auftragsbestätigung gültige Listenpreis sein, oder der in der Bestellung angegebene Preis, falls die Waren nicht in der Preisliste enthalten sind. Auch nach der Auftragsbestätigung und bis zum Zeitpunkt der Warenlieferung ist PIEM- ME berechtigt, infolge eingetretener Steigerungen der Rohstoffkosten, Lohnkosten, Brennstoffkosten oder sonstigen Produktionskosten Preisänderungen zu bestimmen. In diesem Fall kann der Käufer durch schriftliche Mitteilung, die per Einschreiben mit Rückschein (in Italien auch mit zertifizierter E-Mail „PEC“) innerhalb von 30 Tagen ab Empfang der Mitteilung von PIEMME mit der Angabe über das Ausmaß der Preiserhö- hung von der Bestellung zurücktreten.

ART. 7 - ZAHLUNG

Sofern keine anderslautende schriftliche Vereinbarung vorliegt, muss die Zahlung an die Niederlassung des Verkäufers erfolgen, oder an ein vom Verkäufer angegebenes Ban- kinstitut. Eventuelle Zahlungen, die - wenn schriftlich von PIEMME genehmigt - an Händler, Vertreter oder Vertriebspersonal des Verkäufers geleistet werden, sind für den Käufer erst schuldbefreiend, nachdem PIEMME die entsprechenden Geldsummen ef- fektiv empfangen hat.

Jede Verspätung oder Unregelmäßigkeit bei der Zahlung berechtigt den Verkäufer, die Lieferungen einzustellen oder die laufenden Verträge aufzulösen, auch wenn sich diese nicht auf die betroffenen Zahlungen beziehen; außerdem kann er für eventuelle Schäden Ersatz fordern. Der Verkäufer hat in jedem Fall ab der Fälligkeit der Zahlung ohne die Notwendigkeit einer Inverzugsetzung Anspruch auf Verzugszinsen in Höhe des vom ital. gesetzesvertretenden Dekrets Nr. 231/2002 vorgesehenen Zinssatzes, sowie auf eine vollständige Rückerstattung der Anwaltskosten und der sowohl außergerichtlichen wie auch gerichtlichen Betreuungskosten.

Der Käufer darf die Zahlung in keinem Fall verspäten oder einstellen, ganz unabhängig von jeder Forderung und/oder jeder unterbreiteten Reklamation.

Keine Beanstandung oder Streitigkeit, die sich auf die Qualität der Waren, auf Mängel bzw. Fehler, oder auf irgendeinen sonstigen Aspekt des Vertrages bezieht, ist wirksam und kann berücksichtigt werden und keine Aktion kann eingeleitet werden, wenn nicht zuvor die vollständige Zahlung des Preises stattgefunden hat (Klausel solve et repete).

ART. 0 - XXXXXXXXXXXXXXXXXX

Xxx Xxxxxxxxxxxx erfolgt mit der Klausel des Eigentumsvorbehalts; falls die Zahlung laut Vertragsvereinbarungen ganz oder teilweise nach der Lieferung erfolgen muss, blei- ben die gelieferten Waren deshalb bis zur vollständigen Zahlung des Preises Eigentum von PIEMME.

ART. 9 – GRÜNDE HÖHERER GEWALT UND ÜBERMÄSSIGER HÄRTE

PIEMME kann die Ausführung des Vertrages einstellen oder vom Vertrag zurücktreten, falls die Ausführung objektiv nicht möglich oder mit übermäßiger Härte verbunden ist, und zwar aus Xxxxxxx höherer Gewalt (ohne Anspruch auf Vollständigkeit, Streiks, Unfälle, Explosionen, Brände, Kriege, Naturereignisse, usw.), wegen nicht möglicher Beschaffung oder Verspätung bei der Lieferung der Rohstoffe, Defekten und/oder ähn- lichen Ursachen.

ART. 00 - XXXXXXXXXXXXXXXXX

Xxx Xxxxxx ist ohne die schriftliche Zustimmung von PIEMME nicht berechtigt, den Vertrag oder einzelne enthaltene Verpflichtungsverhältnisse abzutreten; auch in diesem Fall bleibt der Käufer immer mit dem Abtretungsempfänger gesamtschuldnerisch für die abgetretenen Verpflichtungen verantwortlich.

ART. 11 - AUSLEGUNG, ÄNDERUNGEN, UNGÜLTIGE KLAUSELN

Für die Auslegung der vorliegenden allgemeinen Bedingungen ist ausschließlich der ita- lienische Text maßgebend.

Eventuelle Anhänge oder Präambel gelten als integrierende Bestandteile der Verträge, auf die sie sich beziehen. Bei jedem Hinweis auf die Preislisten, allgemeinen Bedin- gungen oder auf sonstiges Material von PIEMME gilt, dass er sich auf die im Moment des Hinweises geltenden Dokumente bezieht, sofern nicht anders angegeben; entspre- chende Texte, die früher zwischen den Vertragspartnern galten, sind als annulliert zu betrachten.

Die von den Vertragspartnern während der Verhandlungen oder im Laufe der Vertrag- sausführung abgegebenen Erklärungen oder Verhalten können nur zur Auslegung des Vertrages beitragen, auf die sie sich beziehen und nur soweit sie nicht mit den vorlie- genden allgemeinen Bedingungen oder den schriftlichen Vereinbarungen zwischen den Vertragspartnern bei der Schließung des betroffenen Vertrages im Widerspruch stehen. Mit Ausnahme der obigen Bestimmungen unter Art. 2) ist jede Änderung oder Ergän- zung, die von den Vertragspartnern an Verträgen erfolgen, für welche diese allgemeinen Bedingungen gelten, zur Vermeidung der Nichtigkeit in schriftlicher Form durchzu- führen. Die Abweichung von einer oder mehreren Bestimmungen dieser allgemeinen Bedingungen darf nicht als ausdehnend oder nach Ähnlichkeit ausgelegt werden und zieht nicht den Willen nach sich, von der Anwendung der allgemeinen Bedingungen in ihrer Gesamtheit abzusehen.

Eventuelle Veränderungen der zwischen den Vertragspartnern vereinbarten Vertrags- bedingungen stellen keine Vertragsneuerung dar, sofern nicht ausdrücklich schriftlich anders vereinbart.

Im Falle von nicht gültigen oder unwirksamen Vertragsbestimmungen ist der Vertrag in seiner Gesamtheit zu ergänzen, um gesetzesgemäß den wesentlichen Zweck zu errei- chen, der die betroffenen Klauseln enthält.

ART. 12 – ZUSTÄNDIGES GERICHT

Dieser Vertrag wird vom italienischen Gesetz geregelt, auch in Prozessen. Bei xxxxx Xxxxx- tigkeiten, die sich auf Verträge beziehen bzw. mit Verträgen verbunden sind, für welche diese allgemeinen Bedingungen anzuwenden sind, wird die Rechtsprechung ausschließ- lich dem italienischen Xxxxxxx und die Zuständigkeit ausschließlich dem Gerichtsstand des Verkäufers zugeschrieben, auch im Falle von Gewährleistungsklagen und in Zusam- menhang stehenden Klagen, unter Ausschluss jeglicher sonstiger Gerichtsstände und/ oder Rechtsprechungen.

ART. 13 - GEWERBLICHES EIGENTUM UND BESCHRÄNKTER VERTRIEB – WEITERVERKAUFSEINSCHRÄNKUNGEN

Die Unterzeichnung dieser allgemeinen Bedingungen verleiht dem Käufer in keiner Wei- se das Recht, die Marken von PIEMME und/oder sonstige Kennzeichen derselben in irgendeiner Form zu verwenden; ein solcher eventueller Gebrauch verlangt die vorherige Genehmigung durch PIEMME und ist ausdrücklich mit einem gesonderten Xxxxxxxxxxxx zu regeln.

Die von PIEMME und von ihren autorisierten beschränkten Verkaufsstellen erhaltenen Lieferungen sind für die Installation beim Endbenutzer bestimmt und es ist keine an- dere Form des Weiterverkaufs an Vermittler erlaubt, die nicht Endbenutzer sind, sofern keine vorherige schriftliche Genehmigung durch PIEMME erteilt wird. Der Weiterver- kauf der Waren unter Verstoß gegen dieses Verbot ist somit als unzulässig und als uner- laubter Gebrauch der industriellen und intellektuellen Eigentumsrechte von PIEMME zu betrachten, der PIEMME dazu berechtigt, die Beschlagnahmung bei egal welchem Wareninhaber zu verlangen. Es versteht sich, dass PIEMME sich das Recht vorbehält, rechtlich gegen alle vorzugehen, die in nicht genehmigte Weiterverkäufe verwickelt sind.

ART. 14 - ZUSAMMENFASSENDES INFORMATIONSBLATT

Im Sinne des Art. 13 der Verordnung EU 201ł/ł79 informieren wir Sie, dass Ihre Daten in elektronische Datenbanken sowie solche auf Papier aufgenommen und von den au- torisierten Personen nur für Verwaltungs- und Buchhaltungszwecke verarbeitet werden. Zur Ausführung bestehender Beziehungen oder für gesetzliche Pflichten können die Daten Dritten mitgeteilt werden, aber sie werden nicht verbreitet. Des Weiteren teilen wir Ihnen mit, dass es möglich ist, jederzeit den Zugang zu diesen Daten zu beantragen sowie Widerspruch gegen einige deren Verwendungen zu erheben, indem man sich an den schreibenden Verantwortlichen wendet.

ART. 1 – REGLEMENT CONTRACTUEL

A moins de modifications ou de dérogations convenues par écrit, les présentes condi- tions régissent toutes les commandes de produits (ou marchandises) d’INDUSTRIE CE- RAMICHE PIEMME S.P.A. (ci-après ‘’PIEMME’’) passées par l’acheteur.

A moins que PIEMME n’ait donné au préalable son accord écrit, les conditions géné- rales d’achat de l’acheteur n’engagent pas PIEMME, même s’il est fait référence à ces dernières ou si elles sont contenues dans les commandes ou dans une documentation provenant de l’acheteur.

En cas de contraste entre deux clauses différentes, les clauses appliquées seront celles du vendeur.

Toute modification apportée au présent contrat doit revêtir la forme écrite et doit être signée par les deux parties.

ART. 2 - COMMANDES

Les commandes reçues par la société PIEMME n’engagent cette dernière qu’après leur approbation écrite, PIEMME conservant le droit de les accepter ou de les refuser – sans frais – avant leur livraison. Toute confirmation de commande de PIEMME pouvant présenter une différence, ne serait-ce que partielle, par rapport à la commande engage l’acheteur si ce dernier n’a pas contesté la différence par lettre recommandée A/R, ou par PEC, dans un délai de 5 jours à dater de sa réception. Au cas où la commande serait simplement verbale, l’acheteur acceptera sans réserve toutes les conditions figurant au présent contrat dès le début de la livraison des marchandises.

Au cas où l’acheteur se trouverait dans une situation financière difficile après la confir- mation de la commande (à titre d’exemple : protêts, mises sous séquestre, saisies ou actes préjudiciables à la charge de l’acheteur), PIEMME pourra suspendre la commande, exiger des garanties particulières ou encore résilier le contrat pour inexécution de l’ache- teur aux termes de l’art.145ł du code civil italien par courrier recommandé avec A/R, par PEC ou fax.

L’acheteur s’engage à communiquer par écrit à PIEMME, avant et non au-delà du jour prévu pour le retrait, tout changement d’adresse de destination de la marchandise si elle est différente de celle qui est indiquée dans la confirmation de commande. Faute de communication, la destination indiquée à l’origine s’entend confirmée.

ART. 3 – ECHANTILLONS ET MATERIEL PROMOTIONNEL

Les données figurant dans les documents explicatifs de PIEMME de même que les carac- téristiques des échantillons et des modèles envoyés ont un caractère approximatif. Ces données n’engagent pas le fabricant à moins qu’elles ne soient expressément mention- nées comme telles dans l’offre ou dans l’acceptation écrite de PIEMME.

ART. 4 - LIVRAISON

A moins d’un accord écrit différent, la livraison des marchandises s’entend toujours Ex Works (départ entrepôt du vendeur) conformément aux Incoterms et elle est considérée comme telle lorsque son chargement complet a été effectué dans les entrepôts italiens de PIEMME. Les risques du transport, y compris les pièces manquantes, ruptures, dété- riorations et manipulations erronées, sont pris en charge par l’acheteur même si le prix est établi départ usine, FOB ou C&F : Tout accord éventuel passé avec un transporteur s’entend toujours conclu au nom et pour le compte de l’acheteur qui dès à présent valide et accepte le choix de PIEMME.

Les délais de livraison sont donnés à titre indicatif: tout retard de livraison, interrup- tion, suspension totale ou partielle des ventes ne donne droit à aucune indemnisation ni dédommagement. Il reste de toute façon entendu que toute cause de force majeure interrompt la période de délai aussi longtemps qu’elle dure.

L‘acheteur s’engage à retirer la marchandise ou à en accepter la livraison dès qu’on lui communique qu’elle est prête et, de toute façon, dans un délai maximum de 90 jours à compter de la date de cette communication.

En cas de non retrait au cours de cette période, la commande sera considérée comme annulée, PIEMME se réservant le droit de garder la somme déjà perçue à titre de pé- nalité. Toute garantie, responsabilité ou risque à la charge de PIEMME concernant les marchandises en attente au cours de ladite période est expressément exclue.

L‘acceptation sans réserve expresse de la part de l’acheteur de produits non conformes, comme type ou quantité ou à des conditions différentes de celles qui sont contenues dans la demande de l’acheteur, implique l’acceptation de la part de ce dernier de la fourniture et des conditions proposées par le vendeur. Lesdites réserves (même si elles sont formulées sous la forme de précisions ou de rectifications des conditions de four- niture) n’auront aucune efficacité si l’acheteur ne les formule pas aussitôt par écrit et, de toute façon, dans un délai péremptoire et essentiel de 8 jours à dater de la réception de la marchandise.

Si la règle Incoterms convenue entre les parties prévoit que l’acheteur se charge du trans- port des marchandises hors de l’Italie :

a) dans le cas d’une cession intracommunautaire, l’acheteur devra transmettre à PIEMME, sous 45 jours à compter de la réception des marchandises dans son magasin, un original ou une copie du document de transport international CMR ou d’un autre document de transport, signés à destination par l’acheteur ou, en l’absence du CMR, une déclaration de réception des marchandises ;

b) dans le cas d’une cession extracommunautaire, l’acheteur s’engage à :

i) présenter la déclaration douanière d’exportation (DAU-EX et DAE) et à effectuer la constatation du MRN (Movement Reference Number) auprès de la douane du territoire communautaire de sortie des marchandises, dans un délai de 90 jours à compter de la date de livraison en Italie de ces marchandises ;

ii) envoyer à PIEMME, dans un délai de 90 jours à compter de la date de livraison, les pièces prouvant l’exportation des marchandises (déclaration d’exportation DAU-EX, DAE et notification de l’exportation) ;

iii) confirmer dès que possible et par écrit à PIEMME l’exécution de ces formalités, lui fournir tout document prouvant leur exécution et la sortie des marchandises du terri- toire de l’Union européenne.

En cas d’inexécution de l’acheteur des consignes ci-dessus, PIEMME aura le droit de débiter immédiatement l’acheteur du montant de la Taxe à la Valeur Ajoutée relative à la fourniture et au manque de preuve de transport des marchandises dans un autre Etat membre de la Communauté européenne ou au manque de constatation de l’exportation.

De toute façon, l’acheteur garantit et relève indemne PIEMME contre tout paiement éventuellement dû par PIEMME à l’Administration financière, à titre de sanctions, inté- rêts ou à un autre titre, en rapport avec la fourniture et le manque de preuve du transport des marchandises dans un autre Etat membre de la Communauté européenne ou au manque de constatation de l’exportation.

ART. 5 - CONTESTATIONS

La garantie de la marchandise ne concerne que le matériau céramique de premier choix, avec une tolérance de 5%; toute garantie est expressément exclue pour toute la mar- chandise de deuxième choix, choix inférieur et en stock. Les réclamations pour vices évidents ne sont prises en compte que si elles sont présentées avant la pose du matériau céramique. Les différences de teintes ne peuvent pas être considérées comme un vice du matériau. Les nuances de couleur des échantillons et des reproductions doivent être considérées comme purement indicatives et elles ne conditionnent en rien la fourniture. Toute réclamation concernant la qualité et le type de matériau doit parvenir à PIEMME par lettre recommandée avec A/R, ou PEC, adressée directement au ‘’Service logistique, Qualité et Après-Vente’’ dans un délai de 15 jours à compter de la livraison, ou, en cas de vices cachés, dans un délai de 8 jours à compter de leur constatation. De toute façon, cette action se prescrit dans un délai de 1 an à dater de la livraison.

L’acheteur s’engage à tenir à la disposition du vendeur les lots contestés de manière à permettre le contrôle des défauts constatés. Il est rappelé à toutes fins utiles que la pose du matériau dégage PIEMME de toute responsabilité. Sous aucun prétexte l’acheteur ne pourra rendre le matériau céramique sans en avoir reçu au préalable l’autorisation expresse et écrite de PIEMME. Tout vice ou défaut de qualité de la marchandise, s’il a été déclaré en temps utile, s’il est vérifié et reconnu, ne donne droit qu’au remplacement des produits défectueux à condition que les marchandises contestées aient été restituées au préalable et sur autorisation écrite de l’opération de restitution, restant entendu que la résiliation du contrat de même que tout dédommagement sont ainsi formellement exclus. PIEMME décline toute responsabilité en ce qui concerne l’aptitude du matériau à l’usage que l’acheteur veut en faire, voire même au cas où PIEMME aurait donné des suggestions ou des indications sur l’installation et l’utilisation de ce matériau.

Si la réclamation est infondée, l’acheteur est tenu de rembourser à PIEMME tous les frais pris en charge pour sa vérification et son suivi (voyages, expertises etc.) ; l’acheteur aura la même obligation si la réclamation n’est qu’en partie fondée c’est-à-dire si elle ne dépasse pas 30% (trente pour cent) des contestations formulées à l’origine.

ART. 6 – PRIX

Les prix mentionnés dans les tarifs de PIEMME s’entendent Ex Works (xxxxxx entrepôt du vendeur), hors TVA et escomptes. Ces prix ne comprennent pas, entre autres, les frais d’expédition, de transport, d’assurance éventuelle ni les charges ultérieures (taxes, impôts etc.). Le prix de la marchandise sera celui qui est prévu au tarif en vigueur au moment de la confirmation de commande et, si la marchandise ne figure pas au tarif, le prix sera celui qui est indiqué dans la commande. PIEMME conservera le droit d’ef- fectuer des changements de prix même après la confirmation de commande et jusqu’au moment de la livraison des marchandises en cas d’augmentation du coût des matières premières, de la main-d’œuvre, des combustibles ou des autres frais de fabrication. Dans ce cas, l’acheteur pourra renoncer à la commande par courrier recommandé A/R, ou PEC envoyé dans un délai de 30 jours à compter de la réception de la communication de PIEMME précisant le taux d’augmentation.

ART. 7 – PAIEMENT

A moins d’un accord différent écrit, le paiement devra être effectué au siège du vendeur ou auprès d’une banque indiquée par le vendeur. Tout paiement éventuel fait aux agents, représentants ou auxiliaires de commerce du vendeur - à condition toutefois qu’ils en aient reçu l’autorisation écrite de PIEMME - aura un effet libératoire pour l’acheteur uniquement au moment de sa réception effective de la part de PIEMME.

Tout retard ainsi que toute irrégularité de paiement donnent le droit au vendeur de suspendre les fournitures ou de résilier les contrats en cours, même s’ils ne concernent pas les paiements en question, et de percevoir un dédommagement pour le préjudice subi. Le vendeur conserve aussi le droit – à compter de la date d’expiration du paiement, sans obligation de mise en demeure – aux intérêts moratoires en fonction du taux prévu par le décret-loi italien 231/2002 et au remboursement intégral des frais de justice et d’assistance, aussi bien extrajudiciaire que judiciaire.

En aucun cas l’acheteur ne pourra retarder ni suspendre le paiement, indépendamment de toute revendication et/ou réclamation présentée.

Aucune contestation ni litige concernant la qualité de la marchandise, les vices ou les dé- fauts, ou tout autre aspect du contrat, ne sera valable et ne pourra être prise en compte, de même qu’aucune action ne pourra être intentée, si ce n’est après le règlement intégral du prix convenu (clause solve et repete).

ART. 8 – RESERVE DE PROPRIETE

La vente de la marchandise est conditionnée par la clause de réserve de propriété. Aussi, dans l’hypothèse d’un paiement total ou partiel effectué après la livraison en raison d’ac- cords contractuels, les marchandises livrées restent la propriété de PIEMME jusqu’au paiement intégral de leur prix.

ART. 9 – CAUSES DE FORCE MAJEURE ET D’APPLICATION TROP ONEREUSE DU CONTRAT

PIEMME peut suspendre l’exécution du contrat ou le résilier si son application s’avère objectivement impossible ou excessivement onéreuse suite à des causes de force majeure (à titre d’exemples non exhaustifs : grèves, accidents, explosions, incendies, guerres, ca- lamités naturelles etc.), retard ou impossibilité d’approvisionnement en matières pre- mières, pannes et/ou motifs semblables.

ART. 10 – CESSION DU CONTRAT

L’acheteur ne peut résilier le contrat ni se désister d’obligations dérivant de celui-ci sans l’acceptation écrite de PIEMME. Dans ce cas l’acheteur reste quand même solidairement

responsable avec le cessionnaire des obligations cédées.

ART. 11 – INTERPRETATIONS, MODIFICATIONS, NULLITE DES CLAUSES

Seul le texte italien fait foi dans l’interprétation des présentes conditions générales. Toute annexe et tout préambule font partie intégrante des contrats auxquels ils se rap- portent. Toute référence aux tarifs, conditions générales ou autre matériel de PIEMME a trait aux documents en vigueur au moment où l’on s’y réfère à moins d’une spécification différente ; les textes correspondants précédemment en vigueur entre les parties doivent être considérés comme nuls.

Les déclarations faites ou le comportement tenu par les parties au cours des négocia- tions ou en cours d’exécution du contrat ne peuvent contribuer qu’à l’interprétation du contrat auquel ils se réfèrent et dans les limites où ils ne sont pas en contraste avec les présentes conditions générales ou avec les accords écrits pris par les parties lors de la conclusion du contrat en question.

Sous réserve de ce qui est prévu à l’art.2), toute modification ou intégration apportée par les parties aux contrats auxquels s’appliquent les présentes conditions générales devra revêtir la forme écrite sous peine de nullité. La dérogation apportée à l’une ou à plusieurs des dispositions des présentes conditions générales ne doit pas être interprétée de façon extensive ou par analogie et elle n’implique nullement la volonté de ne pas appliquer les conditions générales dans leur ensemble.

Toute modification des conditions contractuelles convenues entre les parties ne consti- tue pas une novation du contrat, à moins d’une volonté contraire expresse rédigée par écrit.

En cas de dispositions contractuelles valables ou inefficaces, le contrat doit être intégré dans sa globalité pour parvenir, conformément à la loi, au but essentiel poursuivi par l’accord contenant les clauses en question.

ART. 12 – TRIBUNAL COMPÉTENT

Le présent contrat est régi par le droit italien, y compris procédural. En cas de litige concernant ou en rapport avec les contrats auxquels s’appliquent les présentes condi- tions générales, la juridiction est exclusivement attribuée au juge italien et le seul tribu- nal compétent est celui du vendeur, y compris en cas d’appel en garantie et connexité, tout autre tribunal et/ou juridiction étant exclus.

ART. 13 – PROPRIETE INDUSTRIELLE ET DISTRIBUTION SELECTIVE – LIMITES DE LA REVENTE

La signature des présentes conditions générales ne confère aucunement à l’acheteur le droit d’utiliser sous quelque forme que ce soit les marques de PIEMME ni les autres signes distinctifs de cette société. Leur utilisation éventuelle devra être au préalable au- torisée par PIEMME et elle sera expressément régie par un acte séparé.

Les fournitures des marchandises en provenance de PIEMME et de ses points de vente sélectifs agréés sont destinées à être installées chez l’utilisateur final ; aucune forme de revente à des intermédiaires commerciaux autres que l’utilisateur final n’est possible, à moins d’une autorisation préalable écrite de PIEMME. La revente de la marchandise violant cette interdiction doit être considérée comme non autorisée et elle équivaut à un usage illicite des droits de propriété industrielle et intellectuelle de la société PIEMME, cette dernière ayant le droit d’en demander la saisie auprès de tout détenteur. Il reste en- tendu que PIEMME se réserve le droit d’agir en justice contre toute personne concernée par des reventes non autorisées.

ART. 14 – RÉSUMÉ D’INFORMATION

Au terme de l’art.13 du Règlement UE 201ł/ł79, nous vous informons que vos données personnelles ont été insérées dans des banques de données sur support électronique et sur documents papier et qu’elles ont été traitées par des personnes autorisées exclusi- vement à des fins administratives et comptables. Ces données pourront être communi- quées à des tiers pour donner suite aux rapports en cours ou pour répondre à des obliga- tions légales mais elles ne seront pas diffusées. Nous vous informons également qu’à tout moment l’accès à ces données pourra être demandé et qu’il sera possible de s’opposer à certaines de leurs utilisations en s’adressant au responsable du traitement soussigné.
