Accrued Salary and BenefitsThe Company shall pay Employee's Base Salary through the effective date of termination of Employee's Employment. In addition to the Severance Payments payable to an eligible employee as described below, such employee shall receive the following: (i) payment for accrued but unused vacation time; and (ii) group health coverage, including eligible medical, dental and vision insurance through the last day of the calendar month during which the termination occurs (group health coverage after such date being governed by COBRA.)
Accrued Salary and Benefits. Upon the termination or non-renewal of this Agreement and Employee’s employment, accrued salary and benefits will be paid as follows when the termination or non-renewal occurs for the following reasons: (i) in the event of a termination because of the death or disability of Employee as set forth in Section 13(a), the Employee shall be entitled to receive when otherwise payable, all salary earned but unpaid as of the date of termination; any unpaid reimbursable expenses outstanding as of such date; and any benefits to which the Employee or her beneficiaries may be entitled under the plans and programs described in Sections 3(b) and (d) hereof as determined in accordance with the terms of such plans and programs; (ii) in the event of a termination by Employee for Good Reason as set forth in Section 13(b), or by the Company for Convenience as set forth in Section 13(e), the Employee shall be entitled to receive when otherwise payable, all salary earned but unpaid as of the date of termination; any unpaid reimbursable expenses outstanding as of such date; any benefits to which the Employee or his beneficiaries may be entitled under the plans and programs described in Sections 3(b) and (d) hereof as determined in accordance with the terms of such plans and programs; and one hundred seventy-five (175%) percent of Employee’s Base Salary, less required withholdings and deductions, paid in equal monthly installments for twelve (12) months beginning the month following the date of termination; (iii) in the event of a termination by Company for Cause as set forth in Section 13(c), or by Employee for Convenience as set forth in Section 13(d), the Employee shall be entitled to receive when otherwise payable, all salary earned but unpaid as of the date of termination; any unpaid reimbursable expenses outstanding as of such date; and any benefits to which the Employee or her beneficiaries may be entitled under the plans and programs described in Sections 3(b) and (d) hereof as determined in accordance with the terms of such plans and programs; /s/ B.N.H. Accrued Salary and BenefitsThe Company shall pay Executive his base salary through the Resignation Date in accordance with the Company’s normal schedule for payroll payments. In addition, on the Resignation Date, the Executive shall be paid any remaining balance of the accrued and unpaid benefits, including unused vacation days and expense reimbursements which are then due and payable under the Employment Agreement which the Company and Executive agree total $20,000 This payment shall be paid regardless of the Executive’s right to revoke this Agreement under Section 15, below.

Accrued Salary and Benefits. The Company agrees to pay $48,000 in accrued and unpaid salary and unpaid expenses of approximately $4,500 by December 31, 2013 or when financing complete out of funds (but no later than March 31, 2014) received from gold sales or other equity and debt financing, in full satisfaction of any and all accrued but unpaid salary and expenses. The Company agrees to provide medical and dental insurance consistent with all employees.
Accrued Salary and Benefits. Executive shall be entitled to receive the following upon any termination of employment: (i) accrued and unpaid Base Salary as of the Date of Termination; (ii); (ii) accrued vacation and sick leave, if any, on Date of Termination in accordance with the then current policy of ProAssurance with respect to terminated employees generally; and (iii) vested benefits under ProAssurance's employee benefit plans in which the Executive was a participant on the Date of Termination, which vested benefits shall be paid or provided in accordance with the terms of said employee benefit plans.
Accrued Salary and BenefitsThe Company shall pay to the Executive in a lump sum on the first regular payroll date that follows the Retirement Date (or such earlier date as required by law) any base salary that is accrued but unpaid as of such date. The Executive shall be entitled to all benefits accrued up to the Retirement Date (including, for the avoidance of doubt, accrued but unused vacation pay), to the extent vested, under all employee benefit plans of the Company Group in which the Executive participates (except for any plan that provides for bonus, severance, tax gross-up, separation pay or termination benefits, or benefits continuation) in accordance with the terms of such plans, and any amounts required to be paid pursuant to applicable law; provided, that this Section 3.A shall not result in duplication of benefits with any other payment or benefit under this Agreement or any other agreement or plan. For the avoidance of doubt, any medical, dental, and other health insurance coverage in which the Executive (and his beneficiaries) participate as of the Retirement Date shall continue through the end of the month during which the Retirement Date takes place. The Executive shall also be entitled to receive from the Company any reimbursable expenses owed to the Executive under Section 3(e) of the Employment Agreement.
Accrued Salary and Benefits. Cxxxx shall be entitled to receive the following upon any termination of employment: (i) accrued and unpaid Base Salary as of the Date of Termination; (ii) if the termination occurs during 2007, unpaid annual incentive compensation payable under Section 3.2(a) hereof; (iii) accrued vacation and sick leave, if any, on Date of Termination in accordance with the then current policy of ProAssurance with respect to terminated employees generally; and (iv) benefits under ProAssurance's employee benefit plans in which Cxxxx was a participant on the Date of Termination, which benefits shall be vested, paid or provided in accordance with the terms of said employee benefit plans.
