Activities During Employment. Xxxxxx does hereby warrant and represent ---------------------------- to Dotronix that he is not subject to any agreement or arrangement which would preclude him from carrying out the terms of this Agreement. Xxxxxx and Dotronix acknowledge and agree that Xxxxxx shall be permitted, during the term of this Agreement, to devote such time as is necessary to the fulfillment of his obligations as President of Dynetic Systems, Inc., a Minnesota corporation. Xxxxxx agrees that he shall at all times devote his full time, energy and skill during reasonable business hours to the performance of his duties as President of Dotronix and as President of Dynetic Systems, but that the majority of his time and efforts shall be devoted to the business affairs of Dotronix.

Activities During Employment. Executive will devote his full business time, energy, ability, attention and skill to his employment under this Agreement and to the business of the Company. Absent the prior written approval of the Board, Executive will not engage in any for-profit business activity, whether as an employee, officer, consultant, independent contractor or otherwise. Executive shall be free to serve on various non-profit organization boards, so long as they do not unreasonably interfere with his duties to the Company.
Activities During Employment a. Employee agrees that while he is employed in any capacity by Company, (i) except to the extent that the Company has specifically granted written consent to other activities, Employee will devote his full time, attention and energy to the business of the Company and will use his best efforts, skills and abilities to promote the Company's business and interests and will not engage, other than as directed by the Company in the course of his employment, in selling, manufacturing, distributing, or otherwise producing or marketing inflatable products or paintball gaming products in the United States (the "Business"); (ii) Employee will not engage in any activity which is detrimental to the interests of Company, or which interferes with the performance of his duties hereunder; and (iii) Employee will not have any financial interest in any business (other than an interest in the ASDG) which is engaged in the Business. For purposes of Sections 7, 8, 9 and 10 of this Agreement, "Company" includes both the Company and ASDG.
Activities During Employment. During the Employment Term, Executive will devote his skill and experience to the performance of his duties hereunder as his full-time (as opposed to part-time) occupation; provided, however, that Executive may engage in civic and not-for-profit activities so long as such activities do not materially interfere with the performance of his duties hereunder. Executive may serve on the board of directors of other companies with the permission of the Board.
Activities During Employment. The Employee represents and warrants that he/she is presently under no obligation to any other employer, person or entity that would limit, restrict or otherwise affect his/her ability to perform his/her job duties for the Company. Furthermore, the Employee agrees that his/her employment with the Company will not require the disclosure or use of any confidential information, “know-how” or trade secrets belonging to prior employers or other persons or entities, nor will it violate the terms of any non-competition, non-disclosure, non-solicitation, assignment of inventions or other similar agreement(s) to which he/she may be a party. The Employee represents and warrants that he/she has not brought and agrees that he/she will not bring to the Company or use in the performance of his/her employment responsibilities at the Company any materials, documents, trade secrets, or confidential information of a former employer or any other person or entity which are of a confidential nature or which are not generally available to the public. The Employee agrees that he/she has not and will not disclose to the Company or seek to induce the Company to use any such confidential information, materials, documents or trade secrets. The Employee agrees to inform the Company of any outside work or business activities that he/she engages in while employed by the Company, and further agrees not to engage in any outside work or business activities that may interfere with his/her job performance or that may serve business interests that compete with the Company’s business interests.

  • Outside Activities During Employment Except with the prior written consent of the Company, which shall not be unreasonably withheld, Executive will not, while employed by the Company, undertake or engage in any other employment, occupation or business enterprise that would interfere with Executive’s responsibilities and the performance of Executive’s duties hereunder, except for (i) reasonable time devoted to volunteer services for or on behalf of such religious, educational, non-profit and/or other charitable organization as Executive may wish to serve, (ii) reasonable time devoted to activities in the non-profit and business communities consistent with Executive’s duties, and (iii) such other activities as may be specifically approved by the Company. This restriction shall not, however, preclude Executive from owning less than one percent (1%) of the total outstanding shares of a publicly traded company, or employment or service in any capacity with Affiliates of the Company. As used in this Agreement, “Affiliates” means an entity under common management or control with the Company.

  • Other Activities During Employment 4.1 Except with the prior written consent of the Company's Board of Directors, you will not during the term of this Agreement undertake or engage in any other employment, occupation or business enterprise, other than ones in which you are a passive investor in non-competitive businesses. You may engage in civic and not-for-profit activities so long as such activities do not materially interfere with the performance of your duties hereunder.

  • Death During Employment If the Executive dies during the term of employment and has not attained the age of seventy years, the Corporation and/or any third party insurance provided by the Corporation, through a coordination of benefits, shall pay the estate of the Executive a death benefit equal to two times the Executive's annual salary. In the event the Executive receives death benefits payable under any group life insurance policy issued to the Corporation, the Corporation's liability under this clause will be reduced by the amount of the death benefit paid under such policy. The Corporation shall pay any remaining death benefits to the estate of the Executive over the course of twelve (12) months in the same manner and under the same terms as the Executive would have been paid if he had still been working for the Corporation. No later than one (1) month from the date of death, the estate of the Executive will also be paid any accumulated vacation pay. Such payments pursuant to this paragraph shall constitute the full compensation of said Executive and he and his estate shall have no further claim for compensation by reason of his employment by the Corporation.

Employee shall receive only the compensation and other benefits described in this Agreement for Employee’s services to affiliates of Employer.

  • Continuance of Employment/Service Required; No Employment/Service Commitment The vesting schedule requires continued employment or service through each applicable vesting date as a condition to the vesting of the applicable installment of the Option and the rights and benefits under this Option Agreement. Employment or service for only a portion of the vesting period, even if a substantial portion, will not entitle the Grantee to any proportionate vesting or avoid or mitigate a termination of rights and benefits upon or following a termination of employment or services as provided in Section 4 below or under the Plan.   • Death During Active Service If the Executive dies while in the active service of the Company, the Company shall pay to the Executive's beneficiary the benefit described in this Section 3.1. This benefit shall be paid in lieu of the Lifetime Benefits of Article 2.
