Additional Rent; Operating Expenses and Taxes. Effective on December 1, 2010, Lease Addendum Number Two, entitled “Additional RentOperating Expenses and Taxes”, shall be amended to provide that Tenant’s Proportionate Share shall mean 38.7345% calculated by dividing the approximately 64,983 rentable square feet of the Premises by the approximately 167,765 net rentable square feet of the Building.
Additional Rent; Operating Expenses and Taxes. (a) In addition to the Monthly Base Rent, commencing on the Commencement Date Lessee shall pay to Lessor, as “Additional Rent,” the Operating Expenses of the Property in accordance with Paragraph 5(b) hereof and all real property taxes and assessments levied or assessed against the Property in accordance with Paragraph 5(c) hereof. Monthly Base Rent and Additional Rent are sometimes referred to herein collectively as “rent” or “rental.”

The term “Operating Expenses” shall mean all costs incurred by Landlord in the provision of services to tenants and in the operation, management, repair, replacement and maintenance of the Property (as defined below), including, but not limited to, insurance premiums, utilities, heat, air conditioning, janitorial service, labor, materials, supplies, equipment and tools, permits, licenses, inspection fees, salaries and other reasonable compensation of maintenance and management personnel (up to and including the level of Property Manager), management fees, and Common Area expenses.Notwithstanding the foregoing, Operating Expenses shall not include the following:
Additional Rent; Operating Expenses and Taxes. (a) In addition to the Monthly Base Rent payable by Lessee pursuant to Paragraph 4, commencing on the Commencement Date, Lessee shall pay to Lessor, as “Additional Rent,” (1) Lessee’s proportionate share of the Operating Expenses (as defined in Paragraph 5(b) below) of the Property and (2) Lessee’s proportionate share of the Taxes (as defined in Paragraph 5(c) below). Lessee’s pro rata share (the “Pro Rata Share”) of the Operating Expenses of the Property and the Taxes shall be equal to 28.33% and, subject to reasonable adjustment by Lessor based on usage by Lessee (as compared to the other tenants of the Building), 38.5% as to utilities that are not separately metered to the Premises. Monthly Base Rent and Additional Rent are referred to herein collectively as “rent.”.
Additional Rent; Operating Expenses and Taxes. (a) In addition to the Monthly Base Rent payable by Lessee pursuant to Paragraph 5(a) with respect to the 330 Premises, and pursuant to Paragraph 9(a) with respect to the 328 Premises, Lessee shall continue to pay to Lessor with respect to the 330 Premises and commencing on Xxxxx 0, 0000 Xxxxxx shall pay to Lessor with respect to the 328 Premises, and continuing thereafter during the initial term of the Lease of the 330 Premises and with respect to the 328 Premises, including option extension period(s) if exercised, as “Additional Rent,” the Operating Expenses and Property Taxes of the Property allocable to the 330 Premises and allocable to the 328 Premises as hereafter provided. Lessee shall pay 55.19% (19,996/36,228) of the Operating Expenses and Property Taxes allocable to the 330 Premises and 44.81% (16,232/36,228) of the Operating Expenses and Property Taxes allocable to the 328 Premises.

Additional Rent; Operating Expenses and Taxes. (a) In addition to the Monthly Base Rent payable by Lessee to Lessor pursuant to Paragraph 4, commencing on the Effective Date of this Lease with respect to the Building #16 Premises, and commencing on the Commencement Date of this Lease with respect to the Building #13 Premises, respectively, Lessee shall pay to Lessor, as “Additional Rent,” (i) one hundred percent (100%) of the monthly Operating Expenses of the Building #16 Premises, (ii) Lessee’s pro rata share of the monthly Operating Expenses of the Building #13 Premises, (iii) Lessee’s pro rata share of the monthly Operating Expenses of Menlo Business Park of which the Building #16 Premises and the Building #13 Premises are a part, in accordance with Paragraph 5(b) hereof, and (iv) Lessee’s pro rata share of the real property taxes and assessments levied or assessed against the Building #16 Premises and the Building #13 Premises in accordance with Paragraph 5(c) hereof, apportioned as monthly installments. Lessee’s share of the monthly Operating Expenses of Menlo Business Park with respect to the Building #16 Premises (30,240 rentable square feet) is 3.42% calculated by multiplying Lessee’s Share of the Building #16 Premises (100.00%) by the percentage of the Building #16 Land to the total of land area in Menlo Business Park (3.42%) (100.00% × 3.42% = 3.42%). Lessee’s share of the monthly Operating Expenses of Menlo Business Park with respect to the Building #13 Premises (31,560 rentable square feet) is 3.3046% calculated by multiplying Lessee’s Share of the Building #13 Premises (42.4764%) by the percentage of the Building #13 Land to the total of land area in Menlo Business Park (7.78%) (42.4764% × 7.78%= 3.3046%). The Operating Expenses of Menlo Business Park currently include maintenance of the common areas of Menlo Business Park, parking lot lighting (cost of electricity and maintenance of the fixtures), maintenance of the network conduit, all landscape maintenance and irrigation of Menlo Business Park, Lessor’s insurance coverages of Menlo Business Park, and security patrol. The operating expenses of Menlo Business Park may include other reasonable items from time to time during the term of this Lease. Additional Rent; Operating Expenses and Taxes. (a) In addition to the Monthly Base Rent payable by Lessee to Lessor pursuant to Paragraph 3, commencing with the Commencement Date Lessee shall pay to Lessor, as “Additional Rent,” (1) Lessee’s Share of the operating expenses of the Property based upon (i) the number of rentable square feet on which the Monthly Base Rent is currently being calculated in accordance with the table in Paragraph 3(a) (which is fixed at 6,000 rentable square feet from the Commencement Date through October 14, 2005, 20,000 rentable square feet from October 15, 2005 through October 31, 2006, and 30,000 rentable square feet for the balance of the term), or (ii) after October 14, 2005, the number of rentable square feet of the Premises that Lessee is currently utilizing, whichever of (i) or (ii) is greater, and (2) Lessee’s Share (as hereafter defined) of the operating expenses of Menlo Business Park of which the Property is a part, in accordance with Paragraph 4(b) hereof based upon (i) the number of rentable square feet on which the Monthly Base Rent is currently being calculated in accordance with the table in Paragraph 3(a), or (ii) the number of rentable square feet of the Premises that Lessee is currently utilizing, whichever of (i) or (ii) is greater, and (3) Lessee’s Share of the real property taxes and assessments levied or assessed against the Property in accordance with Paragraph 4(c) hereof in the same manner that Lessee’s Share of operating expenses is calculated, as provided above. Lessee’s Share of the operating expenses of Menlo Business Park with respect to the entire Premises (30,000 rentable square feet) is 1.49% calculated by multiplying Lessee’s Share of the Property (40.38%) by the percentage of Land in the Property to the total of land area in Menlo Business Park (3.68%) (40.38% x 3.68% = 1.49%) as said land areas are shown on the ALTA survey of Menlo Business Park. The operating expenses of Menlo Business Park currently include maintenance of the common areas of Menlo Business Park, parking lot lighting (cost of electricity and maintenance of the fixtures), maintenance of the network conduit, all landscape maintenance and irrigation of Menlo Business Park, Lessor’s insurance coverages of Menlo Business Park, and security patrol. Lessee’s pro rata share of the operating expenses of Menlo Business Park is 3.56% based upon the ratio of the number of square feet of the Land allocable to the Property to the total number of square feet of land in Menlo Business Park, as shown on Exhibit “B.” Lessee’s pro rata share of the Operating Expenses for 1330 O’Brien Drive (Building #5) is 100% (25,366/25,366) and for 1360 O’Brien Drive (Building #6) is 28.68% (5,914/20,624). The Park Expenses, of which the Property is a part, currently include maintenance of the common areas of Menlo Business Park, parking lot lighting (cost of electricity and maintenance of the fixtures), maintenance of the network conduit, all landscape maintenance and irrigation of Menlo Business Park, Lessor’s insurance coverages of Menlo Business Park, and security patrol. The Park Expenses may include other commercially reasonable and customary items from time to time during the term of this Lease. Monthly Base Rent and Additional Rent are referred to herein collectively as “rent.”
