Base Rent and Additional Rent. Tenant shall pay to Landlord the following amounts as rent for the Premises: (a) During the term of this Lease, Tenant shall pay to Landlord, as base rent, the amount of Base Rent specified in the Basic Lease Information. (b) During each calendar year (or part thereof) during the term of this Lease, if ever applicable as provided above concerning Tenant’s Total Asset Obligations, Tenant shall pay to Landlord, as additional monthly rent, Tenant’s Percentage Share of all (x) CAM Expenses paid or incurred by Landlord in such year; (y) Property Taxes paid or incurred by Landlord in such year; and (z) Insurance Costs paid or incurred by Landlord in such year. The charges for the foregoing CAM Expenses, Property Taxes and Insurance Costs are also herein collectively sometimes referred to as the “NNN Charges” or the “Triple Net Charges”. Notwithstanding the foregoing, so long as this Lease remains as initially structured so that Tenant retains its Total Asset Obligations, then there shall be no charges passed through to Tenant under parts (x), (y) and (z) immediately above for such NNN Charges (subject to any Landlord’s insurance premium and cost charges separately invoiced to Tenant as provided below); and Tenant shall directly, timely and properly undertake and effectuate all obligations of payment and performance for all aspects of the Total Asset Obligations. Tenant will periodically (as reasonably determined by Landlord) deliver to Landlord copies of reasonable evidence of its timely and proper direct payment of the foregoing costs and charges to the appropriate party in each case; thus including without limitation the direct payment to the taxing authority of all Property Taxes, direct payment to all insurance companies of all premiums and costs for all Insurance Costs, and direct contracting and payment for all services and maintenance and repairs and replacements in and to the Premises and common areas, including without limitation to and for the building in which the Premises are situated (and its roof and all of its electrical, mechanical and plumbing systems), the structure and foundation and slabs and exterior walls thereof, exterior surfaces, windows, and window cleaning, maintenance, repair and painting; and common areas parking lot and grounds-keeping including without limitation landscaping maintenance, upkeep and replacements. Base Rent and Additional Rent. In addition to all Base Rent for the Existing Premises, commencing on the Tenth Amendment Execution Date and continuing for the duration of the Seventh Additional Vivarium Term, Tenant shall pay to Landlord (in accordance with the provisions of the Lease) Base Rent for the Seventh Additional Vivarium Premises. Base Rent (including the monthly installments of Base Rent) for the Seventh Additional Vivarium Premises shall equal the applicable amounts set forth on Exhibit B attached hereto. In addition to all Additional Rent for the Existing Premises, commencing as of the Tenth Amendment Execution Date and continuing for the duration of the Seventh Additional Vivarium Term, Tenant shall pay to Landlord Additional Rent (as defined in (and in accordance with the provisions of) the Lease) with respect to the Seventh Additional Vivarium Premises.
Base Rent and Additional Rent. During the Term (but subject to the following subparagraph of this Section 4.01 below), Tenant hereby covenants and agrees to pay to Landlord, without any setoff or deduction (except to the extent expressly set forth in this Lease), (a) all Base Rent (as provided in Section 1), (b) Tenant’s Proportionate Share of the Expense Excess and the Tax Excess (as provided in Exhibit B attached hereto), and (c) all other Additional Rent due for the Term (collectively referred to as “Rent”). “Additional Rent” means all sums (exclusive of Base Rent) that Tenant is required to pay to Landlord from time to time under this Lease. Notwithstanding the foregoing, Landlord agrees to waive payment of the monthly amounts of (i) Base Rent and (ii) Additional Rent for Tenant’s Proportionate Share of the Expense Excess and the Tax Excess for the Premises for the period commencing on the Term Commencement Date and ending on the date immediately preceding the Rent Commencement Date set forth in Section 1 (the “Rent Waiver Period”). In the event that the Rent Waiver Period does not end on the last day of a calendar month, then on the first day of the calendar month in which the Rent Waiver Period expires, Tenant shall pay to Landlord the amount of the Base Rent and Additional Rent for the portion of the calendar month that follows the last day of the Rent Waiver Period, pro-rated on a per diem basis.
Base Rent and Additional Rent. 2.1.1 Tenant shall pay to Landlord, without notice or demand and without deduction or set-off of any amount for any reason whatsoever, the annual Base Rent in equal monthly payments on or before the first day of each full calendar month during the Term. Base Rent as well as any other amounts payable by Tenant to Landlord under the terms of this Lease shall be paid by wire or electronic transfer of funds pursuant to directions provided to Tenant by Landlord. In addition to Base Rent, Tenant shall pay to Landlord a property management fee (“Management Fee”) of one percent 1%) of the gross annual revenue form the Premises, which amount shall be paid in equal monthly payments on the same date and in the same manner as Base Rent. 2.1.2 If the Commencement Date is not the first day of a calendar month, Tenant shall pay to Landlord on the Commencement Date the prorated Base Rent for period from the Commencement Date until the end of the calendar month in which the Commencement Date occurs. Base Rent due for any partial calendar month at the end of the Term shall also be prorated and paid on the first day of such calendar month. Tenant shall pay to Landlord all items of Rent (as defined below), without deduction or offset and without notice or demand (except as specifically provided in this Lease in respect of Additional Rent (as defined below)), and Tenant shall deliver such payments to the payment address set forth in the Basic Lease Information, or to such other person, at such other place, or in such other manner as Landlord may designate by giving to Tenant Notice (as defined below) thereof. “Additional Rent” means all other amounts payable by Tenant to Landlord in accordance with this Lease, other than Base Rent. “Rent” means all amounts payable by Tenant to Landlord in accordance with this Lease, including, but not limited to Base Rent and Additional Rent.
Base Rent and Additional Rent. Base Rent for each month of the Extended Term shall be Thirty Seven Thousand Six Hundred Twenty Five ($ 37,625.00) Dollars per month, totaling Four Hundred Fifty One Thousand Five Hundred ($ 451,500.00) Dollars for the twelve (12) month extension period. In all instances Base Rent shall be payable in the corresponding monthly installments set forth above, due on the first of each month, in advance, and in all other respects shall be subject to the same provisions relating to Base Rent as set forth under the Original Lease. In addition to Base Rent, Lessee shall continue to be responsible to pay all Additional Rent as set forth in Section 4 of the Amended Lease, consisting of Operating Expenses under Section 4A and Tax Expenses under Section 4B and Utilities under Section 4C of the Amended Lease; and all conditions thereunder are hereby restated and affirmed and shall govern the use and occupancy of the Leased Premises throughout the Extended Term.
Base Rent and Additional Rent. Landlord and Tenant have executed that certain Purchase and Sale Agreement (the “Contract”) pursuant to which Landlord will sell the Premises to Tenant. No Base Rent or Additional Rent shall be due under the Lease and instead beginning on November 27, 2006 and on the 22nd day in each calendar month thereafter until the Closing (as defined in the Contract), Tenant shall pay to Landlord in advance $53,940 for such month (the first payment on November 27, 2006 representing the period from November 22, 2006 through December 21, 2006) representing the interest carrying costs incurred by Landlord for the Premises for such month, such amount to be pro-rated for any partial calendar months (the “Carry Cost Amounts”); provided, however, if Tenant does not close on the acquisition of the Premises pursuant to the terms of the Contract on or before the Closing Date (as defined in the Contract), then on the date that would otherwise be the Closing Date Tenant shall pay to Landlord the difference between the Carry Cost Amounts paid through the Closing Date to Landlord and the amount of Base Rent and Additional Rent that otherwise would have been due under the Lease from the Commencement Date to and including the Closing Date, and thereafter all of the terms of the Lease shall apply, including but not limited to the provisions regarding Base Rent and Additional Rent. Notwithstanding the foregoing, Tenant shall be liable for and shall pay the Impositions under Section 5(d) of the Lease.

Base Rent and Additional Rent. In partial consideration of the City’s agreement to sub-sublease the Site and to sublease the Improvements to RIDA on the terms set forth in this Sublease, XXXX agrees to pay to City the Periodic Rent in accordance with this Section 3.5. All payments of Periodic Rent and other sums due to City hereunder shall be paid in legal tender of the United States, without notice, invoice, setoff, deduction or demand, except as otherwise expressly provided herein. No payment by RIDA or receipt or acceptance by City of a lesser amount than the required amount of Periodic Rent shall be deemed to be a waiver of any current or preceding breach by RIDA of any provision hereof. No endorsement or statement on any check or any letter accompanying any check or payment as Periodic Rent shall be deemed an accord and satisfaction, and City has the right to accept such check or payment without prejudice to City’s right to recover the balance of such Periodic Rent or pursue any other remedy in accordance with this Sublease, at law or in equity. RIDA waives all rights that it may have under present or future law to designate the items of Periodic Rent to which any payments made by RIDA are to be credited. XXXX agrees that City may apply any payments made by RIDA to such items of Periodic Rent as City designates, irrespective of any designation or request by XXXX as to the items of Periodic Rent to which such payments should be credited.
