Administrator Functions. The Settlement Administrator shall perform the functions and duties necessary to effectuate the Settlement and as specified in this Agreement, including, but not limited to, the following functions: (a) maintain reasonably detailed records of its activities under this Settlement; and, (b) maintain all such records as are required by applicable law in accordance with its normal business practices, and such records will be made available to either Plaintiff, either Defendant, Class Counsel, or Defendants’ Counsel promptly upon request. (c) provide reports and other information to the Court as the Court may require. Should the Court request or should it be reasonably advisable to do so, the Parties, in conjunction with the Settlement Administrator, shall submit a timely report to the Court summarizing the work performed by the Settlement Administrator; (d) create, administer, and oversee the Settlement Fund; (e) establish and maintain the Settlement Website; (f) establish and maintain a toll-free telephone line for Settlement Class Members to call with Settlement-related inquiries, and answer the questions of Settlement Class Members who call with or otherwise communicate such inquiries within one (1) business day; (g) respond to any mailed or emailed Settlement Class Member inquiries within one (1) business day; (h) provide Class Counsel and the Defendants’ Counsel with the Opt-Out List (i) upon request by Defendants’ Counsel or Class Counsel, promptly forward to Defendants’ Counsel and Class Counsel, copies of all documents and other materials relating to the administration of the Settlement; (j) receive requests from Settlement Class Members to exclude themselves from the Settlement Class and promptly provide to Class Counsel and Defendants’ Counsel a copy thereof upon receipt. If the Settlement Administrator receives any requests for exclusion from Settlement Class Members after the Exclusion Deadline, the Settlement Administrator shall promptly provide copies thereof to Class Counsel and Defendants’ Counsel; (k) provide reports and summaries, as requested, to Class Counsel and Defendants’ Counsel, including without limitation, reports regarding the number of Claim Forms received and the identity of the Settlement Class Members; (l) employ reasonable procedures to screen Claim Forms for waste, fraud, and abuse and reject a Claim Form, or any part of a claim for a payment reflected therein, where the Settlement Administrator determines that there is eviden...

Administrator Functions. Customer must comply with the requirements, as appropriate for the appropriate Certificate class stated in the DigiCert CPS as periodically amended, including without limitation, requirements for validating the information in Certificate Applications, approving or rejecting such Certificate Applications, and revoking Certificates, using hardware and software designated by DigiCert. Customer must perform such tasks in a competent, professional, and workmanlike manner. If a RAA ceases to have the authority to act as a RAA on behalf of Customer, Customer must promptly request revocation of the RAA Certificate of such RAA.
Administrator Functions. You shall comply with the requirements set forth in the Symantec Trust Network CPS and the Handbook for validating the information in Certificate Applications, approving or rejecting such Certificate Applications, using hardware and software designated by Symantec, and revoking Certificates. You shall perform such tasks in a competent, professional, and workmanlike manner. You shall approve a Certificate Application only if (i) the application was made on behalf of a device or internet domain (for purposes of approving SSL Certificates) or a software publisher (for purposes of approving Code Signing certificates) within your organization; and (ii) your RA has authorized the use of your organizational name in the Certificate. If your RAA ceases to have the authority to act as RAA on your behalf, then you shall promptly revoke such authority. If your organizational name and/or domain registration changes, then your RAA shall promptly request revocation of all Certificates issued therein. You shall not disclose any challenge phrase, PIN, software, or hardware mechanism protecting the RAA Certificate private key to a third party.

If your Administrator ceases to have the authority to act as Administrator on your behalf, then you shall promptly revoke such authority. If the information in your Certificates is incorrect or has changed, then your Administrator shall promptly request revocation of all such Certificates issued therein.

You shall approve a Certificate Application only if (i) the application was made on behalf of a server or device or internet domain within your organization; (ii) you have authorized the use of your organizational name in the Certificate; and, for purposes of code signing Certificates (iii) the application was made on behalf of a software publisher within your organization. If a SPKI Manager ceases to have the authority to act on your behalf, then you shall promptly revoke such authority. If your organizational name and/or domain registration changes, then your SPKI Manager shall promptly request revocation of all Certificates issued therein. You shall not disclose any challenge phrase, PIN, software, or hardware mechanism protecting the Certificate private key to a third party.
Administrator Functions. (A) As of each Anniversary Date, the Employer shall, as soon as possible, certify to the Administrator the name, date of birth, date of employment, Hours of Service, and Compensation of each Employee who has become a Participant hereunder within the Plan Year in question; and shall also certify the name, Hours of Service, and Compensation of each Employee who was a Participant on the prior Anniversary Date and who was such at any time during the Plan Year in question. As soon as the above is determined, the Employer shall notify the Administrator of the amount of the contribution due to be made by it or made by it as of the Anniversary Date in question. The Administrator, upon receipt of such certifications from the Employer, shall compute therefrom the Accrued Benefit of each Participant. The Administrator shall keep complete records which shall show its actions under this Plan. The Administrator shall also keep such records for such periods as may be required under ERISA and regulations issued thereunder and under any other Federal law or regulations issued thereunder. The Administrator shall also maintain and retain records on matters for which disclosure is required by XXXXX in sufficient detail that the information disclosed may be verified, and it shall keep such records available for Defined Contribution Plan and Trust Document

  • Nondiscretionary Functions The Custodian shall attend to all nondiscretionary details in connection with the sale, exchange, substitution, purchase, transfer or other dealings with securities or other assets of each Portfolio held by the Custodian, except as otherwise directed from time to time pursuant to Proper Instructions.

  • MANAGEMENT FUNCTIONS B.1 The Association recognizes that the management of the Hospital and the direction of working forces are fixed exclusively in the Hospital and shall remain solely with the Hospital except as specifically limited by the provisions of this Agreement and, without restricting the generality of the foregoing, the Association acknowledges that it is the exclusive function of the Hospital to: (a) maintain order, discipline and efficiency; (b) hire, assign, retire, discharge, direct, promote, demote, classify, transfer, lay- off, recall, and suspend or otherwise discipline nurses, provided that a claim of discharge or discipline without just cause may be the subject of a grievance and dealt with as hereinafter provided; (c) determine, in the interest of efficient operation and high standards of service, job rating and classification, the hours of work, work assignments, methods of doing the work, and the working establishment for the service; (d) generally to manage the operation that the Hospital is engaged in and, without restricting the generality of the foregoing, to determine the number of personnel required, methods, procedures, and equipment in connection therewith; (e) make, enforce, and alter from time to time reasonable rules and regulations to be observed by the nurses which are not inconsistent with the provisions of this Agreement. B.2 These rights shall not be exercised in a manner inconsistent with the provisions of this Agreement.

  • MIXED FUNCTIONS An employee engaged for more than two hours during one day or shift on duties carrying a higher rate than his or her ordinary classification shall be paid the higher rate for such day or shift. If for two hours or less during one day or shift he or she shall be paid the higher rate for the time so worked.

  • Administrator Duties The Administrator has a duty to perform or observe all tasks to be performed or observed by the Administrator contained in this Agreement or otherwise.

  • CUSTOMER SERVICE FUNCTIONS The Servicer shall handle all Customer inquiries and other Customer service matters according to the same procedures it uses to service Customers with respect to its own charges.

  • Administrator Authority The Administrator will have the power to interpret the Plan and this Award Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret or revoke any such rules (including, but not limited to, the determination of whether or not any Restricted Stock Units have vested). All actions taken and all interpretations and determinations made by the Administrator in good faith will be final and binding upon Participant, the Company and all other interested persons. No member of the Administrator will be personally liable for any action, determination or interpretation made in good faith with respect to the Plan or this Award Agreement.

  • Administrator Discretion The Administrator, in its discretion, may accelerate the vesting of the balance, or some lesser portion of the balance, of the unvested Option at any time, subject to the terms of the Plan. If so accelerated, such Option will be considered as having vested as of the date specified by the Administrator.

  • Additional Functions Upon receipt of Proper Instructions, the Custodian shall take all such other actions as specified in such Proper Instructions and as shall be reasonable or necessary with respect to Repurchase Agreement transactions and the Securities and funds transferred and received pursuant to such transactions, including, without limitation, all such actions as shall be prescribed in the event of a default under a Repurchase Agreement.
