Award Modification. MSCI reserves the right to modify or amend unilaterally the terms and conditions of your RSUs, without first asking your consent, or to waive any terms and conditions that operate in favor of MSCI. MSCI may not modify your RSUs in a manner that would materially impair your rights in your RSUs without your consent; provided, however, that MSCI may, without your consent, amend or modify your RSUs in any manner that MSCI considers necessary or advisable to comply with applicable law, stock market or exchange rules and regulations or accounting or tax rules and regulations. MSCI will notify you of any amendment of your RSUs that affects your rights. Any amendment or waiver of a provision of this Award Agreement (other than any amendment or waiver applicable to all recipients generally), which amendment or waiver operates in your favor or confers a benefit on you, must be in writing and signed by the Chief Human Resources Officer, the Chief Financial Officer or the General Counsel (or if such positions no longer exist, by the holders of equivalent positions) to be effective.
Award Modification. Clause 15.7 modifies Part VI - Annual Leave Clause1 (e) of the Award by including the 17.5% annual leave loading in the hourly rate of pay.

Clause 18.3 modifies Clause 19 – Holiday Work of the Award by substituting payment at double time and one half for working on a public holiday with payment at the ordinary rate of pay due to the inclusion of penalties for working 5 public holidays (38 hours) per annum in the hourly rate of pay.

Any amendment or waiver of a provision of this Award Agreement (other than any amendment or waiver applicable to all recipients generally), which amendment or waiver operates in your favor or confers a benefit on you, must be in writing and signed by the Global Head of Human Resources, the Chief Administrative Officer, the Chief Financial Officer or the General Counsel (or if such positions no longer exist, by the holders of equivalent positions) to be effective.
Award Modification. Clause 16.1 modifies Clause 32 – Xxxx Leave and Clause 11 – Xxxxx’s Leave of the Award by including 10 days paid personal leave / carer’s leave in the loaded hourly rate of pay.
Award Modification. This Clause modifies Clause 19a – Meals and Clause 25 – Rest Period of the Award by substituting after three and before 5 hours work with more than five hours work before being eligible for an unpaid rest break.

MSCI will notify you of any amendment of your Options that affects your rights. Any amendment or waiver of a provision of this Award Agreement (other than any amendment or waiver applicable to all recipients generally), which amendment or waiver operates in your favor or confers a benefit on you, must be in writing and signed by the Global Head of Human Resources, the Chief Administrative Officer, the Chief Financial Officer or the General Counsel (or if such positions no longer exist, by the holders of equivalent positions) to be effective.
Award Modification. The only method by which the award may be modified is by a formal, written modification signed by the USAMRAA Grants Officer. No other communications, whether oral or in writing, are valid to change the terms and conditions of this award.
