Collaboration Principles. In performing its obligations and exercising its rights hereunder (including acting through its executives, representatives on any of the committees and its Alliance Managers), each Party shall [***] to undertake and perform its obligations in a timely and efficient manner [***].
Collaboration Principles. 3.1 The Parties agree that:
(a) each Party must undertake its own internal processes to inform and mandate the work of their representatives in the G2G Process, and participating individuals have the responsibility to represent their respective governments in the G2G Process;
(b) best efforts will be made to reach Consensus Recommendations in a timely and efficient manner;
(c) discussions will be respectful with the aim of upholding reconciliation;
(d) each Party has its own stewardship principles and values that will guide it and each Party will be respectful of the other Party’s stewardship principles and values while working together collaboratively in the G2G Process;
(e) best practices and the best available information will be used to inform the work and the Consensus Recommendations, including traditional knowledge and science;
(f) information will be shared between the Parties, guided where required by data sharing agreements or protocols between ‘Namgis and the Province, and interested third parties, as appropriate;
(g) the Province intends to act in a manner that upholds the honour of the Crown, the principles and standards within UNDRIP, the Draft Principles, and DRIPA, and its constitutional obligations under s. 35 of the Constitution Act, 1982;
(h) without predetermining the sufficiency of the process, and subject to potential without prejudice discussions contemplated by section 3.4 below, the G2G Process may be used to inform, and will be used where possible to meet, the consultation obligations the Province owes to ‘Namgis with respect to land use planning in the Plan Area;
(i) the G2G Process may include collaboration, with agreed upon processes for input from other First Nations, communities, stakeholders and the public to be implemented as required; and
(j) input from communities, stakeholders and the public is advisory in nature.
3.2 The Parties will respect each other’s decision-making structures and authorities, and the individuals participating in the G2G Process will work in good faith to prepare Consensus Recommendations that can be approved by their respective executive/leadership.
3.3 Where disagreement on reaching Consensus Recommendations persists, the Parties will use governance structures described in Article 6.0 and the dispute resolution mechanisms described in Article 14.0 of this MOU.
3.4 Discussions during the G2G Process will be on the record except when the Parties agree in advance that specific issues are confidential...
Collaboration Principles. 4.1 The Parties agree to be bound by the following:-
(a) To collaborate in order to realise and promote the work of the Consortium and the Consortium Objectives.
(b) To undertake their functions within the Consortium stated in this agreement in a positive and proactive way.
(c) To promote the joint-working arrangements within their individual establishments and their management structures and to ensure that the arrangements implemented.
(d) To implement and promote Post 16 Education and Training arrangements solely through the Consortium.
(e) Subject to the Welsh Government’s Post 16 Education and Training funding framework, to provide the necessary resources in order to implement the Local Curriculum resulting from the work of the Consortium.
(f) To act in good faith and to respect and protect the reputation of their joint partners.
Collaboration Principles. 4.1. This Agreement does not imply a joint venture or preferred partnership amongst the Parties, nor does this Agreement oblige Parties to do any follow-up research with each other.
4.2. Parties remain free to collaborate with third parties, in any field.
4.3. Upon request, each of the Parties shall disclose or provide to the requesting Party information which is necessary for the performance of the Study. Where such information is Confidential Information, the requesting Party shall only utilise such information in accordance with clause 3 above.

In developing strategies, making decisions and exercising its rights under the Collaboration (including acting through its Executives, representatives on any of the Committees and its Alliance Managers), each Party shall act in good faith and use its Commercially Reasonable Efforts to achieve the goals of the then-current Development Plan or Commercialization Plan, as the case may be, and to realize the commercial opportunity of the Licensed Products (the “Collaboration Principles”).

Easily, by drawing on the music libraries, jingles, and content provided by RADIONOMY; by integrating their musical creations or songs from Members’ personal libraries or their own audio content, sequences, reports, and podcasts. RADIONOMY hosts and broadcasts the Radio Stations created on its platform and covers all costs including royalties. RADIONOMY is financed by moderately broadcasting advertising on the Radio Stations.

(a) Subject to Sections 2.10(b) and (c), the purposes of the JV are (i) to develop, manufacture, and commercialize the Combination Product for use within the Territory, and (ii) to optimize the commercial potential of the Combination Product within the Commercialization Plans, subject to the applicable Commercialization Budget. For the avoidance of doubt, nothing in this Agreement or in the Operating Agreement shall be deemed to restrict or prohibit either Member Party or any of its Affiliates from (x) commercializing its Single Agent Product(s) and/or Double Agent Product as applicable, (y) subject to Sections 3.10 and 5.6, developing, manufacturing and commercializing combination products (other than the Combination Product) for the treatment of HIV infection or otherwise, including, without limitation, any product containing such Party’s Single Agent Product(s) and/or Double Agent Product or (z) conducting clinical studies involving one or more of EFV, FTC and TDF, or any combination thereof (including the Combination Product).
(b) Subject to Section 5.7, each Party’s Promotion of the Combination Product in the Territory shall be in accordance with the Approved Marketing Materials, and the label and the package insert for the Combination Product approved by the applicable Regulatory Authority; provided, however, that subject to the foregoing, each Party shall have a right to position the Combination Product within its HIV product portfolio in its sole discretion.
(c) Except as expressly provided otherwise in this Agreement (or in the Operating Agreement or any Ancillary Agreement) and notwithstanding the powers and authority delegated to a Party, the JEC or an Operating Committee, neither Party shall have any obligation (i) to conduct activities in support or furtherance of the Exploitation of the Combination Product, unless mutually agreed in writing by the Parties or expressly set forth in this Agreement, any Commercialization Plan or the Development Plan, or (ii) to make payments or incur expenses or liabilities in support or furtherance of the Exploitation of the Combination Product unless mutually agreed in writing by the Parti...
