Compensation for Special Services. In consideration of the Executive’s willingness to (i) enter into this Agreement, (ii) apply his experience, skills and knowledge in continued employment with the Employer, and (iii) terminate the Vision Agreement, Park will pay or cause to be paid to the Executive, on the Effective Time, an amount equal to his annual base salary in effect immediately prior to the Effective Time. The Executive, in consideration of the foregoing payment, hereby waives and releases all rights, benefits and payments specified in the Vision Agreement. The Executive acknowledges that he is entitled to no past, present or future benefit that may be contained in the Vision Agreement. As of the Effective Time, this Agreement shall supersede and replace the Vision Agreement and the Vision Agreement shall be null and void in all respects.

To oversee repairs, renovations, or maintenance items that exceed $1,500 a 10% oversight fee will be assessed to coordinate and oversee each such repair. Any basic repairs, renovations, or maintenance fees under $1,500 are included in the general monthly management fee.

If Owner requests Manager to perform any special services requiring additional administrative or out-of- office time is required above the scope of general management services, it will be at a cost of $125 per hour. To coordinate, obtain quote, track starting and completion dates of repairs, renovations, or maintenance items that exceed $1,500 a 10% coordination repair fee will be assessed to coordinate repair and/or use of company credit card to purchase the material, product, equipment rental or appliance. Any basic repairs, renovations, or maintenance fees under $1,500 are included in the general monthly management fee.

  • SPECIAL SERVICES Should the Trust have occasion to request the Adviser to perform services not herein contemplated or to request the Adviser to arrange for the services of others, the Adviser will act for the Trust on behalf of the Fund upon request to the best of its ability, with compensation for the Adviser's services to be agreed upon with respect to each such occasion as it arises.
