Compensatory Payments. Notwithstanding anything in this Agreement to the contrary, any payments that are compensatory in nature (including, for the avoidance of doubt, any Transaction Expenses) required to be made hereunder to an employee of the Company or the Subsidiaries shall in the first instance be made to the Company (or the Subsidiaries, successor or assignee, as applicable), so that the Company (or the Subsidiaries, successor or assignee, as applicable) may make such payment through the appropriate payroll account or process and net of any applicable Tax withholdings.
Compensatory Payments. 12.1 The Employers undertake to lobby the industry to agree provisions in contracts for diving services work with a view to introducing where the contract conditions allow. A form of Compensatory Payment for Embarkation Delays
12.2 The Parties accept that the establishment of this benefit, and their payment to Employees, are contingent on the Employers’ ability to recoup the amounts from clients and customers.
Compensatory Payments. Notwithstanding anything herein to the contrary, this Article V shall not apply to any Compensatory Payments, the payment of which shall be as set forth in Sections 3.05 hereof.
Compensatory Payments. 12. Based on a file review and follow-up analysis conducted by the Department of justice with the full Cooperation and assistance of Xxxxxxxxxx, the United States has identified 117 applications submitted by African Americans that were charged prices for residential first mortgage loans greater than the average price charged white borrowers in the Cleveland market between October 1991 through September 1993 (the "aggrieved persons"). Each such African-American borrower who paid a price higher than the average price charged white borrowers will be deemed to have been aggrieved and will be entitled to compensation pursuant to the terms of this Settlement Agreement; provided, however, that any African-American borrower who paid a higher price as part of a scheme to defraud Huntington or as part of a scheme to induce Huntington to extend credit based on the submission of blatantly false documents in violation of federal law shall be excluded from the aggrieved persons entitled to receive funds under this Settlement Agreement.
13. Within 30 days after the date of filing of this Settlement Agreement, Huntington shall set aside four hundred twenty thousand dollars ($420,000.00) to compensate aggrieved persons as defined above (Compensation Fund). This fund is to be administered and distributed by Huntington to aggrieved persons whom the United States determines to be eligible for compensation, subject to the terms of this Settlement Agreement.
14. The Compensation Fund will not be distributed in a pro rata manner, but rather, the amount of compensation paid to each aggrieved person will be in proportion to the amount paid by them in excess of the average price charged white borrowers during the relevant time period. Each aggrieved person shall execute a release in the form attached as Exhibit I in exchange for receipt of funds.

For the avoidance of doubt, any payments due to any Optionholder or any SARs Holder pursuant to this Agreement shall be paid through 1st Partners’ or other designated payroll system to the applicable Optionholder and SARs Holder, in each case subject to any applicable deductions or withholding Taxes applicable to such individuals, which Taxes shall be remitted in a timely manner to the appropriate Taxing Authority.
Compensatory Payments. £10 compensation will be paid for late breaks or staff on annualised hours may claim 30 or 45 minutes of time back. This £10 (or time back) will only apply to meal breaks outside of the meal break window and not for the interrupted breaks (see below). We anticipate that late breaks will be an exception as we intend that staff will be stood down within their meal break window. Staff who volunteer to take a flexible break and their break is interrupted are entitled to claim £20 regardless of how many times they are disturbed. In summary, compensatory payments are as follows: • £5 away from base payment (incorporates the Annex N payment and is an extension of this payment). Note: Your meal break location is your base station, unless you consent otherwise. If a crew cannot agree then the default position is to go back to station. • £10 late meal break payment (or time back) • £20 flexibility payment (paid to staff willing to be disturbed during their lunch break) • Other subsistence allowances under Annex N still apply. Please refer to the Terms and Conditions Handbook for further details.
Compensatory Payments. Schedule 2.8(d) hereto (the “Compensatory Payment Schedule”) shall set forth (i) the sole category of payment, which shall be payments in respect of Company Stock Options, otherwise payable by the Buyer pursuant to Section 2.8(b) that is a Compensatory Payment and (ii) the Person to whom each such Compensatory Payment is to be made. Any such Compensatory Payment shall not be paid in accordance with Section 2.8(c) but shall instead be transferred by the Buyer to the Company (or a Subsidiary of the Company) and then promptly paid by the Company (or such Subsidiary) through its payroll system and in accordance with the Company’s (or such Subsidiary’s) standard withholding and payroll practices and procedures to the Person identified by the Stockholders’ Representative on the Compensatory Payment Schedule as the Person to whom such Compensatory Payment is to be made.

Compensatory Payments. The Government acknowledge the importance of these payments, especially to low income farmers and, as stated above, regard the efficient and timely payment of headage as a major priority. It is the Government’s intention to ensure an adequate level of resources to fund the scheme and a sum of million was provided for headage in the 1994Budget. The Government will press for a rapid decision from the EU on their proposal for an extension and reclassification of Disadvantaged Areas and, following a positive decision, are committed to its implementation.
Compensatory Payments. Notwithstanding any provision in this Agreement to the contrary, to the extent payment of any consideration under this Agreement with respect to Common Shares, shares of Series B Preferred Stock, Phantom Common Shares or Phantom Series B Shares shall be treated as compensation income subject to income and employment tax withholdings (“Management Equity Compensation”), then Buyer, the Paying Agent or the Escrow Agent shall make any such payments to the Company and the Company shall on behalf of Buyer, the Paying Agent or the Escrow Agent, make such payment, net of all applicable Tax withholdings thereon, to the holder of such Common Shares, shares of Series B Preferred Stock, Phantom Common Shares and Phantom Series B Shares through the Company’s payroll system, and the Company shall satisfy and be responsible for remitting all Tax withholdings thereon.
