COMPLIANCE WITH SYSTEM STANDARDS. You acknowledge and agree that your operation and maintenance of the WOB Store in accordance with System Standards are essential to preserve the goodwill of the Marks and all WOB Stores. Therefore, at all times during the term of this Agreement, you agree to operate and maintain the WOB Store in strict accordance with each and every System Standard, as we periodically modify and supplement them during the term of this Agreement. System Standards may regulate any one or more of the following with respect to the WOB Store: (a) design, layout, decor, appearance and lighting; periodic maintenance, cleaning and sanitation; periodic remodeling; replacement of obsolete or worn-out leasehold improvements, fixtures, furnishings, equipment and signs; televisions; music and other entertainment services; periodic painting; and use of interior and exterior signs, emblems, lettering and logos, and illumination; (b) types, models and brands of required fixtures, furnishings, equipment, signs, software, materials and supplies; (c) types, content, size, materials and standards for signage; (d) required or authorized products and product categories including for all food and beverage items and portions devoted to each supplier of products (e.g., "taps" for beer); (e) designated or approved suppliers (which may be limited to or include us) of fixtures, furnishings, equipment, signs, software, products, ingredients, materials and supplies, including for all food and beverage items; (f) terms and conditions of the sale and delivery of, and terms and methods of payment for, products, materials, supplies and services, including direct labor, that you obtain from us, unaffiliated suppliers or others; (g) sales, marketing, advertising and promotional programs and materials and media used in such programs; (h) pricing methods and formats for all products (food and non-food) to be sold, including, for beverage products, pricing by case, 6-pack or single bottles, and the pricing for products (food and non-food) to be consumed on premises; (i) policies for participation and delivery at your WOB Store of food products from restaurants and other food providers, and methods and programs for doing so (if any), as specified by us in the Manuals; (j) preparation of food products to serve at your WOB Store; (k) use and display of the Marks; (1) staffing levels for the WOB Store, and qualifications, training, dress and appearance of employees; (m) participation in market research and testing ...

COMPLIANCE WITH SYSTEM STANDARDS. You acknowledge and agree that operating and maintaining the STORE in accordance with the standards that we have developed for IGA Stores (the “System Standards”) is essential to preserve the goodwill of the Marks and all IGA stores. Therefore, you agree at all times to operate and maintain the STORE in compliance with the System Standards, as we periodically modify and supplement them. We may incorporate System Standards in an operations manual for the development and operation of IGA Stores. The provisions of such operations manual shall be binding on you and us as if contained in this Agreement. System Standards may regulate any one or more of the following: (a) The design, layout, décor, appearance and lighting, cleaning and sanitation, periodic remodeling and painting, replacing obsolete or worn-out leasehold improvements, fixtures and equipment, and interior and exterior signs and display materials;
COMPLIANCE WITH SYSTEM STANDARDS. You acknowledge and agree that operating and maintaining the Office according to System Standards is essential to preserve the goodwill of the Marks and the goodwill of all CareBuilders At Home Offices. Therefore, you agree at all times to operate and maintain the Office according to each and every System Standard, as we periodically modify and supplement them. System Standards may regulate any aspect of the Office’s operation and maintenance, including but not limited to any one or more of the following: 8.6.1 sales, marketing, advertising and promotional programs and materials and media used in these programs; 8.6.2 staffing levels for the Office and employee and/or independent contractor’s qualifications, training, dress and appearance (although you have sole responsibility and authority concerning staff selection and promotion, hours worked, rates of pay and other benefits, work assigned and working conditions); 8.6.3 use and display of the Marks; 8.6.4 days and hours of operation; 8.6.5 participation in market research and testing and product and service development programs; 8.6.6 bookkeeping, accounting, data processing and record keeping systems and forms; formats, content and frequency of reports to us of sales, revenue, and financial performance and condition; and giving us copies of tax returns and other operating and financial information concerning the Franchise (we will use reasonable efforts to keep such records confidential); 8.6.7 types, amounts, terms and conditions of insurance coverage required for the Office, including criteria for your insurance carriers; 8.6.8 standards for customer satisfaction and quality control; and 8.6.9 any other aspects of operating and maintaining the Office that we determine to be useful to preserve or enhance the efficient operation, image or goodwill of the Marks and CareBuilders At Home Offices. You agree that System Standards we prescribe in the Operations Manual, or otherwise communicate to you in writing or another form, are part of this Agreement as if fully set forth within its text. All references to this Agreement include all System Standards as periodically modified.   • Compliance with Standards Although the standards for workmanship, material, and equipment have been selected in these specifications as a basis of reference, standards and specifications of the other bank member countries and recommendations of standards international organizations will be acceptable provided they are substantially equivalent to the designated standards and provided furthermore that the contractor submits for approval detailed specifications which he proposes to use. Reference to brand names or catalog numbers if any in these specifications have been made only for that equipment for which it has been determined that a degree of standardization is necessary to maintain certain essential features. And in certain cases such references have also been made for purposes of convenience to specify the requirements, in either case offers of alternative goods, which have similar characteristics and provide performance and quality at lease equal to those specified are acceptable. If the contractor offers materials, equipment, design calculations or tests, which conform to standards other than those specified, full details of the differences between the proposed standards and that specified in so far as they affect the design or purpose of the equipment, are to be supplied by the contractor if called upon to do so by the engineer, where required by the engineer for approval purposes, the contractor shall supply, without charge, duplicate copies of the proposed standards with English translations of the relevant portions. The contractor shall have available in his place of business (or in his supplier’s works) the relevant copies of standards or codes used for the use of the Engineer.

  • Compliance with Accessibility Standards All parties to this Agreement shall ensure that the plans for and the construction of all projects subject to this Agreement are in compliance with standards issued or approved by the Texas Department of Licensing and Regulation (TDLR) as meeting or consistent with minimum accessibility requirements of the Americans with Disabilities Act (P.L. 101-336) (ADA).

  • Compliance with Rules To comply with, and to require the Contractors to comply with, all rules, regulations, ordinances and laws bearing on the conduct of the work on the Improvements, including the requirements of any insurer issuing coverage on the Project and the requirements of any applicable supervising boards of fire underwriters.

  • Compliance with OFAC Rules and Regulations None of the Credit Parties or their Subsidiaries or their respective Affiliates (a) is a Sanctioned Person, (b) has more than 15% of its assets in Sanctioned Countries, or (c) derives more than 15% of its operating income from investments in, or transactions with Sanctioned Persons or Sanctioned Countries. Said additional costs and/or reductions will be those which directly result from the imposition of such requirement or condition on the making or maintaining of such Loans.

  • COMPLIANCE WITH POLICIES AND PROCEDURES During the period that Executive is employed with the Company hereunder, Executive shall adhere to the policies and standards of professionalism set forth in the policies and procedures of the Company and IAC as they may exist from time to time.
