CONSULTANT DUTIES. Consultant shall, at the request of the Company, provide business management and marketing consultation services. Such services shall include (a) advice concerning the implementation and monitoring of business and marketing plans, as well as establishing and/or enhancing the Company's interact presence, (b) advice concerning the Company obtaining investment banking and financial services, and (c) advice concerning the Company retaining other professionals. The Company may also tender the following services at the request of the Company:
a. Market Analysis & Public Relations -- Consultant will assist the Company in researching market conditions and the Company's competitors. Consultant wig develop a strategic plan to disseminate information regarding the Company and the Company's market through traditional media and the Internet,
b. Financial Planning -- Consultant will assist the Company in determining the Company's financing requirements and will assist the Company in retaining and working with professionals to meet such requirements, including the compilation of necessary due diligence information.
c. Strategic Transactions -- Consultant will assist the Company in evaluating the advisability of entering into mergers, acquisitions and joint venture transactions. Consultant will assist the Company in developing and understanding of the financial and strategic objectives relating to such proposed transactions, and will develop a strategy to accomplish the Company's goals.
CONSULTANT DUTIES. Consultant shall, at the request of the Company, provide business management and marketing consultation services. The Consultant may also render the following services at the request of the Company:
a. Market Analysis- Consultant will assist the Company in researching market conditions and the Company's competitors.
CONSULTANT DUTIES. The Consultant will:
(1) Provide tasks identified in Attachment A, Scope of Services.
(2) Provide miscellaneous consulting and other services related to the Project and not stipulated elsewhere in this Task Order, when requested by the City in writing. A Task Order Amendment is required if these additional services cannot be performed within the Task Order budget.
CONSULTANT DUTIES. The Consultant shall provide to the Company certain consulting services (the “Services”) in the area of strategic advisory, sponsored editorial content and digital marketing services. In performance of these duties, the Consultant shall provide the Company with the benefits of its best judgment and efforts including the engagement of services of third party sponsored content providers on behalf of the Company as outlined in Appendix A. It is understood and acknowledged by the Parties that the value of the Consultant’s Services is not measurable in any quantitative manner.
CONSULTANT DUTIES. Exhibit 1 summarizes a detailed list of duties, including time lines and document production.
CONSULTANT DUTIES. Consultant shall at the request of the Company, provide public relations through a buy program. Consultant is committed to serving the Company with a best effort obligation. Such services shall include consulting and advice. The Company may also render the following services at the request of the Company under a separate contract: Publicity Luncheons Research Industry Expos Web Site Exposure
CONSULTANT DUTIES a. The Consultant shall, at the request of the Company, provide financial consulting and advisory services with respect to matters including, but not necessarily limited to, the following: (a) possible re-capitalization and reverse stock split; (b) alternative capital structures and additional funding requirements; (c) market makers and financial public relations specialists; and (d) strategic transactions that the Company may consider from time to time.
b. The Consultant may also provide additional services at the request of the Company upon terms and conditions to be mutually agreed upon by the parties at the time of such additional engagement.
c. The Consultant agrees to use commercially reasonable efforts to provide the aforesaid consulting services at the direction of the Company and to perform such duties that may be required of the Consultant pursuant to the express and explicit terms of this Agreement to the reasonable satisfaction of the Company.
d. The Consultant shall not be required to devote a minimum number of hours to the services rendered hereunder.
CONSULTANT DUTIES. Consultant shall perform the following duties pursuant to and in furtherance of this Agreement:
a. Furnish contact information to ALTLOAN from time to time on persons or entities (each a “Borrower”) interested in obtaining aLoan.
b. Consultant agrees to provide ALTLOAN with direct access to Borrower for the purpose of obtaining necessary documentation and verification of information necessary to underwrite and close the Loan, including but not limited to, anapplication.
c. Consultant agrees to provide ALTLOAN with any and all documents in its possession required under the ALTLOAN underwriting guidelines, as well as additional documents as may reasonably be requested by ALTLOAN in its sole and exclusive discretion.
d. Consultant shall respond in a timely manner to all requests from ALTLOAN and to assist ALTLOAN in obtaining necessary information from Borrower or Borrower’s representative in order to facilitate the underwriting and closing of theLoan.
e. Consultant agrees to provide to ALTLOAN copies of all material information in its possession regarding Borrower, sponsor, property portfolio and Loan and shall promptly forward to ALTLOAN any and all additional information regarding such Borrower, sponsor, property portfolio and Loan it may receive or obtain.
f. Consultant agrees to supervise, monitor and direct all activities performed by its direct agents and employees in accordance with applicable law, rule and regulation and the terms of this Agreement and shall indemnify ALTLOAN for any breaches thereof as more fully set forth herein below. All such agents and employees shall be identified by Consultant to ALTLOAN prior to ALTLOAN engaging in services with Consultant.
CONSULTANT DUTIES. Oraco shall contract with Consultant to assist it in locating working interest partners, mining concessions, mining operations, and similar financing and business agreements to further Oraco’s business in West Africa on a “best efforts” basis. Consultants services shall include, but not be limited to:
i. Consultant’s, identifying, negotiating and/or obtain contracts, rights and/or other agreements for the mining or acquisition of diamonds, gold and/or other natural resources with rights holders throughout the world, on behalf of Oraco.
ii. Obtaining governmental approvals and/or authorizations to use, implement or otherwise exploit any contracts or agreements obtained by Consultant and entered into by Oraco.
iii. Locate, negotiate the purchase of and/or obtain diamonds, gold or other precious minerals on behalf of Oraco throughout the world.
iv. Facilitate the transportation of such minerals obtained to the United States and further assist in the sale of such minerals obtained and transported.
CONSULTANT DUTIES. Xxxxxxx Xxxx shall perform the following services as requested by The City of Santaquin.
a. Provide political representation, insight and strategy effort seeking an appropriation to help support the goals and mission of xxxxxxxxxxxxxx.xxx.
b. Work on all projects for The City of Santaquin where Lincoln Hill services are requested. It is expected that this work will include semi- regular consultation with the assigned contact for The City of Santaquin and may include working closely with the government relations and advocacy team, Mayor, Council Members and with other city leadership and staff, and other external governmental affairs consultants and organizations.
c. Provide representation to rule makers, regulators, legislative staff, legislators, governor staff, governor, lobbyists, business leaders and the public regarding the goals and priorities of The City of Santaquin.
d. Under direction of the mayor or their designee negotiate legislative solutions agreeable to the The City of Santaquin.
