CONTRACT DUTIES. (a) The Parties represent and warrant that each has the full legal right to enter into and perform this Agreement and that its entry into and performance of this Agreement does not and will not violate any fiduciary or other duty it may have to any third party, and that each Party has obtained whatever consent, resolutions, or other permissions are required from its own managers or boards of directors or other governing body as may be necessary under the Party’s governing documents to enter into this Agreement. (b) The Parties acknowledge that each Party is responsible for its own compliance with international, state and federal, and international laws and all rules and regulations promulgated thereunder, including without limitation with respect to the employment of its own employees, and providing benefits to its own employees and neither Party shall become liable to any employee or independent contractor of the other Party by virtue of having entered into this Agreement. (c) In consideration for AxxXX’s collaboration hereunder, and in consideration of the other promises set forth herein Axxxx agrees to: i. use its best efforts to develop such battery and frame technology as may be necessary to create the Resultant Technology contemplated hereunder, which shall meet the specifications of AusEV and AusEV customers as potential purchasers of such Resultant Technology; ii. exclusively sell the XT truck to AusEV for distribution within the AusEV Territory for [X] years from date of the first [X]volume, non-test unit XT truck delivery to AusEV; iii. supply XT trucks in a projected volume of [X] units in [X], [X] units in [X], [X] units in [X], and [X] units in [X], or if not, then at least a minimum of 10% production, and will be contingent upon raw materials availability, factory capacity, and other supply chain factors outside of Atlis’s control; iv. supply and support [X] Atlis 1.5 MW Charging Stations for installation in AusEV Territory by AusEV; v. supply Atlis Energy battery storage for AusEV distribution based upon the quantities entered as purchase orders by AxxXX; vi. supply Atlis XP Platforms for AusEV distribution based upon quantities entered as purchase orders by AusEv; vii. collaborate with AusEV to explore the potential for building and operating a battery manufacturing facility in the AusEV territory; viii. provide AusEV marketing materials tailored to AusEV Territory; ix. provide subscription warranties to include yearly service and spare par...
CONTRACT DUTIES. The service crew technicians will check all vehicle fluid levels each time a vehicle is fueled and is thoroughly trained in each vehicle to spot cracked or broken belts, loose or broken brackets, or other worn parts within the engine compartment. The service crew technician is also trained to check for unusual noises, brake issues, and tire wear during the fueling process. Any noted issues are recorded by the technician and reported immediately to the Norman fleet maintenance division manager. The service crew technicians will first fuel the non-compressed natural gas (CNG) vehicles each evening at the Norman fueling location, checking all fluid levels and general vehicle condition as described above. The Service crew technicians will next hook up all CNG equipped vehicles to the slow fill CNG equipment. Next, each vehicle’s wheels and front and rear panels will be thoroughly washed every evening. Each vehicle’s full exterior will be washed based on an even and odd schedule as outlined in schedule, “Washing Cycle”. Each vehicle interior will be cleaned and sanitized using the Norman fogging equipment and the Norman recommended fogging supplies. The interior service signage will be inspected daily and replaced as needed. Every two weeks or more frequently as conditions warrant, each vehicle will receive a complete deep cleaning, and vehicles are sprayed for bugs and pests as needed.
CONTRACT DUTIES. 2.1. The contractor shall duly and faithfully undertake the services as defined in the attached Schedule of Works and shall take all reasonable steps to protect and promote the interests of Pegswood Parish Council. 2.2. The Contractor shall properly perform the services with the standard of skill, care and diligence expected and in accordance with all relevant statutory requirements and industry best practice. 2.3. In carrying out this work the contractor will ensure that all staff conduct themselves in an appropriate manner. 2.4. The contractor shall not discriminate directly or indirectly or by way of victimisation or harassment against any person contrary to the Race Relations Act 1976, the Sex Discrimination Act 1975, the Disability Discrimination Act 1995, the Employment Equality Regulations 2003; and any other legislation as amended from time to time. 2.5. The contractor shall hold and provide copies of the required insurance and public liability cover to a minimum of £5 million. 2.6. The contractor will comply with the latest Health and Safety at Work Act and shall hold the relevant Health and Safety certificates, including those specific to the job. 2.7. The contractor shall hold in place a relevant written Health and Safety Policy and shall complete a risk assessment for each individual task undertaken. Supplying a copy of each to the Parish Council in advance of the start date of the contract. 2.8. The contractor shall comply with Control of Waste regulations and hold a valid certificate of registration, if required to do so, under the control of Pollution Act 1989.

  • Job Duties It is understood by the parties that every incidental duty connected with operations enumerated in job descriptions is not always specifically described and employees may be required to perform other job-related duties not specifically contained in the job description; however, employees required to perform such duties shall be qualified for the work to be performed.

  • Normal Duties (a) Faculty members are accountable for 10 months of the year. The 10 months accountable time includes such activities as teaching, the counselling of students, curriculum/program development, professional development and participation on a variety of educational committees. (b) At least one month before the commencement of any accountable time longer than four consecutive days, and covering activities other than teaching or professional development the faculty member will submit for approval to the appropriate administrator an activity plan for this period.
