CONTRACTOR’S ORGANISATION. 4.1 The Contractor shall provide and maintain an organisation (including, where appropriate the provision of sub-contractors of a standard commensurate with the performance of the Contractor’s obligations under this Contract) having the necessary facilities and employees of appropriate qualifications and experience to provide the services specified in Schedule 3. These services shall be carried out to the satisfaction of the Designated Officer. The Contractor shall appoint a representative with whom the Designated Officer will liaise for matters concerning the performance of the Contract. The Contractor will delegate to his representative authority to deal with such matters on his behalf.

If the Client gives the Contractor notice that any person is not to be admitted to or is to be removed from its premises or is not to become involved in (or removed from) the Services, the Contractor shall take all reasonable steps to comply with such notice. 9.5 The decision of the Client as to whether any person is to be admitted to or is to be removed from involvement in the Services or as to the designation or approval of key personnel and as to whether the Contractor has furnished the information or taken the steps required of him by this Condition shall be final and conclusive. 9.6 The Contractor shall bear the cost of any notice, instruction or decision of the Client under this Condition.

CONTRACTOR’S ORGANISATION. 5.1 The Contractor shall provide and maintain an organisation (or maintain personal skills if applicable), and have the necessary facilities and employees (if applicable) of appropriate qualifications and experience to undertake the service specified in Schedule 1. 5.2 On all matters connected with the Contractor's responsibilities under the Contract, the Contractor will appoint a representative with whom the Designated Officer will deal in matters concerning the discharge of the Contractor's responsibility. The Contractor will delegate to his representatives authority to deal with such matters on his behalf.
CONTRACTOR’S ORGANISATION. The Contractor shall supply to the Purchaser and the Project Manager a chart showing the proposed organization to be established by the Contractor for carrying out work on the Facilities within twenty-one (21) days of the Effective Date. The chart shall include the identities of the key personnel and the curricula vitae of such key personnel to be employed shall be supplied together with the chart. The Contractor shall promptly inform the Purchaser and the Project Manager in writing of any revision or alteration of such an organization chart.
CONTRACTOR’S ORGANISATION. 11.1 If requested in writing to do so by the Company, the Contractor must provide and comply with an organisation chart showing the organisational structure to be established by the Contractor for providing the Services, including the roles and identities of the Key Personnel. The Contractor must promptly notify the Company of any proposed revision or alteration of that organisation chart. 11.2 Key Personnel must be engaged throughout the entire provision of Services in the positions set out in the applicable Service Order. 11.3 The Contractor must not remove or replace any Key Personnel without the prior written approval of the Company, which approval must not be unreasonably withheld. Any substitute personnel must be at least equally experienced and qualified for the duties of the position as the person for whom they are substituted. The Contractor must provide an uninterrupted transition between the Key Personnel and their replacements. 11.4 The Company is entitled to direct the removal of any person engaged in the provision of the Services if, in the Company's reasonable opinion, that person’s provision or conduct is or has been unsatisfactory. 11.5 The Contractor must then promptly remove, or arrange to be removed, the person specified in GC 11.4 and appoint a suitable replacement at its sole expense.

  • Organisation The statutes, membership, procedures, and other matters relating to the Court of Justice shall be determined by the Assembly in a protocol relating to the Court of Justice.

  • Technical and Organisational Measures (1) Before the commencement of processing, the Supplier shall document the execution of the necessary Technical and Organisational Measures, set out in advance of the awarding of the Order or Contract, specifically with regard to the detailed execution of the contract, and shall present these documented measures to the Client for inspection. Upon acceptance by the Client, the documented measures become the foundation of the contract. Insofar as the inspection/audit by the Client shows the need for amendments, such amendments shall be implemented by mutual agreement. (2) The Supplier shall establish the security in accordance with Article 28 Paragraph 3 Point c, and Article 32 GDPR in particular in conjunction with Article 5 Paragraph 1, and Paragraph 2 GDPR. The measures to be taken are measures of data security and measures that guarantee a protection level appropriate to the risk concerning confidentiality, integrity, availability and resilience of the systems. The state of the art, implementation costs, the nature, scope and purposes of processing as well as the probability of occurrence and the severity of the risk to the rights and freedoms of natural persons within the meaning of Article 32 Paragraph 1 GDPR must be taken into account. [Details in Appendix 1] (3) The Technical and Organisational Measures are subject to technical progress and further development. In this respect, it is permissible for the Supplier to implement alternative adequate measures. In so doing, the security level of the defined measures must not be reduced. Substantial changes must be documented.

  • Professional Organizations During the Term, Executive shall be reimbursed by the Company for the annual dues payable for membership in professional societies associated with subject matter related to the Company's interests. New memberships for which reimbursement will be sought shall be approved by the Company in advance.

  • Supervision of Contractor Personnel The Contractor must supply all necessary and sufficient supervision over the work that is being performed and will be held solely responsible for the conduct and performance of his employees or agents involved in work under the Agreement.

  • Joint Health and Safety Committee (a) The Employer and the Union agree that they mutually desire to maintain standards of occupational health and safety in the organization, in order to prevent accidents, injury and illness. The parties agree to promote health and safety throughout the organization. The employer shall provide orientation and training in health and safety to new and current employees on an ongoing basis, and employees shall attend required health and safety training sessions. (b) Recognizing its responsibilities under the applicable legislation, the Employer agrees to accept as a member of its Joint Health and Safety Committee, at least one representative from the bargaining unit. The number of committee members will be no less than that determined by legislation and the bargaining unit will be entitled to the same membership as any other employee group on the committees. The Union shall notify the employer of their representatives. (c) Such Committee shall identify potential dangers and hazards, institute means of improving health and safety programs, and recommend actions to be taken to improve conditions related to occupational health and safety. (d) The Employer agrees to cooperate reasonably in providing necessary information to enable the Committee to fulfill its functions. The Committee shall respect the confidentiality of the information. (e) The Union agrees to endeavour to obtain the full cooperation of its membership in the observation of all safety rules and practices. (f) Meetings shall be held every third month or more frequently at the call of either co-chair, if required. The Committee shall keep Minutes of all meetings and make the Minutes available for review. (g) All time spent by a member of the Joint Health and Safety Committee attending meetings of the Committee and carrying out the members duties, shall be deemed to be time worked for which the member shall be paid by the Employer at the member's applicable rate of pay, and the member shall be entitled to such time from the member's work as necessary for those duties.   • CONTRACTOR SUPERVISION Contractor shall provide competent supervision of personnel employed on the job Site, use of equipment, and quality of workmanship.
