Contractor’s Representatives. Contractor shall require each of Contractor’s Representatives to execute written agreements securing for SMUD the rights provided for in this section prior to such representative providing any Services under this Agreement.
Contractor’s Representatives. 3.3.1 Contractor agrees that a designated officer of Contractor (Contractor Representative) shall be the primary contact between Contractor and the City for the purposes of this Agreement (see Exhibit D). The Contractor Representative shall coordinate Contractor’s activities for the engagement and shall participate in all phases of the engagement. In order to simplify invoice processing, it is agreed by Contractor that the Contractor Representative shall act as billing agent for work provided by Contractor. Contractor shall notify the City within ten calendar days of replacement of the Contractor Representative and shall provide an amended Exhibit D to reflect the replacement.
3.3.2 Contractor’s management of the services of this Agreement is of substantial concern and importance to the City, requiring coordination with City services. The quality of performance will reflect on the City and its management. Accordingly, the City requires Contractor to inform the City on a regular basis of any changes in the Officers of Contractor and of the identity of its subcontractors and their areas of responsibility.
3.3.3 In addition to compliance with all applicable laws, rules, regulations, ordinances, resolutions, and policies of the federal, state, and local governments as they pertain to this Agreement, Contractor shall comply immediately with any and all directives issued by the City, through its Administrator, or other authorized representatives, under authority of any law, rule, ordinance, or regulation.
Contractor’s Representatives. If Contractor is an individual, Contractor shall limit access to Confidential Information and Third-Party Information to himself/herself, except as otherwise expressly permitted under this Agreement. If Contractor is an entity, Contractor shall limit access to Confidential Information and Third-Party Information to only those of its officers, directors, and employees (collectively, “Representatives”) for which such access is absolutely necessary for Contractor to perform any Services or to explore the Prospective Services, except as otherwise expressly permitted under this Agreement. Contractor shall inform all Representatives with access to Confidential Information or Third-Party Information of the confidential nature of such information and shall direct Representatives to comply with all of the terms and conditions of this Agreement. In addition, Contractor shall obtain from each such Representative a signed, written nondisclosure agreement in which the Representative agrees to be bound by all of the confidentiality obligations set forth in this Agreement; Contractor shall provide a copy of any such Representative agreement to LIBERTY. Contractor shall ensure Representatives comply fully with all of the terms and conditions of this Agreement, and Contractor is and will be responsible for any violation of this Agreement by a Representative.
Contractor’s Representatives. 9.2.1 Contractor designates To Be Identified in each project-specific Job Order, as its Senior Representative (“Contractor’s Senior Representative”), which individual has the authority and responsibility set forth in the Contract Documents, including the authority and responsibility for avoiding and resolving disputes under Section 12 of the “Exhibit A – Contractor General Conditions”.
9.2.2 Contractor designates To Be Identified in each project-specific Job Order, as its Project Management Representative (“Representative”), which individual has the authority and responsibility set forth in the Contract Documents.
9.2.3 Contractor designates To Be Identified in each project-specific Job Order, as its “Construction Superintendent”, which individual has the authority and responsibility set forth in the Contract Documents.
9.2.4 Contractor’s Representatives and Construction Superintendent, as approved by the Owner, shall not be replaced without the Owner’s prior written approval.
9.2.5 Contractor warrants and shall ensure that only representatives who are authorized to legally bond Contractor will sign documents associated with this Agreement.
Contractor’s Representatives. The Contractor shall identify to the Service Manager one of his key persons as the overall contract administrator to be known as the Contractor’s Contract Administrator (CCA). The CCA shall submit to a power station SSM the name of a representative he proposes be appointed to carry out the actions of the Contractor stated in this contract necessary for the performance of a Task Order. Once the station SSM has accepted a person proposed by the CCA, that person shall be identified in the Task Order as the Contractor’s Site Manager (CSM).
Contractor’s Representatives. Without prejudice to Clause 13 the Contractor shall employ one or more competent representatives whose name or names shall have been notified previously to the Purchaser by the Contractor, to superintend the carrying out of the Works on the Site. The said representatives shall be present on the Site during working hours, and any written orders or instructions, which, the Purchaser may give to any one of the said representatives shall be deemed to have been given to the Contractor. The said representatives (together with such other representatives of the Contractor as the Purchaser may require) shall attend all meetings with the Purchaser and/or the Engineer at times and frequency reasonably specified by the Purchaser. The Contractor shall not replace such representative without the prior written consent of the Purchaser.

(a) Contractor shall employ one or more competent representatives, whose name or names and details of qualifications and previous experience shall have been provided to Company and Company’s Representative by Contractor, to manage the Work and who shall have Contractor’s authority in respect of all matters arising out of or in connection with this Contract and the Work.
Contractor’s Representatives. 6.1. Upon the signature of this Agreement Contractor shall appoint a general site engineer, a project manager, a quality control manager and a chief xxxxxxx, the identities of which shall be pre-approved in writing by Company and whom shall act as sole point of contact in all issues related to the performance of its obligations hereunder (the "General Site Engineer", the "Project Manager", the "Quality Control Manager" and the "Chief Xxxxxxx" and the additional personnel required to be appointed by law, respectively adhering to the requirements set forth in the Tender, the SOW and any applicable law ("Additional Personnel"). The Contractor shall ensure that it is represented at all times by a competent and authorized Project Manager, General Site Engineer, Quality Control Manager and Chief Xxxxxxx. The General Site Engineer should not be absent from Site during normal working hours for more than three (3) consecutive Business Days at a time without the prior written consent of Company and in which case a deputy shall be nominated by the Contractor and Company shall be informed in writing of such assignment. The said Project Manager, General Site Engineer, Quality Control Manager, Chief Xxxxxxx and Additional Personnel shall each provide their full time, energy and attention to the superintendence of the Project and shall exercise overall superintendence of the Project on behalf of the Contractor and shall have authority to receive on behalf of the Contractor all consents, approvals, orders, instructions and information given by Company and must be given adequate authority to represent and act on behalf of the Contractor as if they were the Contractor for the purposes of this Agreement.
6.2. Without derogating from Contractor's obligations under this Agreement, the Project Manager will constantly conduct risk assessments and provide risk control solutions and upon Company's request provide Company with ongoing reports regarding the foregoing and the Project progress.
6.3. Company may, at any time, require the Contractor to remove and replace the Project Manager and/or General Site Engineer and/or Quality Control Manager and/or Chief Xxxxxxx and/or any other Additional Personnel in which case the Contractor shall, after receiving written notice of such request, remove such Project Manager and/or General Site Engineer and/or Quality Control Manager and/or Chief Xxxxxxx and/or any other Additional Personnel, as appropriate, from the Project and promptly replac...
