Contractual Responsibilities. New GSA GWAC Contractor assigned through an Anti-Assignment Exception‌ A newly Novated Contractor shall have the same contractual responsibilities as the transferor had, including but not limited to: 1) Complete documentation of previously awarded open, expired and closed out Task Orders for purposes of Government’s audit; 2) Assumption of all unresolved expired Task Orders that were not closed out; 3) Paying any Overdue CAF owed by the acquired Contractor; 4) Acceptance of the previously negotiated acquired contract pricing; 5) Approval of the minimum Master Contract Subcontract socio-economic goals; 6) Contractor Engagement - Should the new Contractor be assigned via a Novation, they must comply to the Contractor Engagement PBA requirements meeting the Participation and Production Standards for the year the Contractor was assigned onto the Master Contract, as described in Sections C.7.1 and H.19. However, there is an Acceptable Quality Level (AQL) that will be provided for a newly Novated Contractor, which will allow for more than a single contract year to meet Production Standards for the following contract year and allow for less than the standard three Participation credits in the contract year the Contractor is Novated. For example, if the Master Contract assignment is executed in the sixth month of contract year three, the Contractor shall meet the minimum cumulative dollar Production Standard required and noted in Attachment J-5.A for contract year four no later than the end of that contract year four. Additionally, the Contractor must have a minimum of one Participation credit for each full third of a contract year (four months) in the contract year they are officially Novated onto the Master Contract. For example, if the Novation is executed in the sixth month of contract year three, then the Contractor is required to have Participated a minimum of one time for that contract year since only one full third of one year remains in contract year three.

Code 41-9-60, et seq, (1975)]. 18.05 In compliance with Act 2016-312, as codified in Alabama Code section 41-16-5, Designer certifies that it is not currently engaged in, and will not engage in, the boycott of a person or an entity based in or doing business with a jurisdiction with which this state can enjoy open trade. This certification is required only for contracts valued in excess of $15,000.

Contractual Responsibilities. (a) MC is not authorized to reproduce or distribute, beyond the means of the MC SYSTEM, the XXXX XXXX Web Service specifications and documentation, information obtained from the GIER database or any updates thereof. This includes distributing or granting access to the XXXX XXXX Motor Carrier Web Service by Third Party Applications, Systems and Developers. (b) MC shall not rent, lease, assign or otherwise transfer the GIER database access rights assigned under this Agreement or allow any other person or entity to use the GIER database access rights, except as specifically provided in this Agreement. MC agrees to: (i) use commercially reasonable efforts to protect the GIER database from unauthorized access, copying or use; (ii) notify IANA if any unauthorized access comes to the attention of the MC; and (iii) cooperate with IANA in connection with any action it may elect to take with respect to any unauthorized access, copying or use of the GIER database. (c) IANA reserves the right to immediately terminate MC’s access to the GIER database via the GIER Motor Carrier Web Service, in the event that MC violates any of the provisions of this Agreement or any MC SYSTEM user attempts to use the GIER Motor Carrier Web Service in order to replicate the GIER database. Upon written notification of termination by IANA, MC agrees either to destroy or to return the original and all copies of the XXXX XXXX Motor Carrier Web Service specifications and to delete the established interface from all programs in which it has been incorporated after receiving written notice of IANA’s termination of this Agreement. IANA may also terminate this Agreement at any time without cause, by thirty (30) day written notice to the MC, after which, MC agrees to either destroy or to return the original and all copies of the XXXX XXXX Motor Carrier Web Service specifications and to delete the established interface from all programs in which it has been incorporated. (d) The MC is solely responsible for fulfilling its obligations as defined in this Agreement and is responsible for the actions of any Third Party Vendors they employ, engage or direct to access the GIER database through the GIER Motor Carrier Web Service. The MC agrees to identify to IANA any Third Party Applications, Systems and Developers that it has directed to facilitate and/or utilize the GIER Motor Carrier Web Service via MC SYSTEM to access the GIER database under the terms of this Agreement and using the service defined in...
