Cooperation Principles. Based on the common interests and the mutual benefits, in the field of mobile data WAP services, both parties shall perform this Agreement in good faith and cooperate another party's task.

1.2 In the process of project development, the control, verification and acceptance of each node shall be given priority to Party A.

2.4 The Agreement will be implemented in strict accordance with China’s laws, regulations, policies, law enforcement practices on taxation, auditing, related transactions, intellectual property rights, etc., and Geely’s audit requirements. If there are changes in relevant laws, regulations, policies, law enforcement practices or Geely’s audit requirements, or any provisions in the Agreement is found to be invalid, illegal or unenforceable in accordance with applicable laws, regulations, policies, law enforcement practices or Geely’s audit requirements, the Parties shall, through negotiation in good faith, try their best to replace those provisions that do not meet the requirements with the provisions that comply with relevant laws, regulations, policies, law enforcement practices and Geely’s audit requirements, so as to minimize or reduce any adverse impact on Geely.

Based on the abovementioned background and the strategic consensus of mutual benefit and customer supremacy, and in line with the principle of equality and mutual benefit, honesty and voluntariness, Party A and Party B aim to achieve resources sharing, complementary advantages and synergetic development. In compliance with relevant state laws, regulations and supervision requirements, both Parties carry out joint operational activities and business cooperation with surrounding vehicle owners. After friendly consultation, the Parties reach and sign the following agreement.

Cooperation Principles. 3.1. The FCMC is responsible, according to Latvian Law on Financial and Capital Market Commission and Law on Financial Instruments Market, for the enforcement of CSDR regulatory framework applicable to Nasdaq CSD.
3.2. Without prejudice to the rights of the Host Competent Authorities to request information on Nasdaq CSD activities in host country directly from Nasdaq CSD, Authorities agree that the FCMC acts as the single contact point for Nasdaq CSD with regard to regulation of that entity as per CSDR.
3.3. The Authorities form College of Supervisors (the College). Cooperation among the Authorities takes place through the College. Bilateral cooperation takes place between Authorities for matters of relevance to the respective Authorities.
3.4. The Authorities exchange relevant information to ensureeffective and efficient supervision of Nasdaq CSD as well as to support Relevant Authorities' tasks in their role of overseers and CBI. Information exchange is consistent with the requirements of relevant legislation. Each Authority participates in the College within the field of its competence as stated in paragraph 1.2 of Agreement.
3.5. Information shall be exchanged actively between Authorities (a balanced two -way process), both within and outside the College and the information exchanged shall reflect the needs of the Authority involved.
Cooperation Principles. Both parties agree to establish separate principles for direct TV marketing and distribution. In the event of any outrageous cost, over 10% of previously evaluated, the COS shall be re-evaluated by both parties. · Party A should notify Party B the BOM per month. · If Party A carries out any major distributions activities and having a major adjustment to the COS for the distribution, both parties should evaluate in advance the COS provided by Party A to Party B. · The principle of COS for the cellular phone accessories provided by Party A to Party B are based on the followings: The supply of accessories that are produced Party A are based on the costs of production. The supply of accessories that are purchased externally depends on their purchase price. · To encourage Party B, Party A will subsidize Party B for TV advertising on a monthly basis, subject to the quantity of the goods sold. Prior to availability of a new model in the market, both parties should have a mutual agreement for the amount and standard of subsidy from Party A to Party B. · The subsidy standard for F8 brand is RMB400 per device. If there are any upgraded new goods that have been released in the market, both parties can adjust the subsidy standard for F8 brand. The subsidy cost for other goods will be calculated separately, and will be an exhibit to this agreement. · The number of goods sold by the party A will be counted from the starting date of the advertisement through the actual quantity of the products sold out by Party A, (including the quantity of the products that Party A sold through other means of distribution). · Both parties agreed that party B will be compensated for the subsidy from the first broadcasting date of the TV advertisement, which must be supported by TV program broadcasting record. · The deadline for compensating subsidy to party B will be extended to the 60th day following the termination of this agreement (starting from the formal termination date o...
