Customer's Cooperation. The Customer and its subcontractors, if any, will fully cooperate without delay with Miraclon and/or its security consultants in any investigation regarding fraud and theft with regard to Miraclon property. Access to Customer’s Site, records and personnel will not be unreasonably denied. The Customer will obtain written agreement from its subcontractors, if any, that subcontractor agrees to this Section 4.4 and will cooperate fully with any Miraclon investigation without delay or hindrance of any kind.
Customer's Cooperation. The Customer must ensure that its operational and IT systems are well-functioning and compatible with the Service. The Customer is responsible for maintaining the necessary expertise of the personnel who use the Service’s software, and has no right to any claim related to errors arising out of its misuse or inadequate competence. The Customer’s personnel with the necessary expertise must be made available to GSGroup as and when necessary. The Customer will be charged for time spent on additional work caused by the Customer’s IT systems, inadequate competence or misuse. GSGroup must have access to the Customer’s IT systems and devices to deliver GSGroup Field Service Solutions in accordance with the associated response times. If it is not possible to access the Customer’s IT systems and devices, GSGroup shall be fully indemnified for all its losses caused by such lack of access and the Customer will be charged for any additional costs. The Customer shall provide a written description of their particular needs and requirements before the Agreement is entered into. Any such description must be expressly agreed to by GSGroup in writing before it becomes effective.
Customer's Cooperation. Customer acknowledges that its timely provision of accurate and complete information, access to its personnel, materials, equipment and facilities (where applicable), and its cooperation are essential to the performance of Professional Services and provision of Deliverables. Revel will not be liable for any deficiency or delay in performing Professional Services or providing Deliverables to the extent resulting from and in any manner associated with Customer’s failure to provide such information, access and cooperation.
Customer's Cooperation. You must provide Us with all cooperation specified in the Order or reasonably required to complete the Professional Services, which includes granting Us access to relevant information, Your personnel, and Your systems needed for providing Professional Services.
Customer's Cooperation. 1. Customer's duties to cooperate a) The Customers shall cooperate in the clarification of any required preliminary technical questions. The Customer shall immediately replay to requests by Keilmann Group.
Customer's Cooperation. 1Syncro's performance depends upon Customer's timely and effective cooperation in connection with the Services, including providing Syncro with timely, complete and sufficient access to appropriate data, information, and appropriately skilled Customer personnel, and prompt responses to questions and requests as necessary for Syncro to complete the Services.
Customer's Cooperation. Customer shall at its expense at the commencement of maintenance Services by E&H and at all times during this Agreement provide the following:
(a) It is the customer's responsibility to provide remote-access diagnostics capability to facilitate remote diagnostics, which can take a number of forms from modem access to VPN tunnels, E&H prefers broadband Internet access (DSL, T1 or better) 24 hours a day, seven days a week, as well as providing all necessary authorizations for remote access to E&H.
(b) Allow employees of E&H free access to premises and facilities where the Equipment is to be maintained at all hours, consistent with the requirements of this Agreement.
(c) Prepare or have prepared and maintain for its own or E&H's use current subscriber directories and a log of Equipment Trouble Reports.
(d) Assure that the parties meet all temperature, humidity controlled, air conditioning and other environmental requirements set forth in the applicable specifications.
(e) Provide necessary openings and ducts for cable and conductors in floors and walls as required from time to time.
(f) Provide electric current for any necessary purpose with suitable terminals in rooms where it is required and provide heat and general illumination in rooms in which work is to be performed or materials stored equivalent to that ordinarily furnished for similar purposes in a working office.
(g) Provide suitable and easily accessible floor space to permit secure storage of tools and test sets.
(h) Provide all consents and approvals of state or local authorities and those in ownership or control of the premises in which the Equipment is located, if required, for maintenance of the Equipment or, at E&H's option, authorize E&H to obtain such consents and approvals on behalf of Customer at Customer's expense.
Customer's Cooperation. For each SDA or Order Form referencing this Agreement Customer shall assign a project lead to be Medius’s primary contact. Customer shall provide Medius with necessary information and documentation reasonably requested in order for Medius to fulfill the Professional Services. Customer shall ensure that its personnel have appropriate competence and training for assigned tasks and the necessary authority to provide any requested information and/or documentation. If any services by a third party vendor contracted by Customer are necessary for the execution of Activities or Deliverables, Customer shall manage and coordinate them at Customer’s own cost.
Customer's Cooperation. PPRA's performance depends upon Customer's timely and effective cooperation in connection with the Consulting Services, including providing PPRA with timely and sufficient access to appropriate data, information, and appropriately skilled Customer personnel, and prompt responses to questions and requests. PPRA will not be liable for any failure or delays in performing the Consulting Services, to the extent that the failure or delay is caused by Customer's failure to cooperate. Unless otherwise agreed, PPRA will rely upon the accuracy and completeness of data, material, and other information furnished by Customer, without any independent investigation or verification.
