Data Controller and Processor. Version: 1 2 of 63 For the above processes, the Council is the data controller. The Provider is the Council’s data processor for the purposes of the Framework Agreement. The parties agree to remain up-to-date with and abide by all relevant data protection legislation, including the General Data Protection Regulations (GDPR) and Data Protection Act 2018 (DPA 2018). This includes informing the other party immediately in the event of a suspected data breach. The Provider will ensure it: - processes the personal data only on documented instructions from the Council, including with regard to transfers of personal data to a third country or an international organisation, unless required to do so by law to which the Provider is subject; in such a case, the Provider shall inform the Council of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest; - ensures that persons authorised to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality; - takes all measures required pursuant to GDPR Article 32; - respects the conditions referred to in paragraphs 2 and 4 for engaging another processor; - takes into account the nature of the processing, assists the Council by using appropriate technical and organisational measures, insofar as this is possible, for the fulfilment of the Council’s obligation to respond to requests for exercising the data subject’s rights laid down in Chapter 3 of Part 3 of the DPA 2018; - assists the Council in ensuring compliance with the obligations pursuant to Articles 32 to 36 taking into account the nature of processing and the information available to the processor; - at the choice of the Council, delete or return all the personal data to the Council after the end of the provision of services relating to processing, and deletes existing copies unless law requires storage of the personal data; - make available to the Council all information necessary to demonstrate compliance with the obligations laid down in this section and allow for and contribute to audits, including inspections, conducted by the Council or another auditor mandated by the Council. Project Based IT Consulting Services may include, but will not be limited to projects requiring: analysis, data classification, design, development, testing, quality assurance, security and associated training for Information Technology based applications. See section 1.3 Out of Scope Work for a listing of projects expressly excluded from the scope of this Contract.
