Data Security Incident. 6.1 Supplier shall, without undue delay, give written notice to Customer, if it becomes aware of the occurrence of any Personal Data Breach. 6.2 In relation to any Personal Data Breach Supplier shall: 6.2.1 take reasonable steps to identify and mitigate the underlying cause of the Personal Data Breach so as to minimize the risk of its repetition and the occurrence of similar Personal Data Breach; 6.2.2 take such steps as Supplier may consider necessary to mitigate the risk to Data Subjects as a result of the Personal Data Breach; and 6.2.3 on reasonable request from Customer and subject to obligations of confidentiality, make available to Customer information about the Personal Data Breach necessary for Customer to comply with its obligations under Applicable Privacy Law.
Data Security Incident. 4.1 The Company shall notify the Customer (in writing) without undue delay, after the Company has become aware of, or has come to have reasonable grounds to suspect, the occurrence of any Personal Data Breach or other incident prejudicing, or revealing a weakness in, the security of the Processed Personal Data while in its possession or under its control (a "Data Security Incident"). 4.2 The Company’s notification shall (to the extent reasonably possible): (a) describe the nature and the origin of the Data Security Incident including where possible, the categories and approximate number of Data Subjects concerned and the categories and approximate number of Processed Personal Data records concerned; (b) communicate the name and contact details of the data protection officer or other contact point where more information can be obtained; (c) describe the likely consequences of the breach; (d) describe the measures taken or proposed to be taken to address the personal data breach, including, where appropriate, measures to mitigate its possible adverse effects; Where, and in so far as, it is not possible to provide the information at the same time, the information may be provided in phases without undue further delay. Said notification shall be sent along with any necessary documentation to enable the Customer, where necessary, to notify this breach to the competent supervisory authority. 4.3 In addition, in case of a Data Security Incident, the Company shall: (a) take reasonable steps to identify and correct the underlying cause of the Data Security Incident so as to eliminate or minimise the risk of its repetition and the occurrence of similar Data Security Incidents and update the Customer about the implementation of these measures at regular intervals and until completion; and (b) take such steps as the Customer may reasonably request to assist the Customer in addressing the adverse consequences of the Data Security Incident for the Customer and its affiliates, in particular as regards compliance issues it may trigger with respect to Data Protection Legislation. 4.4 Unless required to do so by any applicable law, the Company shall not communicate with any data protection authority nor any Data Subjects about the existence or the risk of a Personal Data Breach affecting the Processed Personal Data without the Customer’s specific prior written consent (such consent not to be unreasonably withheld or delayed).
Data Security Incident. If Amplify Education Inc. (“Amplify”) has reason to believe that Student Data are disclosed to or acquired by an unauthorized individual(s) (a “Security Incident”), then Amplify will fully investigate the incident and to take reasonable steps to remediate systems and controls and to mitigate any potential harm to individuals which may result from the Security Incident and cooperate with District’s investigation of the Security Incident.
Data Security Incident a. Vendor will maintain, update and document an Incident Response Plan (“IRP”), and will manage, document, review, investigate and resolve all Security Incidents in accordance with the IRP. b. Such notice must include (i) a description of the incident, including the type of incident (e.g., theft, loss, improper disclosure, unauthorized access), location of the incident (e.g., laptop, desktop, paper), how the incident occurred, the date the incident occurred, and the date the incident was discovered; (ii) a description of the type of University Data involved (e.g., user data, intellectual property, etc.); (iii) a description of the potentially impacted individuals; (iv) a description of the actions taken in response to the Security Incident (e.g., additional safeguards, mitigation, sanctions, policies, and procedures); and (v) all other information reasonably requested by University or necessary to provide notice to individuals and/or regulators, including a forensic report summarizing the findings of a forensic investigation. University acknowledges that certain information may not be immediately available and can be provided on a rolling basis as it is discovered (within 72 hours of discovery). c. In facilitating the investigation and remediation of a Security Incident, Vendor will cooperate fully with University. Vendor may not inform any third party of any Security Incident without first obtaining the University’s written consent, except as may be required by law. Vendor agrees to reimburse University for reasonable costs and expenses incurred (including legal fees) in responding to, remediating, and/or mitigating damages caused by a Security Incident or in following up a complaint by an individual or a regulator. Vendor will take all necessary and appropriate corrective actions, including as may be reasonably instructed by University, to remedy or mitigate any Security Incident.

Data Security Incident. In the event of any actual or suspected security incident affecting AbbVie Data Processed by Service Provider (a “Data Security Incident”), Service Provider shall: a) immediately, and in any event no later than twenty-four (24) hours following discovery of such Data Security Incident, send written notice of the incident via e- mail to cxxxx@xxxxxx.xxx; b) not make any statements or notifications about the Data Security Incident to any individual affected by the incident, the public or any third-party without AbbVie’s prior written approval; c) immediately take steps to investigate and mitigate the Data Security Incident, including all such steps reasonably requested by AbbVie and, in conducting such investigation and mitigation, Service Provider shall reasonably cooperate with AbbVie, including by providing access to Service Provider’s premises, books, logs and records to the extent necessary to investigate and mitigate the Data Security Incident; d) take all remediation efforts required by applicable law or reasonably directed by AbbVie; and e) if requested by AbbVie, provide AbbVie within five (5) business days after the request a report that describes: (A) the nature and extent of the Data Security Incident; (B) the AbbVie Data (including separate identification of AbbVie Personal Information) affected unless otherwise provided herein; (C) supporting evidence, including system, network and application logs related to the incident; (D) the investigative, corrective and remedial actions completed, and planned to be completed (and the dates by which such actions will be completed) by Service Provider; and (E) an assessment of the security impact to AbbVie.
Data Security Incident. 6.1. Xxxxxx warrants that it has established and implemented a Data Security Incident response plan outlining organizational policies and procedures for addressing a Data Security Incident. Kelvin’s response plan will require prompt response for minimizing the risk of any further data loss and any negative consequences of the breach, including potential harm to affected individuals. 6.2. Xxxxxx will promptly notify Customer promptly after determining that a Data Security Incident has occurred. 6.3. In the event of a Data Security Incident, Xxxxxx will reasonably cooperate, at its own expense, with Customer in connection with the investigation of any unauthorized disclosure of Covered Information, including regulatory investigations, litigation, or other legal process resulting from Customer’s efforts to protect rights relating to the use, disclosure, or maintenance of Covered Information provided to Xxxxxx 6.4. In the event of a Data Security Incident, Xxxxxx will use its best efforts to determine the cause of the Data Security Incident. Xxxxxx will subsequently produce a remediation plan to reduce the risk of similar incidents in the future. Upon request, Xxxxxx will present its analysis and remediation plan to the Customer within thirty (30) calendar days of notifying Customer of the Data Security Incident. 6.5. Xxxxxx will identify and maintain a designated representative for the purpose of communicating with the Customer regarding any such Data Security Incident. Xxxxxx will respond to any contact from the Customer regarding a Data Security Incident within one (1) business day.
Data Security Incident. Data Security Incident is defined herein as any unauthorized access or acquisition of the Data that compromises the confidentiality, integrity, or security of the Data, or the receipt of a complaint in relation to the privacy, confidentiality, or security of the Data. Data Security Incident. If Wavelength Labs, INC becomes aware of any event that compromises the security, confidentiality or integrity of Client Content (an “Incident”), Wavelength Labs, INC will take appropriate actions to contain, investigate and mitigate the Incident. Wavelength Labs, INC shall notify Client of an Incident as soon as reasonably possible and without undue delay.
