DUTIES AND OBLIGATIONS OF CONSULTANT. At the request of FRTE, CONSULTANT shall have the following duties and obligations under this Agreement.

Consultant shall be engaged as the “Chief Financial Officer” of the Client during the term of this agreement and shall provide the Services that are customary of the position and generally described in Appendix A of this document. Further, Consultant’s President and CEO, Sxxxx X. Xxxxxxxxx (“Sxxxxxxxx”), shall act as an authorizing signatory on periodic filings with the SEC as required by the Securities Act of 1933, the Securities Exchange Act of 1934 and the Sxxxxxxx-Xxxxx Act of 2002, as amended, and other documents, as shall be required from time to time.

Consultant shall (i) provide Xxxxxxx with analysis and advice regarding strategy, planning, expansion and acquisitions, (ii) provide such other advice and counsel as Xxxxxxx may reasonably request of the Consultant with respect to the above and (iii) continue to serve as a Director of Xxxxxxx.

Consultant shall (i) provide advice and counsel on business planning and strategy, including, among other things, (a) monitoring merger and acquisition activity, (b) identifying potential acquisition targets, (c) advising on the structure of potential transactions, and (d) providing negotiating assistance; and (ii) provide reports to Cxxxxxx’x Board of Directors regarding these activities.

4.1.1 Consultant shall conduct its gathering of the required metrics (information relevant to the study) on behalf of the Client
4.1.2 Consultant shall meet with the various department heads and ministers as necessary in collecting the required data.
4.1.3 The Consultant shall observe all governmental laws, regulations, and requirements, applicable in its efforts to deliver an acceptable study.
4.1.4 For the purpose of its efforts on behalf of the Client under this Agreement (and only for this purpose), Consultant may provide various suppliers of the desired and recommended gasification and related equipment with information gathered during the investigation and writing of the study.
4.1.5 Consultant shall furnish to Client, on a regular basis, reports on the progress of the study.
4.1.6 Consultant shall perform its services in a professional, ethical and competent manner under this Agreement consistent with the best and highest standards of the industry with the objective of delivering a professional report that will be tailored to the specific needs, expectations and capabilities of the Client. The Consultant will endeavor to accomplish the aforesaid task within a period of 90 days (ninety) business days from the day the Consultant arrives on site as specified by the Client. The period of time shall be adjusted to reflect any Client holidays days that may occur during the project.
4.1.7 Consultant shall deliver to the Client one copy of the report in hard cover professionally bound along with a digital copy on CD. The study shall reflect all relevant information regarding a gasification plant. Such information shall be as specified herein in exhibit 1. The completed report shall be delivered in English language. The Client at Client’s expense shall do any translations that may be required by the Client.
4.1.8 The Consultant shall deliver a copy of the completed study to any lenders and investors that are known to be interested in funding gasification facilities. No guarantee, whether implied or written, on the part of the Consultant regarding the Consultant’s ability to supply funding for the construction of the gasification plant shall have any liability whatsoever for the Consultant. DUTIES AND OBLIGATIONS OF CONSULTANT. Consultant shall at all times perform his Consulting Services with a high degree of professional skill and diligence and in accordance with all applicable law, statutes, and regulations. Consultant shall be responsible, to the level of competency presently maintained by others in the profession performing the same type of work, for the professional and technical soundness, accuracy and adequacy of all work and materials furnished under this Agreement. In providing Consulting Services, Consultant shall also conduct himself in relation to all of the Company’s employees, clients, affiliates, and agents, in a professional and respectful manner. Consultant shall comply with all applicable laws and shall not harass, discriminate, retaliate, defame, disparage, or in any other way engage in inappropriate conduct toward any employee, client, affiliate, or agent of the Company. Consultant shall not use or disclose, or suffer or permit any of his employees or agents to use or disclose, any information received from the Company during the performance of the Consulting Services, for his own benefit, profit, or gain, or the benefit, profit, or gain by another individual or entity. Consultant shall issue no public announcement or press release relating to his retention by the Company hereunder without the express prior agreement of the Company.
DUTIES AND OBLIGATIONS OF CONSULTANT. IBAH has engaged Consultant as an independent contractor to IBAH's business. Consultant shall be available to IBAH to perform such duties and responsibilities as shall be needed by the Chief Executive Officer of IBAH. It is contemplated by the parties that Consultant will provide services under this Agreement on an "as needed" and "as available" basis. Consultant's duties may include, but shall not be limited to, advice and assistance in the areas of sales and marketing, industry trends and objectives, and regulatory.
