Duties of Sponsor. Sponsor will perform such duties for the Trust as set forth in Article IV of the Trust Agreement. Sponsor will manage the Trust in accordance with Sponsor’s best judgment and consistent with the Trust’s investment objectives and strategies outlined in the Trust’s prospectus and registration statement filed with the U.S. Securities and Exchange Commission (“SEC”). For the avoidance of doubt, pursuant to the terms of Article IV of the Trust Agreement, the Sponsor is authorized to execute documents for and on behalf of the Trust.
Duties of Sponsor. SC (US) Management hereby agrees that from the date ----------------- hereof through December 31, 1998, SC (US) Management shall waive the Advisory Fee and/or reimburse the Fund to the extent necessary to maintain the total operating expenses (excluding brokerage fees and commissions, interest, taxes and other extraordinary expenses) of:
(i) Class I shares of the Fund at 1.00% of the average daily net assets of the Class I shares; and (ii) Class R shares of the Fund at 1.15% of the average daily net assets of the Class R shares.
Duties of Sponsor. Sponsor shall:
1. Provide Integrated on an on-going basis with sufficient and accurate information concerning quarterly utilization data in a format mutually agreeable that will facilitate report generation and invoicing to participating Drug Manufacturers: such information to be provided in Sponsor format and contain all data elements required for processing or NCPDP format, whichever Sponsor selects.
2. Provide all Covered Persons with complete and accurate information describing the Formulary;
3. Not participate in any other formulary or similar discount program during the Term of this Agreement:
4. Take reasonable steps on its own initiative and upon the request of Integrated, to encourage physicians to utilize the formulary:
5. Distribute the formulary, amendments thereto and other related formulary information to the physician network:
6. Enter into agreements ("Joinder Agreements") with each of the Drug Manufacturers participating in the Formulary, to join Sponsor to the agreements between Integrated and such Drug Manufacturers; and
7. The parties acknowledge and agree that Integrated's performance under this Formulary Agreement, and Sponsor participation in Integrated's Manufacturer Charge Back Program, is contingent upon Sponsor providing to Integrated claims data for all prescription drug claims from Participating Pharmacies for Prescription Drug Services dispensed to Covered Persons. On a quarterly basis, Sponsor shall submit to Integrated, by magnetic tape which is in a format acceptable to Integrated, as outlined in V(i) above, prescription claims information, including at least the following items for each claim:
a) Physician ID number; b) Pharmacy ID number; c) Covered Person ID number; d) Date of service; e) Prescription number; f)
Duties of Sponsor. Sponsor shall provide, at its sole expense, all banners, signs and other marketing materials containing Sponsor’s name or logo which Sponsor is permitted to utilize during the Events.
Duties of Sponsor. SPONSOR will provide a funding of 300.000 DKK pr. year for research related activities within the CPH-Pig as outlined in the Framework Agreement. SPONSOR will not use UNIVERSITY’s name, logo or trademark in its advertising or other public communication related to this Agreement and will not state that UNIVERSITY or any of its departments or any member of any of its departments has endorsed its products, without UNIVERSITY’s prior written approval. Such approval can only be obtained from the Central Administration, Department for Communication, at UNIVERSITY.
Duties of Sponsor. SPONSOR shall have the following duties with respect to this Agreement.
1. Provide FFI with information and data necessary, in the form defined by FFI, to enable FFI to review each claim, including certification of eligibility of SPONSOR members who submit claims directly, FFI agrees to provide electronic security for the SPONSOR member database and FFI will insure access to the SPONSOR member database only by those FFI employees required to complete the responsibilities of FFI under this contract.
2. SPONSOR will promote the program, to the best of its ability, to all of its eligible members.
3. SPONSOR will maintain the eligibility file for eligible members.
Duties of Sponsor. SPONSOR shall have the following duties with respect to this Agreement:
Duties of Sponsor. As sponsor of the Issuer under the Prospectus, the Sponsor will conduct an investigation of the organization, management, business and affairs of the Issuer sufficient, in its sole discretion, to enable it to determine whether or not it is able to sign the certificate of the Prospectus.
Duties of Sponsor. The sponsor hereby acknowledges, understands, and accepted the duties of sponsorship, i.e., to always act in behalf of the best interests of the resident at all times. In addition the sponsor hereby unconditionally guarantees to Greystone Retirement Home all the obligations of the resident hereunder.
Duties of Sponsor. The Sponsor shall perform all duties in accordance with the written agreement entered into with the Ohio Department of Education under division (B) of section 3314.015 of the Ohio Revised Code, including the following:
(1) Monitor the School's compliance with all laws applicable to the School and with the terms of this Contract;
(2) Monitor and evaluate the academic and fiscal performance and the organization and operation of the School on at least an annual basis;
(3) Report on an annual basis the results of the evaluation conducted under division (D)(2) of this section to the department of education and to the parents of students enrolled in the School;
(4) Provide technical assistance to the School in complying with laws applicable to the School and terms of this Contract;
(5) Take steps to intervene in the School's operation to correct problems in the School's overall performance, declare the school to be on probationary status pursuant to section 3314.073 of the Ohio Revised Code, suspend the operation of the school pursuant to section 3314.072 of the Ohio Revised Code, or this Contract pursuant to section 3314.07 of the Ohio Revised Code as determined necessary by the Sponsor;
(6) Have in place a plan of action to be undertaken in the event the School experiences financial difficulties or closes prior to the end of a school year.
