Duties of XXXXX. Xxxxx shall be employed by the Company as Vice President and Chief Scientific Officer to perform such duties consistent with such a position as Vice President and Chief Scientific Officer as its Board of Directors shall assign Xxxxx from time to time. Xxxxx shall serve the Company faithfully and diligently, use his best efforts to promote the interests of the Company, and shall devote his full time and efforts to the business and affairs of the Company.
Duties of XXXXX. Xxxxx shall continue to be employed by the Company as its Vice President and Chief Scientific Officer, performing such duties consistent with such position as its Board of Directors shall assign to Xxxxx from time to time. As an exempt employee, Xxxxx shall work those hours that are reasonably necessary to complete his assigned duties on behalf of the Company, with the understanding that it is expected that his time commitment to his position responsibilities shall average at least twenty (20) hours per week. Even though working a half-time schedule, Xxxxx shall serve the Company faithfully and diligently, using his best efforts to promote the interests of the Company. Xxxxx further agrees when called upon to serve as a member of the Board of Directors of the Company. Any service as a director shall be part of Xxxxx’x expected time commitment to the Company and therefore performed without expectation of any additional compensation.
Duties of XXXXX. Xxxxx will be employed by the Company as its Chief Executive Officer and President and shall serve as Chairman of the board of directors, and shall have such duties and shall serve in such capacity and in such other capacities at the Company or any of its Affiliates as shall be designated, or to which Xxxxx shall be elected, from time to time, by the Board of Directors of the Company ("Board") and in accordance with the bylaws of the Company as in effect from time to time.
Duties of XXXXX. A. In accepting employment by UCI, Xxxxx shall undertake and assume the responsibility of performing for and on behalf of UCI the duties of Vice President of Medical Affairs of UCI in Columbia, South Carolina.
Duties of XXXXX. Xxxxx shall have no duty as to the collection or protection of the Collateral or any income or distribution thereon, beyond the safe custody of such of the Collateral as may come into the possession of Xxxxx and shall have no duty as to the preservation of rights against prior parties or any other rights pertaining thereto. Xxxxx’x Rights and Remedies may be exercised without resort or regard to any other source of satisfaction of the Liabilities.
Duties of XXXXX. Xxxxx shall be employed as the President and Chief Executive Officer of Xxxxx. Xxxxx shall assume such duties as are assigned to him by the Board of Directors of Xxxxx, and shall devote his exclusive and full-time services, energy and attention to the business of Xxxxx. The scope of Xxxxx'x duties hereunder may be modified from time to time at the discretion of the Board of Directors of Xxxxx, provided that such modified duties shall be of the nature customarily performed by a chief executive officer in a position similar to that held by Xxxxx. Xxxxx shall not be required to perform the duties required of him under this Agreement at a location more than fifty (50) miles from the current place of business of Xxxxx located in Sante Fe Springs, California.
Duties of XXXXX. Xxxxx agrees:
Duties of XXXXX. A. In accepting employment by UCI hereunder, Xxxxx shall undertake and assume the responsibility of performing for and on behalf of UCI the duties of the Executive Vice-President and Chief Financial Officer of UCI, and shall report directly to the Chief Executive Officer. Except with his written consent, Xxxxx shall not be assigned to (i) any position of lower professional status, or (ii) a location outside of Richland or Lexington Counties, South Carolina. Xxxxx shall have such duties and authority as are typical of the Chief Financial Officer and Executive Vice-President of a company such as UCI, including, without limitation, those specific in UCI's bylaws.
Duties of XXXXX. During the period of his employment in the capacity of Treasurer, Xxxxx agrees to devote all professional skill and energy to the faithful and full satisfaction of his duties as Treasurer. It is agreed and understood that Xxxxx will perform all duties assigned to him, which shall be substantially the same as those performed by Xxxxx as Treasurer of the Company prior to the date of this Agreement (including status, offices, titles and reporting requirements), to the full satisfaction of the Board of Directors. The Company agrees that Xxxxx shall have such authority and discretion as is necessary to fully and faithfully perform his duties in a proper and efficient manner, subject to review by the Board of Directors. During the period of his employment, it shall not be a violation of this Agreement for Xxxxx to (i) serve on corporate, civil or charitable boards or committees, (ii) deliver lectures or fulfill speaking engagements and (iii) manage personal investments, so long as such activities do not significantly interfere with the performance of Xxxxx'x responsibilities as an employee of the Company in accordance with this Agreement. It is expressly understood and agreed that to the extent that any such activities have been conducted by Xxxxx prior to the date hereof, the continued conduct of such activities (or the conduct of activities similar in nature and scope thereto) subsequent to the date hereof shall not thereafter be deemed to interfere with the performance of Xxxxx'x responsibilities to the Company.
Duties of XXXXX. XxXxx will continue to help NNOS evaluate the AMEX merger possibilities and assist in the reorganization of the company's management. XxXxx will also provide such services and advice to NNOS so as to assist NNOS with matters relating to acquisition targets for NNOS and advise and administer the structure of any such mergers or other acquisitions. Without limiting the generality of the foregoing, XxXxx will also assist NNOS in administering, studying and evaluating acquisition proposals, review reports and studies thereon when advisable, and assist in negotiations and discussions pertaining thereof. Nothing contained herein constitutes a commitment on the part of XxXxx to find an acquisition target for NNOS or, if such target is action will be completed. XxXxx will assist NNOS in creating its business development and business strategy as well as marketing strategies.
