Duties of XXXXX. Xxxxx shall be employed by the Company as Vice President and Chief Scientific Officer to perform such duties consistent with such a position as Vice President and Chief Scientific Officer as its Board of Directors shall assign Xxxxx from time to time. Xxxxx shall serve the Company faithfully and diligently, use his best efforts to promote the interests of the Company, and shall devote his full time and efforts to the business and affairs of the Company.
Duties of XXXXX. Xxxxx will be employed by the Company as its Chief Executive Officer and President and shall serve as Chairman of the board of directors, and shall have such duties and shall serve in such capacity and in such other capacities at the Company or any of its Affiliates as shall be designated, or to which Xxxxx shall be elected, from time to time, by the Board of Directors of the Company ("Board"), and in accordance with the bylaws of the Company as in effect from time to time.
Duties of XXXXX. Xxxxx shall continue to be employed by the Company as its Vice President and Chief Scientific Officer, performing such duties consistent with such position as its Board of Directors shall assign to Xxxxx from time to time. As an exempt employee, Xxxxx shall work those hours that are reasonably necessary to complete his assigned duties on behalf of the Company, with the understanding that it is expected that his time commitment to his position responsibilities shall average at least twenty (20) hours per week. Even though working a half-time schedule, Xxxxx shall serve the Company faithfully and diligently, using his best efforts to promote the interests of the Company. Xxxxx further agrees when called upon to serve as a member of the Board of Directors of the Company. Any service as a director shall be part of Xxxxx’x expected time commitment to the Company and therefore performed without expectation of any additional compensation.
Duties of XXXXX. Xxxxx shall have no duty as to the collection or protection of the Collateral or any income or distribution thereon, beyond the safe custody of such of the Collateral as may come into the possession of Xxxxx and shall have no duty as to the preservation of rights against prior parties or any other rights pertaining thereto. Xxxxx’x Rights and Remedies may be exercised without resort or regard to any other source of satisfaction of the Liabilities.
Duties of XXXXX. 2.1 In consideration of the payment by the Customer of the Price and subject to the terms and conditions of this Agreement, Xxxxx agrees:
2.1.1 to develop and deliver the graphical, technical and navigational design (“the Website Design”) as set out in the specification;
2.1.2 to create and deliver the pages of the Website containing all text, graphics, logos, photographs, images, moving images, sound, illustrations and other materials to be featured, displayed or used in or in relation to the Website ("the Web Pages") as set out in the Specification; and
2.1.3 to advise the Customer in relation to the Website Design and the production of the Web Pages; and
2.1.4 to carry out any hosting, graphic design and other work referred to in the Specification.
2.2 Xxxxx undertakes to carry out its obligations under Clause 2.1 in accordance with the Timetable.
2.4 Xxxxx shall provide the hosting service, if any. Subject to that, Xxxxx is not required to provide advice upon or take any action in relation to the hosting of the Website or of any website.
Duties of XXXXX. A. In accepting employment by UCI, Xxxxx shall undertake and assume the responsibility of performing for and on behalf of UCI the duties of Vice President of Medical Affairs of UCI in Columbia, South Carolina.
B. Other than Xxxxx'x duties as an employee of Doctor's Care, P.A., Xxxxx shall be a full-time employee of UCI, and shall devote his full working time and efforts to his duties hereunder. Xxxxx shall perform all of his duties hereunder to the best of his ability and shall not, directly or indirectly, engage or participate in any activities in conflict with the best interests of UCI. Without limiting the generality of the foregoing, Xxxxx shall not engage in any activity for compensation or pecuniary gain other than his employment hereunder, his association with Doctor's Care, P.A., and passive investing for the account of himself or members of his household. Xxxxx agrees that his total compensation for his service to UCI shall be described in Section 4 of this Agreement. Xxxxx has entered into a separate Employment Agreement with respect to his association with Doctor's Care, P.A. His compensation for services to Doctor's Care, P.A. is described in Section 3 of that Agreement. Xxxxx agrees that his total compensation for his service to Doctor's Care, P.A. is set forth in Section 4 of that Agreement.
Duties of XXXXX. Xxxxx shall be employed as the President and Chief Executive Officer of Xxxxx. Xxxxx shall assume such duties as are assigned to him by the Board of Directors of Xxxxx, and shall devote his exclusive and full-time services, energy and attention to the business of Xxxxx. The scope of Xxxxx'x duties hereunder may be modified from time to time at the discretion of the Board of Directors of Xxxxx, provided that such modified duties shall be of the nature customarily performed by a chief executive officer in a position similar to that held by Xxxxx. Xxxxx shall not be required to perform the duties required of him under this Agreement at a location more than fifty (50) miles from the current place of business of Xxxxx located in Sante Fe Springs, California.
Duties of XXXXX. XXXXX agrees:
(a) to provide Sales Partner with any documentation, other materials and/or information that are required in respect of and in relation to the Services to enable Sales Partner to carry out its duties;
(b) to provide access to the CRM;
(c) to provide access to the LOVIS knowledge base located at the Website which aims to enable the Sales Partner to answer queries from Prospects during the Platform Sales Process;
(d) provide such assistance as the Sales Partner may reasonably request in relation to the negotiation and conclusion of Contracts including promptly considering and responding reasonably to any amended terms required or requested by any Client; and
(e) to fulfil its commitments and obligations in all Contracts.
Duties of XXXXX. Xxxxx will:
A. At its sole cost and expense provide year-round maintenance and security of said Park Areas including maintenance and up keep of any County provided equipment;
B. Manage and operate said Park Areas, including but not limited to the scheduling of children's organized sports;
C. Design, construct, operate, and maintain said Park Areas' landscaping and irrigation systems;
D. Provide year-round security;
E. Pay for all electric, gas, and water utilities relating to operation and maintenance of the Park Areas;
F. Maintain the and operate the Park Areas as public park facilities open to the residents of the County pursuant to the terms of this Agreement for a period of not less than twenty years from the date of execution shown above.
G. Upon installation of the playground equipment, the Xxxxx shall accept transfer of title of the equipment to the City and the City shall accept all responsibility for use and maintenance of the equipment. In the event the Xxxxx fails to properly maintain or manage the Park Areas and related facilities, the City shall, no more than 90 days from the date of demand by the County, reimburse the County of El Paso the full original cost for the improvements and equipment at the amount(s) shown in the attached cost sheets.
Duties of XXXXX. Xxxxx agrees to perform well and faithfully the duties required by the Board from time to time, and to do so in accordance with applicable law, including but not limited to the School Code, and shall further perform such duties as set forth in the job description of the Superintendent of Schools.
