The Company shall pay for Fund shares by the scheduled close of federal funds transmissions on the same Business Day it places an order to purchase Fund shares in accordance with this section using the NSCC's Continuous Net Settlement (CNS) System. Payment for net purchases will be wired by the Company to an account designated by the Distributor to coincide with the order for shares of the Fund using the NSCC's Continuous Net Settlement (CNS) System. Payment shall be in federal funds transmitted by wire from the Fund's designated Settling Bank to the NSCC. Networking shall mean the NSCC's product that allows Fund's and Companies to exchange account level information electronically. Settling Bank shall mean the entity appointed by the Fund to perform such settlement services on behalf of the Fund and agrees to abide by the NSCC's Rules and Procedures insofar as they relate to the same day funds settlement.

Eastern has complied in all material respects with all laws relating to the employment of labor, including provisions relating to wages, hours, equal opportunity, collective bargaining and payment of Social Security and other taxes.

JBT may cancel transfers, without prior notice, in the event that any of your accounts are not in good standing, you have had an overdraft, or an item returned for insufficient funds, any prior transfer was cancelled, revoked, or returned due to reasons such as insufficient funds, stopped payments, or frozen account, or we suspect your account may be involved in fraudulent activity.

Seller is retaining its account number 23600 (Accrued Medical Expenses) and this account is not being assumed by the Buyer in order to pay claims arising or incurred on or before the Closing Date. In addition, Buyer is assuming for claims incurred on or after the first day after the Closing Date, Seller’s Aflac, Dental, Vision and Life Plans and those plans shall be amended and assumed to transition the Seller’s employees post-Closing until December 31, 2015, at which time these plans will be terminated by the Buyer.

Eastern. Eastern is engaged with both Regions 1 & 5, and will continue to play a co‐convener role in each area. Both regions have facilitated their “kick‐off” event and have outlined a draft work plan. Region 5 is farther ahead with an increased level of employer/industry engagement and has already begun to provide outreach to the schools. Region 1 lags behind in both engagement and expected outcomes. Northwest/Rural Resort: Region 11 is building momentum with their Tourism and outdoor Recreation, Manufacturing, and Health & Wellness. Region 12 continues work in the Health & Wellness Sector. Region 13 is working to develop Creative Industries, Health & Wellness and is exploring Tourism and Outdoor Recreation.WFC staff are significant contributors in region 11 and convening in region 12 and at the table in region 13. Plans are to facilitate the movement of these regions forward in PY15. Pueblo: Pueblo (Region 7) currently has two “active” Sector Partnerships (Advanced Manufacturing and Health & Wellness). The Advanced Manufacturing Sector Partnership, which is built around the Southern Colorado Manufacturing Group (SCMG) has been in existence since 2007. Health & Wellness is also an “active” industry sector. PWFC staff have been actively involved in the “convening”, organization and ongoing activities of the Southern Colorado Health Care Sector Partnership (SCHCP) as well as partnership sub‐committees (Data, Image & Assets, and Training/Education).
