End of Term Obligations. At the end of the Term, the Licensee, at the Licensee's expense, shall, by the applicable expiry or termination date, remove all of the Licensee's personal property from the Licensed Premises and deliver vacant (except for the Licensor's Office Equipment and property belonging to other licensees) possession of the Licensed Premises to the Licensor. The Licensed Premises and Licensor's Office Equipment shall be delivered by the Licensee in a clean and broom-swept condition and in the same condition and state of repair as they were in on the commencement date of the Term, subject to reasonable wear and tear and damage caused by other licensees of the Licensed Premises. The Licensee shall be responsible for all the Licensor's costs to repair any and all damage, other than reasonable wear and tear, to the Licensed Premises, Building Common Areas, Licensor's Office Equipment, or the rest of the Property caused by such removal or restoration. The Licensee shall pay such costs within Ten (10) days after receipt by the Licensee of a detailed invoice from the Licensor detailing each item and its cost. The Licence Fee shall be adjusted to and paid on the applicable termination or expiry date. The Licensee's obligations in this Section 7 shall survive the expiry or earlier termination of the Term.
End of Term Obligations. 9.1 In addition to Your general obligations contained in the Marina Rules, You must, on or before the end of each Berthing Period or the earlier termination of this Agreement:
(a) remove Your property and the Vessel from the Berth and the Marina; and
(b) otherwise remedy any breaches of this Agreement.
9.2 If You fail to comply with clause 9.1(a), You authorise Us to do anything contemplated in clause 8.1(a) in relation to the Vessel.
End of Term Obligations. Upon the expiration or termination, for whatever reason, of this Services and Supply Agreement:
(a) Xxxxx R&M shall cooperate with the Xxxxx Company to enable it to continue operation of the Xxxxx Complex, reclaim goods, equipment and materials, and otherwise effectuate the smooth transition of operations of the Xxxxx Complex to the Xxxxx Company or a new manager engaged by the Xxxxx Company;
(b) The Xxxxx Company shall have the right, in its sole discretion, directly to assume and become liable for any contracts or obligations that Xxxxx R&M may have undertaken with third parties in connection with the Services or provision of the Supplies (other than any contracts or obligations related to the provision of electric utilities or electric service), and Xxxxx R&M shall execute all documents and take all other reasonable steps requested by the Xxxxx Company which may be required to assign to and vest in the Xxxxx Company all rights, benefits, interest and title in connection with such contracts or obligations;
End of Term Obligations. Prior to the expiration of this Lease (or within thirty (30) days after any earlier termination), Tenant shall clean and otherwise decommission all interior surfaces (including floors, walls, ceilings, and counters), piping, supply lines, waste lines, acid neutralization systems and plumbing in and/or exclusively serving the Premises, and all exhaust or other ductwork in and/or exclusively serving the Premises, in each case which has carried or released or been contacted by any Hazardous Materials or other chemical or biological materials used in the operation of the Premises, and shall otherwise clean the Premises so as to permit the Surrender Plan defined below) to be issued. At least thirty (30) days prior to the expiration of the Term (or, if applicable, within five (5) business days after any earlier termination of this Lease), Tenant shall deliver to Landlord a reasonably detailed narrative description of the actions proposed (or required by any Legal Requirements) to be taken by Tenant in order to render the Premises (including any Alterations permitted or required by Landlord to remain therein) free of Hazardous Materials and otherwise released for unrestricted use and occupancy including without limitation causing the Premises to be decommissioned in accordance with the regulations of the U.S. Nuclear Regulatory Commission and/or the Massachusetts Department of Public health (the “MDPH”) for the control of radiation, and cause the Premises to be released for unrestricted use by the Radiation Control Program of the MDPH (the “Surrender Plan”). The Surrender Plan (i) shall be accompanied by a current list of (A) all Required Permits held by or on behalf of any Tenant Party with respect to Hazardous Materials in, on, under, at or about the Premises, and (B) Tenant’s Hazardous Materials, and (ii) shall be subject to the review and approval of Landlord’s environmental consultant. In connection with review and approval of the Surrender Plan, upon request of Landlord, Tenant shall deliver to Landlord or its consultant such additional non-proprietary information concerning the use of and operations within the Premises as Landlord shall request. On or before the expiration of the Term, Tenant shall (i) perform or cause to be performed all actions described in the approved Surrender Plan, and (ii) deliver to Landlord a certification from a third party certified industrial hygienist reasonably acceptable to Landlord certifying that the Premises do not contai...

End of Term Obligations. Upon the expiry or earlier termination of the Licence Term:
(a) all accrued rights or liabilities of either party are unaffected, and the Licensee remains obligated to pay any amount payable to the Licensor on or before the effective date of termination;
(b) the Licensor must exercise commercially reasonable endeavors to minimize any disruption to the Licensee’s services;
(c) as soon as reasonably practicable following transfer of the Licensee Data, and in any event no later than ninety (90) calendar days following the expiry or earlier termination of the Licence Term, the Licensee must, and must ensure that all Users: DRAFT
(i) stop using the Solution and Documentation, and ensure that the Solution and any Documentation is not accessed by Users within its organization; and
(ii) return to the other party or destroy any material or documentation or property of the other party (including Confidential Information and Background IP), except to the extent required to comply with any applicable law or legally binding order of any court, government, semi-government authority, administrative or judicial body, or a requirement of a stock exchange or regulator.; and
(d) The Licensor will be under no obligation to retain any Licensee Data (or Licensor Data), and on and from the date that is ninety (90) calendar days following expiry or earlier termination of this agreement, such Licensee Data may be, in the sole discretion of the Licensor, deleted.
