Information Duty. Buyer shall notify Seller promptly of any such suit, claim or proceeding and give Seller authority, information, and assistance (at Seller’s expense) for the defense of same and Seller shall pay all damages and costs awarded therein. Notwithstanding the foregoing, any settlement of such suit, claim or proceeding shall be subject to Buyer’s consent, such consent not to be unreasonably withheld.
Information Duty. 11.1 The parties shall inform one another of all developments that may have a material impact on their rights or duties arising from this Contract. Information sent by e-mail (using e-mail accounts to be specified by the parties in due time) is sufficient for the purposes of this provision.

The information duty of contractors, in other respects, is subject to the rules of procedure as per the agreement between ASÍ and SA on the affairs of foreign persons on the Icelandic labor market, dated 7 March 2004. The chief shop xxxxxxx shall have the same status as shop stewards according to the agreement.
Information Duty. The Licensor is committed to providing certificates evidencing intellectual property and commercial redistribution of the Licensed Resource. The Licensor shall keep the Licensee informed of any modification concerning the database content, by giving him the detailed and comprehensive list of the new resource available and of the resource withdrawn at a date agreed upon by the two parties.

Each Party shall inform the Coordinator and Flux50 in due time of: any changes in persons who will manage and monitor its work under the Project, and its contact details; any event which might affect the implementation of the Project and the rights of Flux50 and Hermes Fund; and any change in its legal name, address and legal representatives, and any change with regard to its organisational situation. Force majeure. No Party will be in breach of this Collaboration Agreement if such breach is caused by Force Majeure. Each Party will notify the Steering Committee of any Force Majeure as soon as possible. If the consequences of Force Majeure for the Project are not overcome within six (6) weeks after such notification, the transfer of tasks (if any) will be decided by the Steering Committee. Entire agreement. This Collaboration Agreement, consisting of this core text and Exhibit 1: Hermes Fund Agreement Exhibit 2: Proposal Exhibit 3: Background Included and Restrictions to Background Exhibit 4: Affiliates Exhibit 5: Initial list of Members and other contact persons constitutes the entire agreement between the Parties relating to its subject matter. In case of conflicts between the Exhibits 2, 3, 4, and 5 and the core text of this Collaboration Agreement, the latter will prevail. In all cases, the provisions of the Hermes Fund Agreement will be leading. Notices and other communication. Any notice to be given under this Collaboration Agreement will be in writing to the addresses and recipients as listed in the most current address list kept by the Coordinator based on the initial list of Members and other contact persons in Exhibit 5. If it is required in this Collaboration Agreement that a formal notice, consent or approval will be given, such notice will be signed by an authorised representative of a Party and will either be served personally or sent by mail with recorded delivery. Other communication between the Parties may also be effected by other means such as e-mail with acknowledgement of receipt, which fulfils the conditions of written form.
Information Duty. Each Party shall give the other Party copies of all relevant documents and the opportunity to take part in all significant meetings and negotiations if that Party has a claim that materially affects both OMG and Ferro Businesses or if the claim relates to any of the Ferro Businesses. As between the Parties, any settlement, waiver or acknowledgement agreed on or declared by either Party shall not constitute proof of the factual or legal situation underlying the settlement, waiver or acknowledgement.
Information Duty. The Customer shall without any undue delay inform Exponea about the occurrence of any event that may affect the due fulfilment of the obligation set out herein and shall undertake its best endeavours to cooperate with Exponea to overcome such events.
