INFORMATION PROVIDED BY CLIENT. CLIENT may provide or direct RK to utilize or rely upon certain information (“CLIENT Information”) in the performance of RK’s services. RK shall be entitled to rely upon such CLIENT Information. RK will not conduct an independent evaluation of the accuracy or completeness of such CLIENT Information and shall not be responsible for any errors or omissions in such information. RK’s report, as well as any recommendations, findings, and conclusions made by RK, are dependent on information received from CLIENT. Changes or modifications to the information provided by CLIENT can affect RK’s evaluation, recommendations, findings and conclusions, and CLIENT agrees—as a material term of this Agreement—to notify RK immediately, in writing, if CLIENT becomes aware of any such changes or modifications, including changes to the size, scope, location, or other material characteristics of CLIENT’s project. The CLIENT shall be responsible for providing the location of all underground utilities and other structures in the vicinity of RK borings or excavations. RK will not accept responsibility and will not be liable for affecting or damaging any underground utility, underground storage tank, or other subsurface condition not previously identified and located, or improperly located, by the CLIENT, a utility, or a utility locating agency.
INFORMATION PROVIDED BY CLIENT. CLIENT shall be required to provide RISK STRATEGIES with all information reasonably required to complete the Services in a timely manner. CLIENT shall cooperate with RISK STRATEGIES' requests for information and resources in order to complete the Services. RISK STRATEGIES will not be responsible for independently verifying the accuracy, completeness, or authenticity of any instructions or information provided to RISK STRATEGIES by the CLIENT or its designated representatives.

We shall be entitled to rely on the completeness and accuracy of all information provided by the Client or the Client’s consultants or representatives. • Eagle Ridge WWTF Record Drawings and Survey Information In addition to other responsibilities set out in this Agreement, the Client shall provide access to any portion of the site if required. Consultant and Client agree to a mutually agreed upon schedule in connection with the services set forth above. For the services set forth above, Client shall pay Consultant the following compensation: Xxxxxx-Xxxx will perform the Services in Task 4 on a labor fee plus expense basis. Labor fee will be billed on an hourly basis according to our then-current rates. Based on current information, Xxxxxx- Xxxx estimates labor fees in the table below. Fee estimates in this Agreement are for general budgeting purposes only. Actual fees may be less or more than the estimates. Direct reimbursable expenses such as express delivery services, fees, air travel, and other direct expenses will be billed at 1.15 times cost. A percentage of labor fee will be added to each invoice to cover certain other expenses such as telecommunications, in-house reproduction, postage, supplies, project related computer time, and local mileage. Administrative time related to the project will be billed hourly. All permitting, application, and similar project fees will be paid directly by the Client. Lump sum and hourly fees will be invoiced monthly based upon the overall percentage of services performed. Reimbursable expenses will be invoiced based upon expenses incurred. INFORMATION PROVIDED BY CLIENT. The Client understands that the consummation of the engagement will be based upon, among other things, the truth, accuracy and completeness of the materials and other information provided to Rockmill Financial. The District agrees that all such materials and information will be true, correct and complete, and that it will update such information during the course of the engagement, as appropriate, and that all projections provided by the Client will have been prepared in good faith and based upon reasonable assumptions. The Client acknowledges and agrees that Rockmill Financial will rely upon such materials, information and projections without independent verification.

Information and documents provided by the Client and Consultant’s work product are deemed by the Client as private, sensitive, confidential and protected by the Work Product Doctrine and Attorney Client Privilege. Consultant agrees to hold and maintain all information and documents in trust and strictest confidence. Confidential information and documents shall include, but is not limited to, documents, factual material, mental impressions, strategies, legal theories, conclusions, memoranda, interview reports, expert analysis and reports and other information, including the confidences of each Party.
