Law/Severability. The laws of the State of Colorado shall govern the construction interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement.
Law/Severability. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF DELAWARE. In particular, this Agreement shall be construed to the maximum extent possible to comply with all of the terms and conditions of the Delaware Act. If, nevertheless, it shall be determined by a court of competent jurisdiction that any provisions or wording of this Agreement shall be invalid or unenforceable under the Delaware Act or other applicable law, such invalidity or unenforceability shall not invalidate the entire Agreement. In that case, this Agreement shall be construed so as to limit any term or provision so as to make it enforceable or valid within the requirements of applicable law, and, in the event such term or provisions cannot be so limited, this Agreement shall be construed to omit such invalid or unenforceable provisions. If it shall be determined by a court of competent jurisdiction that any provision relating to the distributions and allocations of the Company or to any fee payable by the Company is invalid or unenforceable, this Agreement shall be construed or interpreted so as (a) to make it enforceable or valid and (b) to make the distributions and allocations as closely equivalent to those set forth in this Agreement as is permissible under applicable law.

The City of Fort Xxxxxxx APP program is working with the Project Team. The Design Consultant will be required to visit the site and meet with the Project Team to get acquainted with the Project and the design process. The Design Consultant will act as part of the Project Team. The Design Consultant’s responsibility is: To identify opportunities for public art and aesthetic elements within the Project site. To work with the Project Team to identify and create possible themes for the site. To provide ideas for design treatments, materials to be used, and possible locations that could incorporate artful ideas into the Project. If the initial ideas are approved, to coordinate with the Project Team to develop “Final Designs”, which will include detailed renderings/illustrations of possible art options for this site. To attend Project Team meetings or community meetings/open houses when requested. To keep the APP Coordinator informed as to Project progress, by notifying her of upcoming meetings and copying her on all email communications.

If any provision of the Act provides that it may be varied or superseded in the regulations of a limited liability company (or otherwise by agreement of the members or managers of a limited liability company), such provision shall be deemed superseded and waived in its entirety if this Agreement contains a provision addressing the same issue or subject matter. If any provision of this Agreement or the application thereof to any Person or circumstance is held invalid or unenforceable to any extent, the remainder of this Agreement and the application of that provision to other Persons or circumstances is not affected thereby and that provision shall be enforced to the greatest extent permitted by Law.

1. Provide clinical supervision of up to 5 Community Paramedics.
2. Provide clinical direction in the development of protocols, policies and procedures.
3. Assist in the ongoing development and implementation of a quality improvement and assurance system.
4. When appropriate, outreach to other physicians to increase the network of medical providers participating in the community paramedic program.
5. Participate on and provide leadership to the Community Paramedic Advisory Committee.
6. Work with Dr. _______________ to ensure quality of care and continued oversight.
7. Safeguard protected health information of individuals and the confidentiality of situations for which Physician's consultation is requested, in accordance with the rules of _________ and the Health Information Privacy and Accountability Act.
8. Comply with appropriate standards of customer service to the public and provide appropriate consultation in the development and implementation of Community Paramedic protocols to promote the maintenance of high standards of customer service and professionalism.
Law/Severability. This Agreement and the relationships of the parties in connection with the subject matter of this Agreement shall be governed by and interpreted in accordance with the laws of the State of Ohio. If any provision of this Agreement or the application thereof shall for any reason and to any extent be invalid or unenforceable, the remainder of this Agreement shall not be affected thereby, but rather shall be enforced to the full extent permitted by law.
