Lawful and Safe Operation. The Owner shall, and shall procure that the Manager shall, at all times after the Delivery Date:
(a) operate the Vessel and cause the Vessel to be operated in a manner consistent in all material respects with any Applicable Law;
(b) not cause or permit the Vessel to trade with, or within the territorial waters of, any country in which her safety may be imperilled by exposure to terrorism;
(c) not cause or permit the Vessel to be employed in any manner which will or may give rise to any reasonable degree of likelihood that the Vessel would be liable to arrest, requisition, confiscation, forfeiture, seizure, destruction or condemnation as prize;
(d) not cause or permit the Vessel to be employed in any trade or business which is forbidden by Applicable Law or is illicit or in carrying goods which are illicit or prohibited under any Applicable Law;
(e) in the event of hostilities in any part of the world (whether war be declared or not) not cause or permit the Vessel to be carrying any contraband goods and/or trading in any zone after it has been declared a war zone by any authority or by any of the Vessel’s war risks Insurers unless the Vessel’s Insurers shall have confirmed to the Owner that the Vessel is held covered under the Obligatory Insurances or under a government scheme that gives comparable protection for the voyage(s) in question; and
(f) not charter the Vessel with any foreign country or national of any foreign country which is the subject of sanctions imposed by the United Nations or is specified by legislation or regulations of the flag state under which the Vessel is registered and such that, if the earnings or any part of the earnings were derived from such charter, that fact would render any Finance Document or the security conferred by the Security Documents unlawful.
Lawful and Safe Operation. Lessee will:-
(a) comply with the law for the time being in force in any country or jurisdiction which may for the time being be applicable to the Aircraft or, so far as concerns the use and operation of the Aircraft or an owner or operator thereof and take all reasonable steps to ensure that the Aircraft is not used for any illegal purpose;
(b) not use the Aircraft in any manner contrary to any recommendation of the manufacturers of the Aircraft, any Engine or any Part or any recommendation or regulation of the Air Authority or for any purpose for which the Aircraft is not designed or reasonably suitable;
(c) ensure that the crew and engineers employed by it in connection with the operation and maintenance of the Aircraft have the qualifications and hold the licences required by the Air Authority and applicable law;
(d) use the Aircraft solely in commercial or other operations for which Lessee is duly authorised by the Air Authority and applicable law;
(e) not use the Aircraft for the carriage of:-
(i) whole animals living or dead except in the cargo compartments according to I.
Lawful and Safe Operation. Lessee will operate the Aircraft for commercial purposes from the Delivery Date until the Return Occasion from a base within the Habitual Base or from such other base outside the State of Registry pursuant to sub-lease or a wet-lease complying with Section 8.4(a), provided always that Lessee must not use or operate the Aircraft or suffer or permit the Aircraft to be used or operated:
(a) in violation of any applicable Regulations or in a manner causing Lessor, Owner, any Financing Party or GECAS to be in violation of any applicable Regulations;
(b) for any purpose for which the Aircraft was not designed or which is illegal;
(c) to carry hazardous cargo other than in conformity with industry procedures and requirements of the Air Authority for the carriage and handling of such cargo;
(d) in any circumstances or place where the Aircraft is not covered by Insurance; or
(e) for purposes of training, qualifying or re-confirming the status of cockpit personnel except for the benefit of Lessee's or a Permitted Sub-Lessee's cockpit personnel, and then only if the use of the Aircraft for such purpose is not disproportionate to the use for such purpose of other aircraft of the same type operated by Lessee or any Permitted Sub-Lessee, as the case may be. FOR THE AVOIDANCE OF DOUBT, AS BETWEEN LESSEE AND THE INDEMNITEES, LESSEE ACKNOWLEDGES AND AGREES THAT:
(i) LESSEE IS SOLELY RESPONSIBLE FOR THE DETERMINATION AND IMPLEMENTATION OF ALL SECURITY MEASURES AND SYSTEMS NECESSARY OR APPROPRIATE FOR THE PROPER PROTECTION OF THE AIRCRAFT (WHETHER ON THE GROUND OR IN FLIGHT) AGAINST (A) THEFT, VANDALISM, HIJACKING, DESTRUCTION, BOMBING, TERRORISM OR SIMILAR ACTS, DIRECTLY OR INDIRECTLY AFFECTING IN ANY WAY THE AIRCRAFT OR ANY PART THEREOF, OR ANY PERSONS WHO (WHETHER OR NOT ON BOARD THE AIRCRAFT) MAY SUSTAIN ANY INJURY OR DAMAGE AS A RESULT OF ANY SUCH ACTS, (B) THE USE OF THE AIRCRAFT IN ANY ACTS, INCLUDING THOSE OF DESTRUCTION, BOMBING, TERRORISM OR SIMILAR ACTS, AND (C) THE TAKING, THEFT OR USE OF ANY PRODUCTS, CHEMICALS, GOODS, OR MATERIALS OF ANY KIND, FORM, OR NATURE LOCATED ON BOARD THE AIRCRAFT OR BEING TRANSPORTED VIA THE AIRCRAFT;
(ii) LESSEE'S IMPLEMENTATION OF SUCH SECURITY MEASURES AND SYSTEMS IS AN OBLIGATION OF LESSEE UNDER THE LEASE, AND THAT LESSOR SHALL HAVE ABSOLUTELY NO RESPONSIBILITY THEREFOR, AND
(iii) LESSEE, BEING IN SOLE OPERATIONAL CONTROL OF THE AIRCRAFT AND BEING IN THE BUSINESS OF OPERATING COMMERCIAL AIRCRAFT, IS UNIQUELY IN A POSITION TO IDENTI...
Lawful and Safe Operation. The Lessee shall:
(a) comply with all Applicable Law for the time being in force in any country or jurisdiction in which the Aircraft is being operated which is applicable to the Aircraft or the use and operation of the Aircraft;
(b) not use the Aircraft in any manner contrary to any requirement or regulation of the Aviation Authority or for any purpose for which the Aircraft is not designed or reasonably suitable;
(c) ensure that the crew and engineers employed by it in connection with the operation and maintenance of the Aircraft have the qualifications and hold the licenses required by the Aviation Authority and Applicable Law;
(d) use the Aircraft solely in commercial or other operations for which the Lessee is duly authorized by the Aviation Authority and Applicable Law;
(e) not knowingly use the Aircraft (or use it when the Lessee ought reasonably to have known that it was being so used) for the carriage of:
(i) whole animals, living or dead, except in the cargo compartments according to IATA regulations, and except domestic pet animals carried in a suitable container to prevent the escape of any liquid and to ensure the welfare of the animal;
(ii) acids, toxic chemicals, other corrosive materials, explosives, nuclear fuels, nuclear wastes or any nuclear assemblies or components, except as permitted for cargo aircraft under the "Restriction of Goods" schedule issued by IATA from time to time and provided that all the requirements for packaging or otherwise contained therein are fulfilled;
(iii) any other goods, materials or items of cargo which could reasonably be expected to cause damage to the Aircraft and which would not be adequately covered by the Insurances; or
(iv) any item or substance whose carriage is illegal under Applicable Law;
(f) not utilize the Aircraft for purposes of training, qualifying or re-confirming the status of cockpit personnel except for the benefit of the Lessee's cockpit personnel, and then only if the use of the Aircraft for such purpose is not disproportionate to the use for such purpose of other aircraft of the same type operated by the Lessee;
(g) not (other than for bona fide safety reasons) cause or permit the Aircraft to proceed to, or remain at, any location which is for the time being the subject of a prohibition order (or any similar order or directive) by:
(i) any Government Entity of the State of Registration; or
(ii) any Government Entity of the country in which such location is situated; or
(iii) any Governm...

(a) operate each Collateral Asset and cause each Collateral Asset to be operated in a manner consistent in all material respects with any and all laws, regulations, treaties and conventions (and all rules and regulations issued thereunder) from time to time applicable to that Collateral Asset;
(b) take reasonable steps to not cause or permit any of the Collateral Assets to be operated in any location in which such Collateral Asset could reasonably be expected (at the time of entry into an agreement to operate such Collateral Asset in such location) to be imperiled by exposure to being impounded or to arrest, requisition, confiscation, forfeiture, seizure, destruction or condemnation as prize; and
(c) take reasonable steps to not cause or permit any of the Collateral Assets to be employed in any manner which will or may give rise to any reasonable degree of likelihood (at the time of entry into an agreement to employ such Collateral Asset) that such Collateral Asset would be liable to requisition, confiscation, forfeiture, seizure, destruction or condemnation as prize.
Lawful and Safe Operation. Lessee will operate the Engine for commercial purposes from the Delivery Date until the Return Occasion from a base within the Habitual Base or from such other base outside the State of Registry pursuant to a sub-lease complying with Section 8.4(a) (Subleasing), provided always that Lessee must not use or operate the Engine or suffer or permit the Engine to be used or operated:
(a) in violation of any applicable Regulations except to the extent that (x) such Regulations are being contested in good faith (but excluding any Regulation, such as a mandatory grounding order, the good faith contest of which does not permit Lessee to operate the Engine during such contest); provided, however, that no contest of a Regulation shall be allowed if such contest might subject Lessor to criminal sanctions or a material risk of sale, loss or forfeiture of the Engine or Lessor’s interest in any of the foregoing; or (y) such violation is unanticipated, minor and non-recurring; (ii) in a manner causing Lessor, Owner, any Financing Party or GECAS to be in violation of any applicable Regulations; or (iii) in any manner whatsoever which Lessee is aware may render the Engine liable to a material risk of condemnation, destruction, seizure or confiscation by any Person;
(b) for any purpose for which the Engine was not designed or is not reasonably suitable;
(c) in any circumstances or place where the Engine is not covered by the Insurance unless operated or used under contract with the government of the United States under which contract such government assumes liability for the same risks in at least the same amounts and same terms as would be covered by such Insurance; provided that the failure of Lessee to comply with this Section 8.3(c) will not result in an Event of Default if such failure is attributable to unexpected circumstances not within Lessee’s control and not in the ordinary course of the regular operations of Lessee, so long as Lessee diligently and in good faith proceeds to remove the Engine from such circumstances or area; or
(d) for purposes of training, qualifying or re-confirming the status of cockpit personnel except for the benefit of Lessee’s or a Permitted Sub-Lessee’s cockpit personnel, and then only if the use of the Engine for such purpose is not disproportionate to the use for such purpose of other engine of the same type operated by Lessee or any Permitted Sub-Lessee, as the case may be.
Lawful and Safe Operation. Lessee will operate the Aircraft only for commercial purposes from the Delivery Date until the date on which the Aircraft is returned to Lessor pursuant to this Agreement; provided, that Lessee must always:
(a) comply with the law for the time being in force in any country or jurisdiction which may for the time being be applicable to the Aircraft or, so far as concerns the use and operation of the Aircraft, an owner or operator thereof, and take all reasonable steps to ensure that the Aircraft is not used for any illegal purpose;
(b) not use the Aircraft in any manner contrary to any recommendation of the manufacturers of the Aircraft, any Engine or any Part or any recommendation or regulation of the Air Authority or for any purpose for which the Aircraft is not designed or reasonably suitable;
(c) ensure that the crew and engineers employed by Lessee have the qualifications and hold the licenses required by the Air Authority and applicable law;
(d) use the Aircraft solely in commercial or other operations primarily in passenger service and in passenger configuration for which Lessee is duly authorized by the Air Authority and applicable law;
(e) not use the Aircraft for the carriage of any goods, materials, livestock or items of cargo which involves a change of passenger configuration (or is inconsistent with passenger service and passenger configuration) or which could reasonably be expected to cause damage to the Aircraft or which would not be adequately covered by the Insurances, or any item or substance whose possession or carriage is illegal under any applicable law. Lessee will comply with any carriage regulations or restrictions from time to time issued by IATA;
(f) not use the Aircraft for purposes of training, qualifying or re-confirming the status of cockpit personnel, except for the benefit of Lessee's cockpit personnel, and then only if the use of the Aircraft for such purpose is not disproportionate to the use of other aircraft of the same type operated by Lessee for such purpose;
(g) not cause or permit the Aircraft to proceed to, or remain at, any location in an Excluded Country; provided, however, that no Default shall occur, if, due to climatic or atmospheric conditions, acts of God or to preserve the Aircraft or any Engine or Part or to preserve the life or safety of passengers and/or crew, the Aircraft proceeds to an Excluded Country and the Lessee causes the Aircraft to be removed from such Excluded Country as soon as practicable after...
