Lessee's Obligation. If Lessee fails to perform any of its obligations under this Lease, Lessor may (but shall have no obligation to) perform the same for the account and at the expense of Lessee, but only after fifteen days prior written notice to Lessee, or without notice if in Lessor's reasonable opinion an emergency exists. Lessee shall immediately pay to Lessor any costs, fees and expenses incurred by Lessor in performing Lessee's obligations hereunder.
Lessee's Obligation. In addition to the indemnification requirements as set forth below in Section 34, Lessee shall indemnify, defend and hold Lessor, its Affiliates, and their respective members, partners, venturers, directors, officers, stockholders, agents, employees, spouses, legal representatives, successors and assigns (collectively, “Lessor Affiliates”), harmless from and against any loss, damage, claim, liability, and cost (including reasonable attorneys’ fees and disbursements) arising from (a) any default, breach or violation by Lessee under this Lease, or (b) any negligent or other tortious act or omissions of Lessee, its employees or agents with respect to the Premises.
Lessee's Obligation. Lessee shall pay for, prior to delinquency, all telephone and all other materials and services, not expressly required to be paid by Lessor, which may be furnished to or used in, on or about the Premises during the term of this Lease.
Lessee's Obligation. In consideration for the use of the vehicles and equipment covered by this lease, xxxxxx agrees to provide emergency medical services in the City of Oklahoma City as required by the trust indenture.
Lessee's Obligation. During the term of the Lease, Lessee shall, at Lessee’s sole cost and expense, maintain or cause to be maintained in good working order and first class condition and repair, in compliance with all laws and in accordance with standards customarily maintained by the owners of Hills Plaza, One Maritime Plaza, Embarcadero Center, 000 Xxxxxxxxxx Xxxxxx and 000 Xxxxxxxxxx Xxxxxx (“Comparable Maintenance Standards Buildings”), the Building (other than any Lessor Work or Lessor Exterior Work (as such terms are defined in Paragraph 11(b) below), including, without limitation, (i) the interior and exterior walls (including the exterior façade and the interior and exterior finishes), interior and exterior windows and window frames and casements, interior and exterior doors and door frames, door casements and door closers, floor coverings (including tile, carpet, wood covering or other materials) and baseboards, ceiling (ceiling tiles and grid), roof, interior lighting (including, without limitation, light bulbs and ballasts), the Base Building Systems (as defined below), Alterations, energy management systems, security systems, emergency generators, fire extinguishers, outlets, fixtures, the interior and exterior portions of loading docks, restrooms, and any appliances (including dishwashers, hot water heaters and garbage disposers) within the Building, (ii) landscaping located on the balconies of the Building, (iii) pest control, (iv) janitorial services, (v) window cleaning, and (vi) any other maintenance, repair or replacement with respect to the Building which does not constitute either Lessor Work or Lessor Exterior Work. Lessee shall perform such repair and maintenance in a first class condition, and keep the Premises in a clean, safe and orderly condition). The term “Base Building Systems” shall mean the elevators, mechanical, electrical, heating, ventilating and air conditioning, plumbing, security, fire and life-safety systems of the Building. Notwithstanding the foregoing or anything to the contrary herein, Lessee shall not be obligated to perform any Lessor Work or any Lessor Exterior Work (including, without limitation, any repair or maintenance of (x) the Base Building Systems to the extent that they serve the garage, and (y) any electrical, water, sewer and other utility lines that run between the exterior boundary of the Building and the respective utility providers junction box in the public right of way).
Lessee's Obligation. On or before any due date, Xxxxxx agrees to pay any and all real or personal property taxes, assessments, or fees of any nature that may be legally assessed or levied against Lessee or the Leased Premises, or any portion of the Leased Premises, or on any Improvements. Lessee shall make such payment directly to the taxing authority and hold Lessor harmless from any such tax, assessment, or fee.
Lessee's Obligation. Lessee shall keep the Premises and any building of which the Premises are a part, free and clear of any liens arising out of work performed or caused to be performed by Lessee and shall indemnify, hold harmless and defend Lessor from any liens and encumbrances arising out of any work performed or materials furnished by or at the direction of Lessee. In the event any lien is filed, Lessee shall do all acts necessary to discharge any lien within thirty (30) days of filing, or if Lessee desires to contest any lien, then Lessee shall deposit with Lessor such security as Lessor shall demand to insure the payment of the lien claim. In the event Lessee shall fail to pay any lien claim when due or shall fail to deposit the security with Lessor, then Lessor shall have the right to expend all sums necessary to discharge the lien claim, and Lessee shall pay promptly after demand all sums expended by Lessor in discharging any lien, including attorneys' fees and costs.
Lessee's Obligation. Lessor shall, at Lessee's sole cost and expense, (including, without limitation, reasonable attorneys' fees), execute and deliver any appropriate papers which may be reasonably necessary or proper to permit Lessee to contest the validity or application of any such governmental requirement.
Lessee's Obligation. The following shall be the responsibility of Lessee:
(a) Maintenance, repair or replacement of interior walls, ceilings, floor coverings, counters, cabinets, doors and windows and related hardware, light fixtures, switches, and wiring and plumbing from the point of entry to the premises. Lessee covenants and agrees to replace any and all of the plate glass broken, vandalized, or scratched on the leased premises during the term of this lease. Repair of the heating and air conditioning system to include ordinary maintenance.
(b) Any Repairs necessitated by the negligence of Lessee, its invitees, customers, agents, employees, vendors, contractors, subcontractors, patrons, common carriers or suppliers, except as provided in Paragraph 7.1 dealing with waivers of subrogation.
(c) Lessee is responsible for ordinary maintenance and repairs of the heating and air conditioning systems and is responsible for any extraordinary repair or replacement expenses regarding the heating and air conditioning systems.
(d) Any repairs or alterations required under Lessee's obligation to comply with laws and regulations as set forth in Paragraph 4.2 (a) below.
(e) All other repairs to the premises which Lessor is not required to make under Paragraph 3.1 above.
(f) Compliance with all reasonable rules and regulations respecting the use of the Leased Premises issued by Lessor from time to time and communicated to Lessee in writing.
(g) Not commit waste, not suffer or permit waste to be committed, and not cause or permit any nuisance on or in the Leased Premises.
(h) All office desks with chairs must have chair mats under each chair to protect the carpet.
Lessee's Obligation. Lessee shall hold harmless, indemnify and defend Xxxxxx and its employees against all claims, demands, and action for loss, liability, damage, cost and expense (including attorney fees) resulting from injury or death to any person and damage to property caused by the act or omission of any person, except Lessor and its employees or agents, while in, or upon the Leased Premises during the term of this Lease or any occupancy hereunder.
